64 AN ACT
75 relating to the authority of chiropractors to form certain business
86 entities with certain other professions.
97 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
108 SECTION 1. Section 22.056, Business Organizations Code, is
119 amended to read as follows:
1210 Sec. 22.056. HEALTH ORGANIZATION CORPORATION.
1311 (a) Doctors of medicine and osteopathy licensed by the Texas
1412 [State Board of] Medical Board, [Examiners and] podiatrists
1513 licensed by the Texas State Board of Podiatric Medical Examiners,
1614 and chiropractors licensed by the Texas Board of Chiropractic
1715 Examiners may form a corporation that is jointly owned, managed,
1816 and controlled by those practitioners to perform a professional
1917 service that falls within the scope of practice of those
2018 practitioners and consists of:
2119 (1) carrying out research in the public interest in
2220 medical science, medical economics, public health, sociology, or a
2321 related field;
2422 (2) supporting medical education in medical schools
2523 through grants or scholarships;
2624 (3) developing the capabilities of individuals or
2725 institutions studying, teaching, or practicing medicine, including
2826 podiatric medicine, or chiropractic;
2927 (4) delivering health care to the public; or
3028 (5) instructing the public regarding medical science,
3129 public health, hygiene, or a related matter.
3230 (b) When doctors of medicine, osteopathy, [and] podiatry,
3331 and chiropractic form a corporation that is jointly owned by those
3432 practitioners, the authority of each of the practitioners is
3533 limited by the scope of practice of the respective practitioners
3634 and none can exercise control over the other's clinical authority
3735 granted by their respective licenses, either through agreements,
3836 the certificate of formation or bylaws of the corporation,
3937 directives, financial incentives, or other arrangements that would
4038 assert control over treatment decisions made by the practitioner.
4139 The Texas [State Board of] Medical Board, [Examiners and] the Texas
4240 State Board of Podiatric Medical Examiners, and the Texas Board of
4341 Chiropractic Examiners continue to exercise regulatory authority
4442 over their respective licenses.
4543 SECTION 2. Section 152.055, Business Organizations Code, is
4644 amended to read as follows:
4745 Sec. 152.055. AUTHORITY OF CERTAIN PROFESSIONALS TO CREATE
4846 PARTNERSHIP. (a) Persons licensed as doctors of medicine and
4947 persons licensed as doctors of osteopathy by the Texas [State Board
5048 of] Medical Board, [Examiners and] persons licensed as podiatrists
5149 by the Texas State Board of Podiatric Medical Examiners, and
5250 persons licensed as chiropractors by the Texas Board of
5351 Chiropractic Examiners may create a partnership that is jointly
5452 owned by those practitioners to perform a professional service that
5553 falls within the scope of practice of those practitioners.
5654 (b) When doctors of medicine, osteopathy, [and] podiatry,
5755 and chiropractic create a partnership that is jointly owned by
5856 those practitioners, the authority of each of the practitioners is
5957 limited by the scope of practice of the respective practitioners
6058 and none can exercise control over the other's clinical authority
6159 granted by their respective licenses, either through agreements,
6260 bylaws, directives, financial incentives, or other arrangements
6361 that would assert control over treatment decisions made by the
6462 practitioner.
6563 (c) The Texas [State Board of] Medical Board, [Examiners
6664 and] the Texas State Board of Podiatric Medical Examiners, and the
6765 Texas Board of Chiropractic Examiners continue to exercise
6866 regulatory authority over their respective licenses.
6967 SECTION 3. Sections 301.012(a) and (f), Business
7068 Organizations Code, are amended to read as follows:
7169 (a) Persons licensed as doctors of medicine and persons
7270 licensed as doctors of osteopathy by the Texas [State Board of]
7371 Medical Board, [Examiners and] persons licensed as podiatrists by
7472 the Texas State Board of Podiatric Medical Examiners, and persons
7573 licensed as chiropractors by the Texas Board of Chiropractic
7674 Examiners may jointly form and own a professional association or a
7775 professional limited liability company to perform professional
7876 services that fall within the scope of practice of those
7977 practitioners.
8078 (f) When doctors of medicine, osteopathy, [and] podiatry,
8179 and chiropractic, or doctors of medicine, osteopathy, and optometry
8280 or therapeutic optometry, or mental health professionals form a
8381 professional entity as provided by Subsections (a), (b), and (c),
8482 the authority of each of the practitioners is limited by the scope
8583 of practice of the respective practitioners and none can exercise
8684 control over the other's clinical authority granted by their
8785 respective licenses, either through agreements, bylaws,
8886 directives, financial incentives, or other arrangements that would
8987 assert control over treatment decisions made by the practitioner.
9088 SECTION 4. This Act takes effect immediately if it receives
9189 a vote of two-thirds of all the members elected to each house, as
9290 provided by Section 39, Article III, Texas Constitution. If this
9391 Act does not receive the vote necessary for immediate effect, this
9492 Act takes effect September 1, 2017.
