66 AN ACT
77 relating to investment prohibitions and divestment requirements
88 for certain investments of public money in companies involved in
99 the border wall between the United States and Mexico.
1010 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1111 SECTION 1. Section 2270.0001, Government Code, as added by
1212 Chapter 96 (S.B. 253), Acts of the 85th Legislature, Regular
1313 Session, 2017, is amended by adding Subdivision (1-a) and amending
1414 Subdivision (9) to read as follows:
1515 (1-a) "Border wall" means a wall, fence, or other
1616 barrier on the border between the United States and Mexico.
1717 (9) "Scrutinized company" means:
1818 (A) a company that:
1919 (i) engages in scrutinized business
2020 operations described by Section 2270.0052; or
2121 (ii) has been complicit in the Darfur
2222 genocide during any preceding 20-month period;
2323 (B) a company that engages in scrutinized
2424 business operations described by Section 2270.0102; [and]
2525 (C) a company that engages in scrutinized
2626 business operations described by Section 2270.0152; and
2727 (D) a company that engages in scrutinized
2828 business operations described by Section 2270.0172.
2929 SECTION 2. Chapter 2270, Government Code, as added by
3030 Chapter 96 (S.B. 253), Acts of the 85th Legislature, Regular
3131 Session, 2017, is amended by adding Subchapter D-1 to read as
3232 follows:
3333 SUBCHAPTER D-1. GENERAL PROVISIONS RELATING TO INVESTMENTS
3434 INVOLVING BORDER WALL
3535 Sec. 2270.0171. DEFINITION. In this subchapter, "business
3636 operations" means engaging in commerce in any form, including by:
3737 (1) acquiring, developing, maintaining, owning,
3838 selling, possessing, leasing, or operating equipment, facilities,
3939 personnel, products, services, personal property, real property,
4040 or any other apparatus of business or commerce; or
4141 (2) planning, constructing, or maintaining a project.
4242 Sec. 2270.0172. SCRUTINIZED BUSINESS OPERATIONS RELATING
4343 TO BORDER WALL. A company engages in scrutinized business
4444 operations relating to the border wall if the company has business
4545 operations that involve planning, constructing, or maintaining the
4646 border wall, including by providing:
4747 (1) supplies, equipment, or other personal property;
4848 or
4949 (2) personnel.
5050 SECTION 3. Sections 2270.0201(a) and (b), Government Code,
5151 as added by Chapter 96 (S.B. 253), Acts of the 85th Legislature,
5252 Regular Session, 2017, are amended to read as follows:
5353 (a) The comptroller shall prepare and maintain a list of all
5454 scrutinized companies. The list must be categorized according to:
5555 (1) companies that are scrutinized companies under
5656 Section 2270.0001(9)(A);
5757 (2) companies that are scrutinized companies under
5858 Section 2270.0001(9)(B); [and]
5959 (3) companies that are scrutinized companies under
6060 Section 2270.0001(9)(C); and
6161 (4) companies that are scrutinized companies under
6262 Section 2270.0001(9)(D).
6363 (b) In maintaining the list of scrutinized companies under
6464 Subsection (a), the comptroller may review and rely, as appropriate
6565 in the comptroller's judgment, on publicly available information
6666 regarding companies with business operations in Sudan, in Iran,
6767 [or] with designated foreign terrorist organizations, or relating
6868 to the border wall, as applicable, including information provided
6969 by the state, nonprofit organizations, research firms,
7070 international organizations, and governmental entities.
7171 SECTION 4. Section 2270.0203, Government Code, as added by
7272 Chapter 96 (S.B. 253), Acts of the 85th Legislature, Regular
7373 Session, 2017, is amended to read as follows:
7474 Sec. 2270.0203. NOTICE TO LISTED COMPANY ENGAGED IN
7575 INACTIVE BUSINESS OPERATIONS. For each listed company identified
7676 under Section 2270.0202 that is engaged in only inactive
7777 scrutinized business operations, the investing entity shall send a
7878 written notice informing the company of this chapter and
7979 encouraging the company to continue to refrain from initiating
8080 active business operations in Sudan, in Iran, [and] with designated
8181 foreign terrorist organizations, and relating to the border wall
8282 until it is able to avoid being considered a listed company. The
8383 investing entity shall continue the correspondence as the entity
8484 considers necessary, but is not required to initiate correspondence
8585 more often than semiannually.
8686 SECTION 5. Section 2270.0204(b), Government Code, as added
8787 by Chapter 96 (S.B. 253), Acts of the 85th Legislature, Regular
8888 Session, 2017, is amended to read as follows:
8989 (b) The notice shall offer the company the opportunity to
9090 clarify its Sudan-related, Iran-related, [or] designated foreign
9191 terrorist organization-related, or border wall-related activities,
9292 as applicable, and shall encourage the company, not later than the
9393 90th day after the date the company receives notice under this
9494 section, to either cease all scrutinized business operations as
9595 described by Sections 2270.0052, 2270.0102, [and] 2270.0152, and
9696 2270.0172, or convert such operations to inactive business
9797 operations in order to avoid qualifying for divestment by investing
9898 entities.
9999 SECTION 6. Not later than January 1, 2018, the comptroller
100100 shall:
101101 (1) prepare an updated list of scrutinized companies
102102 required by Section 2270.0201, Government Code, as amended by this
103103 Act, that includes companies that are scrutinized companies
104104 described by Section 2270.0001(9)(D), Government Code, as added by
105105 this Act;
106106 (2) provide the list to each investing entity, as
107107 defined by Section 2270.0001(7), Government Code; and
108108 (3) post the list on the comptroller's Internet
109109 website.
110110 SECTION 7. This Act takes effect December 1, 2017.
