| 8 | 13 | | BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS: |

| 9 | 14 | | SECTION 1. Section 71.103(a), Business & Commerce Code, is |
|---|
| 10 | 15 | | amended to read as follows: |

| 11 | 16 | | (a) A [The] corporation, limited partnership, limited |
|---|
| 12 | 17 | | liability partnership, limited liability company, or foreign |
|---|
| 13 | 18 | | filing entity required to file a certificate under Section 71.101 |
|---|
| 14 | 19 | | shall file the certificate in the office of the secretary of state |
|---|
| 15 | 20 | | [and in the office or offices of each county clerk as specified by |
|---|
| 16 | 21 | | Subsection (b) or (c)]. |

| 17 | 22 | | SECTION 2. Sections 71.103(b) and (c) and 71.104(b), |
|---|
| 18 | 23 | | Business & Commerce Code, are repealed. |

| 19 | 24 | | SECTION 3. The repeal by this Act of Sections 71.103(b) and |
|---|
| 20 | 25 | | (c) and 71.104(b), Business & Commerce Code, and the changes in law |

| 21 | 26 | | made by this Act to Section 71.103(a), Business & Commerce Code, |

| 22 | 27 | | apply only to an offense under Section 71.202, Business & Commerce |

| 23 | 28 | | Code, committed on or after the effective date of this Act. An |

| 24 | 29 | | offense committed before the effective date of this Act is governed |

| 25 | 30 | | by the law in effect on the date the offense was committed, and that |

| 26 | 31 | | law is continued in effect for that purpose. For purposes of this |
