49 A BILL TO BE ENTITLED
510 AN ACT
611 relating to the filing of an assumed name certificate by certain
712 business entities.
813 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
914 SECTION 1. Section 71.103(a), Business & Commerce Code, is
1015 amended to read as follows:
1116 (a) A [The] corporation, limited partnership, limited
1217 liability partnership, limited liability company, or foreign
1318 filing entity required to file a certificate under Section 71.101
1419 shall file the certificate in the office of the secretary of state
1520 [and in the office or offices of each county clerk as specified by
1621 Subsection (b) or (c)].
1722 SECTION 2. Sections 71.103(b) and (c) and 71.104(b),
1823 Business & Commerce Code, are repealed.
1924 SECTION 3. The repeal by this Act of Sections 71.103(b) and
2025 (c) and 71.104(b), Business & Commerce Code, and the changes in law
2126 made by this Act to Section 71.103(a), Business & Commerce Code,
2227 apply only to an offense under Section 71.202, Business & Commerce
2328 Code, committed on or after the effective date of this Act. An
2429 offense committed before the effective date of this Act is governed
2530 by the law in effect on the date the offense was committed, and that
2631 law is continued in effect for that purpose. For purposes of this
2732 section, an offense was committed before the effective date of this
2833 Act if any element of the offense occurred before that date.
2934 SECTION 4. This Act takes effect September 1, 2019.
