6 | 6 | | relating to the governing body of the independent organization to |

7 | 7 | | ensure access, reliability, adequacy, production, and market |
---|
8 | 8 | | information of the ERCOT power region. |
---|
9 | 9 | | BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS: |

10 | 10 | | SECTION 1. Section 39.151, UTILITY CODE, is amended to read |
---|
11 | 11 | | as follows: |
---|
12 | 12 | | (g) To maintain certification as an independent |
---|
13 | 13 | | organization under this section, an organization's governing body |
---|
14 | 14 | | must be composed of persons specified by this section and selected |
---|
15 | 15 | | in accordance with formal bylaws or protocols of the organization. |
---|
16 | 16 | | The bylaws or protocols must be approved by the commission and must |
---|
17 | 17 | | reflect the input of the commission. The bylaws must specify the |
---|
18 | 18 | | process by which appropriate stakeholders elect members and, for |
---|
19 | 19 | | unaffiliated members, prescribe professional qualifications for |
---|
20 | 20 | | selection as a member. The bylaws must require the use of a |
---|
21 | 21 | | professional search firm to identify candidates for membership of |
---|
22 | 22 | | unaffiliated members. The process must allow for commission input |
---|
23 | 23 | | in identifying candidates. The governing body must be composed of: |
---|
24 | 24 | | (1) the chairman of the commission as an ex officio |
---|
25 | 25 | | nonvoting member; |
---|
26 | 26 | | (2) the counsellor as an ex officio voting member |
---|
27 | 27 | | representing residential and small commercial consumer interests; |
---|
28 | 28 | | (3) the chief executive officer of the independent |
---|
29 | 29 | | organization as an ex officio voting member; |
---|
30 | 30 | | (4) six market participants elected by their |
---|
31 | 31 | | respective market segments to serve one-year terms, with: |
---|
32 | 32 | | (A) one representing independent generators; |
---|
33 | 33 | | (B) one representing investor-owned utilities; |
---|
34 | 34 | | (C) one representing power marketers; |
---|
35 | 35 | | (D) one representing retail electric providers; |
---|
36 | 36 | | (E) one representing municipally owned |
---|
37 | 37 | | utilities; and |
---|
38 | 38 | | (F) one representing electric cooperatives; |
---|
39 | 39 | | (5) one member representing industrial consumer |
---|
40 | 40 | | interests and elected by the industrial consumer market segment to |
---|
41 | 41 | | serve a one-year term; |
---|
42 | 42 | | (6) one member representing large commercial consumer |
---|
43 | 43 | | interests selected in accordance with the bylaws to serve a |
---|
44 | 44 | | one-year term; and |
---|
45 | 45 | | (7) five members unaffiliated with any market segment |
---|
46 | 46 | | and selected by the other members of the governing body to serve |
---|
47 | 47 | | three-year terms. |
---|
48 | 48 | | (g-1) The presiding officer of the governing body must be |
---|
49 | 49 | | one of the members described by Subsection (g)(7) |
---|
50 | 50 | | (g-2) To maintain certification as an independent |
---|
51 | 51 | | organization under this section, all board members of the governing |
---|
52 | 52 | | body under this Subsection must be a resident of Texas for tax |
---|
53 | 53 | | purposes. |
---|
54 | 54 | | SECTION 2. (a) An independent organization certified under |
---|
55 | 55 | | Section 39.151, Utilities Code, by the Public Utility Commission of |
---|
56 | 56 | | Texas before September 1, 2021, shall hold elections and select new |
---|
57 | 57 | | members as needed to modify the organization's governing body to |
---|
58 | 58 | | comply with Section 39.151, Utilities Code, as amended by this Act, |
---|
59 | 59 | | as soon as practicable, but not later than September 1, 2022. |
---|
60 | 60 | | (b) An independent organization certified under Section |
---|
61 | 61 | | 39.151, Utilities Code, by the Public Utility Commission of Texas |
---|
62 | 62 | | before September 1, 2021, shall ensure that the chief executive |
---|
63 | 63 | | officer of the organization is a resident of this state as soon as |
---|
64 | 64 | | practicable, but not later than September 1, 2022. |
---|
65 | 65 | | (c) After September 1, 2022, the Public Utility Commission |
---|
66 | 66 | | of Texas may decertify an independent organization whose governing |
---|
67 | 67 | | body or chief executive officer does not comply with Section |
---|
68 | 68 | | 39.151, Utilities Code, as amended by this Act. |
---|
69 | 69 | | SECTION 3. This Act takes effect September 1, 2021. |
