79 relating to the exclusion of certain conveyances from
810 classification as pretended sales.
911 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1012 SECTION 1. Subchapter A, Chapter 41, Property Code, is
1113 amended by adding Section 41.0022 to read as follows:
1214 Sec. 41.0022. CERTAIN CONVEYANCES NOT PRETENDED SALES. (a)
1315 In this section:
1416 (1) "Entity" means a domestic or foreign:
1517 (A) corporation, professional corporation, or
1618 professional association;
1719 (B) limited liability company or professional
1820 limited liability company; or
1921 (C) limited partnership.
2022 (2) "Parcel" means one or more parcels.
2123 (b) The conveyance of a parcel not meeting the definition of
2224 an urban homestead under Section 41.002(a) or (c) by an individual
2325 to an entity in which the individual or individual's spouse has a
2426 direct or indirect ownership interest is not a pretended sale under
2527 Section 50(c), Article XVI, Texas Constitution, if:
2628 (1) the deed conveying the parcel is recorded at least
2729 30 days before the entity grants a mortgage, trust deed, or other
2830 lien on the parcel;
2931 (2) the individual does not reside on the parcel at the
3032 time of the conveyance;
3133 (3) the parcel is not contiguous to the parcel on which
3234 the individual resides;
3335 (4) the deed conveying the parcel does not contain a
3436 condition of defeasance; and
3537 (5) the individual recorded contemporaneously with
3638 the deed an affidavit substantially in the form prescribed by
3739 Subsection (d).
3840 (c) An individual executing a deed under Subsection (b) is
3941 estopped from claiming the conveyance is a pretended sale under
4042 Section 50(c), Article XVI, Texas Constitution.
4143 (d) At the time of recording a deed under Subsection (b), an
4244 individual grantor of the deed shall record an affidavit containing
4345 the following:
4446 (1) a title caption stating "Affidavit Regarding
4547 Conveyance To An Entity";
4648 (2) the date of the affidavit;
4749 (3) a description of the deed containing:
4850 (A) the title of the deed;
4951 (B) the date of the deed;
5052 (C) the name and address of the individual
5153 grantor; and
5254 (D) the name and address of the entity grantee;
5355 (4) a description of the parcel being conveyed to the
5456 entity;
5557 (5) a description of the parcel upon which the
5658 individual currently resides;
5759 (6) a statement that the parcel being conveyed is not
5860 contiguous to the parcel upon which the individual currently
5961 resides;
6062 (7) a statement that the parcel upon which the
6163 individual currently resides is not:
6264 (A) located within the limits of a municipality
6365 or its extraterritorial jurisdiction or a platted subdivision; or
6466 (B) served by police protection, paid or
6567 volunteer fire protection, and at least three of the following
6668 services provided by a municipality or under contract to a
6769 municipality:
6870 (i) electric;
6971 (ii) natural gas;
7072 (iii) sewer;
7173 (iv) storm sewer; or
7274 (v) water;
7375 (8) a statement that:
7476 (A) the individual is unmarried; or
7577 (B) the individual is married, and including the
7678 name of the individual's spouse;
7779 (9) a statement that the individual or individual's
7880 spouse owns a direct or indirect interest in the entity;
7981 (10) a statement that the individual has executed the
8082 deed conveying the parcel to the entity;
8183 (11) a statement that the individual intends to vest
8284 title in the entity;
8385 (12) a statement that there are no written or oral
8486 agreements regarding a defeasance of the parcel upon the passage of
8587 time or occurrence or non-occurrence of any event;
8688 (13) a statement that the individual acknowledges that
8789 the individual will be estopped from claiming the conveyance to the
8890 entity is a pretended sale under Section 50(c), Article XVI, Texas
8991 Constitution; and
9092 (14) a statement that the individual has had an
9193 opportunity:
9294 (A) to review the affidavit prior to the
9395 affidavit's execution; and
9496 (B) to consult with an attorney before the
9597 affidavit's execution, whether or not the opportunity to consult
9698 with an attorney was exercised.
9799 (e) If the individual conveying a parcel under Subsection
98100 (b) is married, the individual's spouse must join in the execution
99101 of:
100102 (1) the deed; and
101103 (2) the affidavit described by Subsection (d).
102104 SECTION 2. This Act takes effect September 1, 2021.
