55 A BILL TO BE ENTITLED
66 AN ACT
77 relating to the termination of corporate privileges for certain
88 business entities under enforcement action for a violation of
99 environmental laws.
1010 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1111 SECTION 1. Section 11.251(b), Business Organizations Code,
1212 is amended to read as follows:
1313 (b) The secretary of state may terminate a filing entity's
1414 existence if:
1515 (1) the secretary finds that:
1616 (A) [(1)] the entity has failed to, and, before
1717 the 91st day after the date notice was mailed has not corrected the
1818 entity's failure to:
1919 (i) [(A)] file a report within the period
2020 required by law or pay a fee or penalty prescribed by law when due
2121 and payable; or
2222 (ii) [(B)] maintain a registered agent or
2323 registered office in this state as required by law; or
2424 (B) [(2)] the entity has failed to, and, before
2525 the 16th day after the date notice was mailed has not corrected the
2626 entity's failure to, pay a fee required in connection with the
2727 filing of its certificate of formation, or payment of the fee was
2828 dishonored when presented by the state for payment; or
2929 (2) the Texas Commission on Environmental Quality has
3030 issued an order of termination under Subchapter I, Chapter 7, Water
3131 Code.
3232 SECTION 2. Section 11.253(a), Business Organizations Code,
3333 is amended to read as follows:
3434 (a) The secretary of state shall reinstate a filing entity
3535 that has been involuntarily terminated under this subchapter if the
3636 entity files a certificate of reinstatement in accordance with
3737 Chapter 4 and:
3838 (1) the entity has corrected the circumstances that
3939 led to the involuntary termination and any other circumstances that
4040 may exist of the types described by Section 11.251(b)(1)
4141 [11.251(b)], including the payment of fees, interest, or penalties;
4242 [or]
4343 (2) the Texas Commission on Environmental Quality has
4444 issued an order of reinstatement under Subchapter I, Chapter 7,
4545 Water Code, if the involuntary termination was based on an order of
4646 termination under Subchapter I, Chapter 7, Water Code; or
4747 (3) the secretary of state finds that the
4848 circumstances that led to the involuntary termination did not exist
4949 at the time of termination.
5050 SECTION 3. Chapter 7, Water Code, is amended by adding
5151 Subchapter I to read as follows:
5252 SUBCHAPTER I. TERMINATION OF CORPORATE PRIVILEGES
5353 Sec. 7.401. DEFINITIONS. In this subchapter:
5454 (1) "Environmental disaster" means a violation of law
5555 under the jurisdiction of the commission resulting in significant
5656 harm to human life.
5757 (2) "Filing entity" means a domestic entity that is a
5858 corporation, limited partnership, limited liability company,
5959 professional association, cooperative, or real estate investment
6060 trust.
6161 Sec. 7.402. ENVIRONMENTAL DISASTER. (a) The commission
6262 shall adopt rules to establish criteria for determining whether a
6363 filing entity that is subject to an enforcement action under this
6464 chapter is responsible for an environmental disaster in this state.
6565 (b) In adopting rules under this section, the commission
6666 shall consider whether a violation leading to an enforcement action
6767 has caused:
6868 (1) an increase in fatal diseases, including cancer,
6969 in the population near the facility where the violation occurred;
7070 (2) contaminated water;
7171 (3) contaminated air; or
7272 (4) a negative effect on the quality of life of the
7373 population near the facility where the violation occurred.
7474 Sec. 7.403. TERMINATION OF CORPORATE PRIVILEGES. (a) If
7575 the commission determines that a filing entity that is subject to an
7676 enforcement action under this chapter is responsible for an
7777 environmental disaster in this state, the commission shall:
7878 (1) issue an order for the termination of the filing
7979 entity; and
8080 (2) deliver a copy of the order to the secretary of
8181 state and the filing entity.
8282 (b) An order issued under this section must include a
8383 provision for how the filing entity may meet requirements for
8484 reinstatement through the remediation of the environmental
8585 disaster.
8686 Sec. 7.404. REINSTATEMENT OF CORPORATE PRIVILEGES. (a) A
8787 filing entity that receives a termination order under this
8888 subchapter may file with the commission evidence showing that the
8989 filing entity has met the remediation requirements described by the
9090 termination order.
9191 (b) If the commission determines that the filing entity has
9292 met the remediation requirements of the termination order, the
9393 commission shall:
9494 (1) issue an order for the reinstatement of the filing
9595 entity; and
9696 (2) deliver a copy of the order to the secretary of
9797 state and the filing entity.
9898 SECTION 4. Section 11.251(b), Business Organizations Code,
9999 as amended by this Act, applies only to a filing entity for which
100100 the Texas Commission on Environmental Quality issues an order under
101101 Subchapter I, Chapter 7, Water Code, as added by this Act, for a
102102 violation committed on or after the effective date of this Act. If
103103 the violation was committed before the effective date of this Act,
104104 the filing entity is governed by the law in effect on the date the
105105 violation was committed, and the former law is continued in effect
106106 for that purpose. For purposes of this section, a violation was
107107 committed before the effective date of this Act if any element of
108108 the violation occurred before that date.
109109 SECTION 5. This Act takes effect September 1, 2021.
