66 relating to prohibiting contracts or other agreements with certain
77 foreign-owned companies in connection with critical infrastructure
88 in this state.
99 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1010 SECTION 1. This Act may be cited as the Lone Star
1111 Infrastructure Protection Act.
1212 SECTION 2. Subtitle C, Title 5, Business & Commerce Code, is
1313 amended by adding Chapter 113 to read as follows:
1414 CHAPTER 113. PROHIBITION ON AGREEMENTS WITH CERTAIN FOREIGN-OWNED
1515 COMPANIES IN CONNECTION WITH CRITICAL INFRASTRUCTURE
1616 Sec. 113.001. DEFINITIONS. In this chapter:
1717 (1) "Company" means a for-profit sole proprietorship,
1818 organization, association, corporation, partnership, joint
1919 venture, limited partnership, limited liability partnership, or
2020 limited liability company, including a wholly owned subsidiary,
2121 majority-owned subsidiary, parent company, or affiliate of those
2222 entities or business associations that exists to make a profit.
2323 (2) "Critical infrastructure" means a communication
2424 infrastructure system, cybersecurity system, electric grid,
2525 hazardous waste treatment system, or water treatment facility.
2626 (3) "Cybersecurity" means the measures taken to
2727 protect a computer, computer network, computer system, or other
2828 technology infrastructure against unauthorized use or access.
2929 Sec. 113.002. DESIGNATION OF THREAT TO CRITICAL
3030 INFRASTRUCTURE. (a) The governor may designate a country as a
3131 threat to critical infrastructure with the consultation of the
3232 public safety director of the Department of Public Safety.
3333 (b) The governor may consult the Homeland Security Council,
3434 as described by Chapter 421, Government Code, to assess a threat to
3535 critical infrastructure under this section.
3636 Sec. 113.003. PROHIBITED ACCESS TO CRITICAL
3737 INFRASTRUCTURE. (a) A business entity may not enter into an
3838 agreement relating to critical infrastructure in this state with a
3939 company:
4040 (1) if, under the agreement, the company would be able
4141 to directly or remotely access or control critical infrastructure
4242 in this state; and
4343 (2) if the company is:
4444 (A) owned by or the majority of stock or other
4545 ownership interest of the company is held or controlled by:
4646 (i) individuals who are citizens of China,
4747 Iran, North Korea, Russia, or a country designated under Section
4848 113.002; or
4949 (ii) a company or other entity, including a
5050 governmental entity, that is owned or controlled by citizens of or
5151 is directly controlled by the government of China, Iran, North
5252 Korea, Russia, or a country designated under Section 113.002; or
5353 (B) headquartered in China, Iran, North Korea,
5454 Russia, or a country designated under Section 113.002.
5555 (b) The prohibition described by Subsection (a) applies
5656 regardless of whether:
5757 (1) the company's or its parent company's securities
5858 are publicly traded; or
5959 (2) the company or its parent company is listed as a
6060 Chinese, Iranian, North Korean, or Russian company on a public
6161 stock exchange.
6262 SECTION 3. Subtitle F, Title 10, Government Code, is
6363 amended by adding Chapter 2274 to read as follows:
6464 CHAPTER 2274. PROHIBITION ON CONTRACTS WITH CERTAIN FOREIGN-OWNED
6565 COMPANIES IN CONNECTION WITH CRITICAL INFRASTRUCTURE
6666 Sec. 2274.0101. DEFINITIONS. In this chapter:
6767 (1) "Company" means a for-profit sole proprietorship,
6868 organization, association, corporation, partnership, joint
6969 venture, limited partnership, limited liability partnership, or
7070 limited liability company, including a wholly owned subsidiary,
7171 majority-owned subsidiary, parent company, or affiliate of those
7272 entities or business associations that exists to make a profit.
7373 (2) "Critical infrastructure" means a communication
7474 infrastructure system, cybersecurity system, electric grid,
7575 hazardous waste treatment system, or water treatment facility.
7676 (3) "Cybersecurity" means the measures taken to
7777 protect a computer, computer network, computer system, or other
7878 technology infrastructure against unauthorized use or access.
7979 (4) "Governmental entity" means a state agency or
8080 political subdivision of this state.
8181 Sec. 2274.0102. PROHIBITED CONTRACTS. (a) A governmental
8282 entity may not enter into a contract or other agreement relating to
8383 critical infrastructure in this state with a company that is:
8484 (1) owned by or the majority of stock or other
8585 ownership interest of the company is held or controlled by:
8686 (A) individuals who are citizens of China, Iran,
8787 North Korea, Russia, or a country designated under Section 113.002;
8888 or
8989 (B) a company or other entity, including a
9090 governmental entity, that is owned or controlled by citizens of or
9191 is directly controlled by the government of China, Iran, North
9292 Korea, Russia, or a country designated under Section 113.002; or
9393 (2) headquartered in China, Iran, North Korea, Russia,
9494 or a country designated under Section 113.002.
9595 (b) The prohibition described by Subsection (a) applies
9696 regardless of whether:
9797 (1) the company's or its parent company's securities
9898 are publicly traded; or
9999 (2) the company or its parent company is listed as a
100100 Chinese, Iranian, North Korean, or Russian company on a public
101101 stock exchange.
102102 SECTION 4. Chapter 113, Business & Commerce Code, as added
103103 by this Act, and Chapter 2274, Government Code, as added by this
104104 Act, apply to a contract or agreement entered into on or after the
105105 effective date of this Act.
106106 SECTION 5. This Act takes effect September 1, 2021.
