	12	+	AN ACT
4	13		relating to the creation of the Veale Ranch Municipal Management
5	14		District No. 1; providing authority to issue bonds; providing
6	15		authority to impose assessments, fees, and taxes.
7	16		BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
8	17		SECTION 1. Subtitle C, Title 4, Special District Local Laws
9	18		Code, is amended by adding Chapter 3994 to read as follows:
10	19		CHAPTER 3994. VEALE RANCH MUNICIPAL MANAGEMENT DISTRICT NO. 1
11	20		SUBCHAPTER A. GENERAL PROVISIONS
12	21		Sec. 3994.0101. DEFINITIONS. In this chapter:
13	22		(1) "Board" means the district's board of directors.
14	23		(2) "City" means any municipality in the corporate
15	24		limits or extraterritorial jurisdiction of which the district is
16	25		located.
17	26		(3) "County" means Parker County or Tarrant County.
18	27		(4) "Director" means a board member.
19	28		(5) "District" means the Veale Ranch Municipal
20	29		Management District No. 1.
21	30		Sec. 3994.0102. NATURE OF DISTRICT. The Veale Ranch
22	31		Municipal Management District No. 1 is a special district created
23	32		under Section 59, Article XVI, Texas Constitution.
24	33		Sec. 3994.0103. PURPOSE; DECLARATION OF INTENT. (a) The
25	34		creation of the district is essential to accomplish the purposes of
26	35		Sections 52 and 52-a, Article III, and Section 59, Article XVI,
27	36		Texas Constitution, and other public purposes stated in this
28	37		chapter.
29	38		(b) By creating the district and in authorizing a county, a
30	39		city, and other political subdivisions to contract with the
31	40		district, the legislature has established a program to accomplish
32	41		the public purposes set out in Section 52-a, Article III, Texas
33	42		Constitution.
34	43		(c) The creation of the district is necessary to promote,
35	44		develop, encourage, and maintain employment, commerce,
36	45		transportation, housing, tourism, recreation, the arts,
37	46		entertainment, economic development, safety, and the public
38	47		welfare in the district.
39	48		(d) This chapter and the creation of the district may not be
40	49		interpreted to relieve a county or city from providing the level of
41	50		services provided as of the effective date of the Act enacting this
42	51		chapter to the area in the district. The district is created to
43	52		supplement and not to supplant county or city services provided in
44	53		the district.
45	54		Sec. 3994.0104. FINDINGS OF BENEFIT AND PUBLIC PURPOSE.
46	55		(a) All land and other property included in the district will
47	56		benefit from the improvements and services to be provided by the
48	57		district under powers conferred by Sections 52 and 52-a, Article
49	58		III, and Section 59, Article XVI, Texas Constitution, and other
50	59		powers granted under this chapter.
51	60		(b) The district is created to serve a public use and
52	61		benefit.
53	62		(c) The creation of the district is in the public interest
54	63		and is essential to further the public purposes of:
55	64		(1) developing and diversifying the economy of the
56	65		state;
57	66		(2) eliminating unemployment and underemployment; and
58	67		(3) developing or expanding transportation and
59	68		commerce.
60	69		(d) The district will:
61	70		(1) promote the health, safety, and general welfare of
62	71		residents, employers, potential employees, employees, visitors,
63	72		and consumers in the district, and of the public;
64	73		(2) provide needed funding for the district to
65	74		preserve, maintain, and enhance the economic health and vitality of
66	75		the district territory as a community and business center;
67	76		(3) promote the health, safety, welfare, and enjoyment
68	77		of the public by providing pedestrian ways and by landscaping and
69	78		developing certain areas in the district, which are necessary for
70	79		the restoration, preservation, and enhancement of scenic beauty;
71	80		and
72	81		(4) provide for water, wastewater, drainage, road, and
73	82		recreational facilities for the district.
74	83		(e) Pedestrian ways along or across a street, whether at
75	84		grade or above or below the surface, and street lighting, street
76	85		landscaping, parking, and street art objects are parts of and
77	86		necessary components of a street and are considered to be a street
78	87		or road improvement.
79	88		(f) The district will not act as the agent or
80	89		instrumentality of any private interest even though the district
81	90		will benefit many private interests as well as the public.
82	91		Sec. 3994.0105. INITIAL DISTRICT TERRITORY. (a) The
83	92		district is initially composed of the territory described by
84	93		Section 2 of the Act enacting this chapter.
85	94		(b) The boundaries and field notes contained in Section 2 of
86	95		the Act enacting this chapter form a closure. A mistake in the
87	96		field notes or in copying the field notes in the legislative process
88	97		does not affect the district's:
89	98		(1) organization, existence, or validity;
90	99		(2) right to issue any type of bonds for the purposes
91	100		for which the district is created or to pay the principal of and
92	101		interest on the bonds;
93	102		(3) right to impose or collect an assessment or tax; or
94	103		(4) legality or operation.
95	104		Sec. 3994.0106. ELIGIBILITY FOR INCLUSION IN SPECIAL ZONES.
96	105		(a) All or any part of the area of the district is eligible to be
97	106		included in:
98	107		(1) a tax increment reinvestment zone created under
99	108		Chapter 311, Tax Code;
100	109		(2) a tax abatement reinvestment zone created under
101	110		Chapter 312, Tax Code; or
102	111		(3) an enterprise zone created under Chapter 2303,
103	112		Government Code.
104	113		(b) If a city or county creates a tax increment reinvestment
105	114		zone described by Subsection (a), the city or county and the board
106	115		of directors of the zone, by contract with the district, may grant
107	116		money deposited in the tax increment fund to the district to be used
108	117		by the district for:
109	118		(1) the purposes permitted for money granted to a
110	119		corporation under Section 380.002(b), Local Government Code; and
111	120		(2) any other district purpose, including the right to
112	121		pledge the money as security for any bonds or other obligations
113	122		issued by the district under Subchapter E.
114	123		(c) If a city or county creates a tax increment reinvestment
115	124		zone described by Subsection (a), the city or county may determine
116	125		the percentage of the property in the zone that may be used for
117	126		residential purposes and is not subject to the limitations provided
118	127		by Section 311.006, Tax Code.
119	128		Sec. 3994.0107. APPLICABILITY OF MUNICIPAL MANAGEMENT
120	129		DISTRICTS LAW. Except as otherwise provided by this chapter,
121	130		Chapter 375, Local Government Code, applies to the district.
122	131		Sec. 3994.0108. CONSTRUCTION OF CHAPTER. This chapter
123	132		shall be liberally construed in conformity with the findings and
124	133		purposes stated in this chapter.
125	134		SUBCHAPTER B. BOARD OF DIRECTORS
126	135		Sec. 3994.0201. GOVERNING BODY; TERMS. (a) The district is
127	136		governed by a board of five elected directors who serve staggered
128	137		terms of four years.
129	138		(b) Directors are elected in the manner provided by
130	139		Subchapter D, Chapter 49, Water Code.
131	140		Sec. 3994.0202. COMPENSATION; EXPENSES. (a) The district
132	141		may compensate each director in an amount not to exceed $150 for
133	142		each board meeting. The total amount of compensation for each
134	143		director in one year may not exceed $7,200.
135	144		(b) A director is entitled to reimbursement for necessary
136	145		and reasonable expenses incurred in carrying out the duties and
137	146		responsibilities of the board.
138	147		Sec. 3994.0203. INITIAL DIRECTORS. (a) The initial board
139	148		consists of the following directors:

152	161		(b) Of the initial directors, the terms of directors
153	162		appointed for positions one through three expire June 1, 2022, and
154	163		the terms of directors appointed for positions four and five expire
155	164		June 1, 2024.
156	165		SUBCHAPTER C. POWERS AND DUTIES
157	166		Sec. 3994.0301. GENERAL POWERS AND DUTIES. The district
158	167		has the powers and duties necessary to accomplish the purposes for
159	168		which the district is created.
160	169		Sec. 3994.0302. IMPROVEMENT PROJECTS AND SERVICES. (a) The
161	170		district, using any money available to the district for the
162	171		purpose, may provide, design, construct, acquire, improve,
163	172		relocate, operate, maintain, or finance an improvement project or
164	173		service authorized under this chapter or Chapter 375, Local
165	174		Government Code.
166	175		(b) The district may contract with a governmental or private
167	176		entity to carry out an action under Subsection (a).
168	177		(c) The implementation of a district project or service is a
169	178		governmental function or service for the purposes of Chapter 791,
170	179		Government Code.
171	180		Sec. 3994.0303. NONPROFIT CORPORATION. (a) The board by
172	181		resolution may authorize the creation of a nonprofit corporation to
173	182		assist and act for the district in implementing a project or
174	183		providing a service authorized by this chapter.
175	184		(b) The nonprofit corporation:
176	185		(1) has each power of and is considered to be a local
177	186		government corporation created under Subchapter D, Chapter 431,
178	187		Transportation Code; and
179	188		(2) may implement any project and provide any service
180	189		authorized by this chapter.
181	190		(c) The board shall appoint the board of directors of the
182	191		nonprofit corporation. The board of directors of the nonprofit
183	192		corporation shall serve in the same manner as the board of directors
184	193		of a local government corporation created under Subchapter D,
185	194		Chapter 431, Transportation Code, except that a board member is not
186	195		required to reside in the district.
187	196		Sec. 3994.0304. LAW ENFORCEMENT SERVICES. To protect the
188	197		public interest, the district may contract with a county or city to
189	198		provide additional law enforcement services in the district for a
190	199		fee.
191	200		Sec. 3994.0305. MEMBERSHIP IN CHARITABLE ORGANIZATIONS.
192	201		The district may join and pay dues to a charitable or nonprofit
193	202		organization that performs a service or provides an activity
194	203		consistent with the furtherance of a district purpose.
195	204		Sec. 3994.0306. ECONOMIC DEVELOPMENT PROGRAMS. (a) The
196	205		district may engage in activities that accomplish the economic
197	206		development purposes of the district.
198	207		(b) The district may establish and provide for the
199	208		administration of one or more programs to promote state or local
200	209		economic development and to stimulate business and commercial
201	210		activity in the district, including programs to:
202	211		(1) make loans and grants of public money; and
203	212		(2) provide district personnel and services.
204	213		(c) The district may create economic development programs
205	214		and exercise the economic development powers provided to
206	215		municipalities by:
207	216		(1) Chapter 380, Local Government Code; and
208	217		(2) Subchapter A, Chapter 1509, Government Code.
209	218		Sec. 3994.0307. PARKING FACILITIES. (a) The district may
210	219		acquire, lease as lessor or lessee, construct, develop, own,
211	220		operate, and maintain parking facilities or a system of parking
212	221		facilities, including lots, garages, parking terminals, or other
213	222		structures or accommodations for parking motor vehicles off the
214	223		streets and related appurtenances.
215	224		(b) The district's parking facilities serve the public
216	225		purposes of the district and are owned, used, and held for a public
217	226		purpose even if leased or operated by a private entity for a term of
218	227		years.
219	228		(c) The district's parking facilities are parts of and
220	229		necessary components of a street and are considered to be a street
221	230		or road improvement.
222	231		(d) The development and operation of the district's parking
223	232		facilities may be considered an economic development program.
224	233		Sec. 3994.0308. ADDING OR EXCLUDING LAND. The district may
225	234		add or exclude land in the manner provided by Subchapter J, Chapter
226	235		49, Water Code, or by Subchapter H, Chapter 54, Water Code.
227	236		Sec. 3994.0309. DISBURSEMENTS AND TRANSFERS OF MONEY. The
228	237		board by resolution shall establish the number of directors'
229	238		signatures and the procedure required for a disbursement or
230	239		transfer of district money.
231	240		Sec. 3994.0310. NO EMINENT DOMAIN POWER. The district may
232	241		not exercise the power of eminent domain.
233	242		Sec. 3994.0311. DIVISION OF DISTRICT. (a) The district may
234	243		be divided into two or more new districts only if the district:
235	244		(1) has no outstanding bonded debt; and
236	245		(2) is not imposing ad valorem taxes.
237	246		(b) This chapter applies to any new district created by the
238	247		division of the district, and a new district has all the powers and
239	248		duties of the district.
240	249		(c) Any new district created by the division of the district
241	250		may not, at the time the new district is created, contain any land
242	251		outside the area described by Section 2 of the Act enacting this
243	252		chapter.
244	253		(d) The board, on its own motion or on receipt of a petition
245	254		signed by the owner or owners of a majority of the assessed value of
246	255		the real property in the district, may adopt an order dividing the
247	256		district.
248	257		(e) An order dividing the district must:
249	258		(1) name each new district;
250	259		(2) include the metes and bounds description of the
251	260		territory of each new district;
252	261		(3) appoint initial directors for each new district;
253	262		and
254	263		(4) provide for the division of assets and liabilities
255	264		between or among the new districts.
256	265		(f) On or before the 30th day after the date of adoption of
257	266		an order dividing the district, the district shall file the order
258	267		with the Texas Commission on Environmental Quality and record the
259	268		order in the real property records of each county in which the
260	269		district is located.
261	270		(g) Any new district created by the division of the district
262	271		must hold an election as required by this chapter to obtain voter
263	272		approval before the district may impose a maintenance tax or issue
264	273		bonds payable wholly or partly from ad valorem taxes.
265	274		(h) Municipal consent to the creation of the district and to
266	275		the inclusion of land in the district granted under Section
267	276		3994.0506 acts as municipal consent to the creation of any new
268	277		district created by the division of the district and to the
269	278		inclusion of land in the new district.
270	279		SUBCHAPTER D. ASSESSMENTS
271	280		Sec. 3994.0401. PETITION REQUIRED FOR FINANCING SERVICES
272	281		AND IMPROVEMENTS WITH ASSESSMENTS. (a) The board may not finance a
273	282		service or improvement project with assessments under this chapter
274	283		unless a written petition requesting that service or improvement
275	284		has been filed with the board.
276	285		(b) A petition filed under Subsection (a) must be signed by
277	286		the owners of a majority of the assessed value of real property in
278	287		the district subject to assessment according to the most recent
279	288		certified tax appraisal roll for the county.
280	289		Sec. 3994.0402. ASSESSMENTS; LIENS FOR ASSESSMENTS. (a)
281	290		The board by resolution may impose and collect an assessment for any
282	291		purpose authorized by this chapter in all or any part of the
283	292		district.
284	293		(b) An assessment, a reassessment, or an assessment
285	294		resulting from an addition to or correction of the assessment roll
286	295		by the district, penalties and interest on an assessment or
287	296		reassessment, an expense of collection, and reasonable attorney's
288	297		fees incurred by the district:
289	298		(1) are a first and prior lien against the property
290	299		assessed;
291	300		(2) are superior to any other lien or claim other than
292	301		a lien or claim for county, school district, or municipal ad valorem
293	302		taxes; and
294	303		(3) are the personal liability of and a charge against
295	304		the owners of the property even if the owners are not named in the
296	305		assessment proceedings.
297	306		(c) The lien is effective from the date of the board's
298	307		resolution imposing the assessment until the date the assessment is
299	308		paid. The board may enforce the lien in the same manner that the
300	309		board may enforce an ad valorem tax lien against real property.
301	310		(d) The board may make a correction to or deletion from the
302	311		assessment roll that does not increase the amount of assessment of
303	312		any parcel of land without providing notice and holding a hearing in
304	313		the manner required for additional assessments.
305	314		SUBCHAPTER E. TAXES AND BONDS
306	315		Sec. 3994.0501. TAX ELECTION REQUIRED. (a) The district
307	316		must hold an election in the manner provided by Chapter 49, Water
308	317		Code, or, if applicable, Chapter 375, Local Government Code, to
309	318		obtain voter approval before the district may impose an ad valorem
310	319		tax.
311	320		(b) Section 375.243, Local Government Code, does not apply to
312	321		the district.
313	322		Sec. 3994.0502. OPERATION AND MAINTENANCE TAX. (a) If
314	323		authorized by a majority of the district voters voting at an
315	324		election under Section 3994.0501, the district may impose an
316	325		operation and maintenance tax on taxable property in the district
317	326		in the manner provided by Section 49.107, Water Code, for any
318	327		district purpose, including to:
319	328		(1) maintain and operate the district;
320	329		(2) construct or acquire improvements; or
321	330		(3) provide a service.
322	331		(b) The board shall determine the operation and maintenance
323	332		tax rate. The rate may not exceed the rate approved at the
324	333		election.
325	334		Sec. 3994.0503. AUTHORITY TO BORROW MONEY AND TO ISSUE
326	335		BONDS AND OTHER OBLIGATIONS. (a) The district may borrow money on
327	336		terms determined by the board.
328	337		(b) The district may issue bonds, notes, or other
329	338		obligations payable wholly or partly from ad valorem taxes,
330	339		assessments, impact fees, revenue, contract payments, grants, or
331	340		other district money, or any combination of those sources of money,
332	341		to pay for any authorized district purpose.
333	342		(c) The limitation on the outstanding principal amount of
334	343		bonds, notes, or other obligations provided by Section 49.4645,
335	344		Water Code, does not apply to the district.
336	345		Sec. 3994.0504. BONDS SECURED BY REVENUE OR CONTRACT
337	346		PAYMENTS. The district may issue, without an election, bonds
338	347		secured by:
339	348		(1) revenue other than ad valorem taxes, including
340	349		contract revenues; or
341	350		(2) contract payments, provided that the requirements
342	351		of Section 49.108, Water Code, have been met.
343	352		Sec. 3994.0505. BONDS SECURED BY AD VALOREM TAXES;
344	353		ELECTIONS. (a) If authorized at an election under Section
345	354		3994.0501, the district may issue bonds payable from ad valorem
346	355		taxes.
347	356		(b) At the time the district issues bonds payable wholly or
348	357		partly from ad valorem taxes, the board shall provide for the annual
349	358		imposition of a continuing direct annual ad valorem tax, without
350	359		limit as to rate or amount, for each year that all or part of the
351	360		bonds are outstanding as required and in the manner provided by
352	361		Sections 54.601 and 54.602, Water Code.
353	362		(c) All or any part of any facilities or improvements that
354	363		may be acquired by a district by the issuance of its bonds may be
355	364		submitted as a single proposition or as several propositions to be
356	365		voted on at the election.
357	366		Sec. 3994.0506. CONSENT OF MUNICIPALITY AND DEVELOPMENT
358	367		AGREEMENT REQUIRED. (a) The board may not hold an election to
359	368		authorize the issuance of bonds until:
360	369		(1) the governing body of a city by ordinance or
361	370		resolution consents to the creation of the district and to the
362	371		inclusion of land in the district; and
363	372		(2) the district, the governing body of the city that
364	373		consents to the creation of the district as described by
365	374		Subdivision (1), and the owner or owners of a majority of the
366	375		assessed value of real property in the district negotiate and
367	376		execute a mutually approved and accepted development and operating
368	377		agreement, including any limitations imposed by the city.
369	378		(b) A city's consent under Subsection (a) must be granted in
370	379		the manner provided by Section 54.016, Water Code, for including
371	380		land within the corporate limits or extraterritorial jurisdiction
372	381		of a city.
373	382		SUBCHAPTER I. DISSOLUTION
374	383		Sec. 3994.0901. DISSOLUTION. (a) The board shall dissolve
375	384		the district on written petition filed with the board by the owners
376	385		of:
377	386		(1) 66 percent or more of the assessed value of the
378	387		property subject to assessment by the district based on the most
379	388		recent certified county property tax rolls; or
380	389		(2) 66 percent or more of the surface area of the
381	390		district, excluding roads, streets, highways, utility
382	391		rights-of-way, other public areas, and other property exempt from
383	392		assessment by the district according to the most recent certified
384	393		county property tax rolls.
385	394		(b) The board by majority vote may dissolve the district at
386	395		any time.
387	396		(c) The district may not be dissolved by its board under
388	397		Subsection (a) or (b) if the district:
389	398		(1) has any outstanding bonded indebtedness until that
390	399		bonded indebtedness has been repaid or defeased in accordance with
391	400		the order or resolution authorizing the issuance of the bonds;
392	401		(2) has a contractual obligation to pay money until
393	402		that obligation has been fully paid in accordance with the
394	403		contract; or
395	404		(3) owns, operates, or maintains public works,
396	405		facilities, or improvements unless the district contracts with
397	406		another person for the ownership, operation, or maintenance of the
398	407		public works, facilities, or improvements.
399	408		(d) Sections 375.261, 375.262, and 375.264, Local
400	409		Government Code, do not apply to the district.
401	410		SECTION 2. The Veale Ranch Municipal Management District
402	411		No. 1 initially includes all territory contained in the following
403	412		area:
404	413		All that certain 3790.36 acre tract or parcel of land situated in
405	414		Tarrant and Parker Counties of the State of Texas and being part of
406	415		the H. T. & B. RR Co. Survey, Section Number 3, Abstract Number 648,
407	416		the N. Underwood Survey, Abstract Number 1579, the I. & G. N. RR Co.
408	417		Survey, Abstract Number 2002, the W. Robinson Survey, Abstract
409	418		Number 1107, the I. & G. N. RR Co. Survey, Abstract Number 2224, the
410	419		I & G. N. RR Co. Survey, Abstract Number 1991, in said Parker
411	420		County; and being part of the I. & G. N. RR Co. Survey, Abstract
412	421		Number not yet assigned this date, the I & G. N. RR Co. Survey,
413	422		Abstract Number not yet assigned this date, the W. Robinson Survey,
414	423		Abstract Number 1274, the H. Lane Survey, Abstract Number 928, the
415	424		T. & N. O. RR Survey, Abstract Number 1567, the S. A. & M. G. RR Co.
416	425		Survey, Abstract Number 1479, the Socorro Farming Co. Survey,
417	426		Abstract Number 1844, the G. H. & H. RR Survey, Abstract Number 623,
418	427		the D. Dixon Survey, Abstract Number 442, the D. T. Finley Survey,
419	428		Abstract Number 1900, the D. T. Finley Survey, Abstract Number
420	429		1903, and all of the W. Atkins Survey, Abstract Number 1961 in said
421	430		Tarrant County, said tract being part of a called 3893.555 acre
422	431		tract as described in a deed to Iona L.L.C., filed 24 April 2003,
423	432		and recorded in volume 2096 page 106 of the Official Property
424	433		Records of said Parker County, Texas, (hereinafter referred to as
425	434		OPRPC), and recorded in instrument D203145633 of the Official
426	435		Records of said Tarrant County (hereinafter referred to as ORTC),
427	436		and said tract being all of a called 11.000 acre tract as described
428	437		in deed to Iona Land, L.P., filed 03 May 2005, and recorded in
429	438		instrument number D205124001, and said tract being all of the
430	439		remainder of a called 62.050 acre tract of land and all of a called
431	440		0.847 acre tract of land as described in a deed to Iona East L.L.C.,
432	441		filed 21 April 2015, recorded in Document Number 215081241 of said
433	442		ORTC, said tract also being all of a called 25.00 acre tract as
434	443		described in a deed to Iona East L.L.C., filed 21 April 2015,
435	444		recorded in Document Number 215081239 of said ORTC, and being more
436	445		particularly described as follows;
437	446		BEGINNING at a nail found at the base of a pipe fence corner post for
438	447		the most southerly southeast corner of the tract being described,
439	448		said nail having NAD83 Grid coordinates of N-6918724.96,
440	449		E-2268232.52, and said nail being the most southerly southeast
441	450		corner of said Iona 3893.555 acre tract, same being the northeast
442	451		corner of a called 584.049 acre tract of land to Aledo Real Estate
