59 relating to prohibiting contracts or other agreements with certain
610 foreign-owned companies in connection with critical infrastructure
711 in this state.
812 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
913 SECTION 1. This Act may be cited as the Lone Star
1014 Infrastructure Protection Act.
1115 SECTION 2. Subtitle C, Title 5, Business & Commerce Code, is
1216 amended by adding Chapter 113 to read as follows:
1317 CHAPTER 113. PROHIBITION ON AGREEMENTS WITH CERTAIN FOREIGN-OWNED
1418 COMPANIES IN CONNECTION WITH CRITICAL INFRASTRUCTURE
1519 Sec. 113.001. DEFINITIONS. In this chapter:
1620 (1) "Company" means a sole proprietorship,
1721 organization, association, corporation, partnership, joint
1822 venture, limited partnership, limited liability partnership, or
1923 limited liability company, including a wholly owned subsidiary,
2024 majority-owned subsidiary, parent company, or affiliate of those
2125 entities or business associations, that exists to make a profit.
2226 (2) "Critical infrastructure" means a communication
2327 infrastructure system, cybersecurity system, electric grid,
2428 hazardous waste treatment system, or water treatment facility.
2529 (3) "Cybersecurity" means the measures taken to
2630 protect a computer, computer network, computer system, or other
2731 technology infrastructure against unauthorized use or access.
2832 (4) "Designated country" means a country designated by
2933 the governor as a threat to critical infrastructure under Section
3034 113.003.
3135 Sec. 113.002. PROHIBITED ACCESS TO CRITICAL
3236 INFRASTRUCTURE. (a) A business entity may not enter into an
3337 agreement relating to critical infrastructure in this state with a
3438 company:
3539 (1) if, under the agreement, the company would be
3640 granted direct or remote access to or control of critical
3741 infrastructure in this state, excluding access specifically
3842 allowed by the business entity for product warranty and support
3943 purposes; and
4044 (2) if the business entity knows that the company is:
4145 (A) owned by or the majority of stock or other
4246 ownership interest of the company is held or controlled by:
4347 (i) individuals who are citizens of China,
4448 Iran, North Korea, Russia, or a designated country; or
4549 (ii) a company or other entity, including a
4650 governmental entity, that is owned or controlled by citizens of or
4751 is directly controlled by the government of China, Iran, North
4852 Korea, Russia, or a designated country; or
4953 (B) headquartered in China, Iran, North Korea,
5054 Russia, or a designated country.
5155 (b) The prohibition described by Subsection (a) applies
5256 regardless of whether:
5357 (1) the company's or its parent company's securities
5458 are publicly traded; or
5559 (2) the company or its parent company is listed on a
5660 public stock exchange as:
5761 (A) a Chinese, Iranian, North Korean, or Russian
5862 company; or
5963 (B) a company of a designated country.
6064 Sec. 113.003. DESIGNATION OF COUNTRY AS THREAT TO CRITICAL
6165 INFRASTRUCTURE. (a) The governor, after consultation with the
6266 public safety director of the Department of Public Safety, may
6367 designate a country as a threat to critical infrastructure for
6468 purposes of this chapter.
65- (b) The governor shall consult the Homeland Security
66- Council, established under Subchapter B, Chapter 421, Government
67- Code, to assess a threat to critical infrastructure for purposes of
68- making a designation under this section.
69+ (b) The governor may consult the Homeland Security Council,
70+ established under Subchapter B, Chapter 421, Government Code, to
71+ assess a threat to critical infrastructure for purposes of making a
72+ designation under this section.
6973 SECTION 3. Subtitle F, Title 10, Government Code, is
7074 amended by adding Chapter 2274 to read as follows:
7175 CHAPTER 2274. PROHIBITION ON CONTRACTS WITH CERTAIN FOREIGN-OWNED
7276 COMPANIES IN CONNECTION WITH CRITICAL INFRASTRUCTURE
7377 Sec. 2274.0101. DEFINITIONS. In this chapter:
7478 (1) "Company" means a sole proprietorship,
7579 organization, association, corporation, partnership, joint
7680 venture, limited partnership, limited liability partnership, or
7781 limited liability company, including a wholly owned subsidiary,
7882 majority-owned subsidiary, parent company, or affiliate of those
7983 entities or business associations, that exists to make a profit.
8084 (2) "Critical infrastructure" means a communication
8185 infrastructure system, cybersecurity system, electric grid,
8286 hazardous waste treatment system, or water treatment facility.
8387 (3) "Cybersecurity" means the measures taken to
8488 protect a computer, computer network, computer system, or other
8589 technology infrastructure against unauthorized use or access.
8690 (4) "Designated country" means a country designated by
8791 the governor as a threat to critical infrastructure under Section
8892 2274.0103.
8993 (5) "Governmental entity" means a state agency or
9094 political subdivision of this state.
9195 Sec. 2274.0102. PROHIBITED CONTRACTS. (a) A governmental
9296 entity may not enter into a contract or other agreement relating to
9397 critical infrastructure in this state with a company:
9498 (1) if, under the contract or other agreement, the
9599 company would be granted direct or remote access to or control of
96100 critical infrastructure in this state, excluding access
97101 specifically allowed by the governmental entity for product
98102 warranty and support purposes; and
99103 (2) if the governmental entity knows that the company
100104 is:
101105 (A) owned by or the majority of stock or other
102106 ownership interest of the company is held or controlled by:
103107 (i) individuals who are citizens of China,
104108 Iran, North Korea, Russia, or a designated country; or
105109 (ii) a company or other entity, including a
106110 governmental entity, that is owned or controlled by citizens of or
107111 is directly controlled by the government of China, Iran, North
108112 Korea, Russia, or a designated country; or
109113 (B) headquartered in China, Iran, North Korea,
110114 Russia, or a designated country.
111115 (b) The prohibition described by Subsection (a) applies
112116 regardless of whether:
113117 (1) the company's or its parent company's securities
114118 are publicly traded; or
115119 (2) the company or its parent company is listed on a
116120 public stock exchange as:
117121 (A) a Chinese, Iranian, North Korean, or Russian
118122 company; or
119123 (B) a company of a designated country.
120124 Sec. 2274.0103. DESIGNATION OF COUNTRY AS THREAT TO
121125 CRITICAL INFRASTRUCTURE. (a) The governor, after consultation
122126 with the public safety director of the Department of Public Safety,
123127 may designate a country as a threat to critical infrastructure for
124128 purposes of this chapter.
125- (b) The governor shall consult the Homeland Security

129133 SECTION 4. Chapter 113, Business & Commerce Code, as added
130134 by this Act, and Chapter 2274, Government Code, as added by this
131135 Act, apply to a contract or agreement entered into on or after the
132136 effective date of this Act.
133- SECTION 5. This Act takes effect immediately if it receives
134- a vote of two-thirds of all the members elected to each house, as
135- provided by Section 39, Article III, Texas Constitution. If this
136- Act does not receive the vote necessary for immediate effect, this
137- Act takes effect September 1, 2021.
