55 relating to the exclusion of certain conveyances from
66 classification as sham or pretended sales.
77 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
88 SECTION 1. Subchapter A, Chapter 41, Property Code, is
99 amended by adding Section 41.0022 to read as follows:
1010 Sec. 41.0022. CERTAIN CONVEYANCES NOT SHAM OR PRETENDED
1111 SALES. (a) In this section:
1212 (1) "Entity" means a domestic or foreign:
1313 (A) corporation, professional corporation, or
1414 professional association;
1515 (B) limited liability company or professional
1616 limited liability company; or
1717 (C) limited partnership.
1818 (2) "Parcel" means one or more parcels.
1919 (b) The conveyance of a parcel not meeting the definition of
2020 an urban homestead under Section 41.002(a) or (c) by an individual
2121 to an entity in which the individual or individual's spouse has a
2222 direct or indirect ownership interest is not a sham or pretended
2323 sale, including a pretended sale under Section 50(c), Article XVI,
2424 Texas Constitution, if:
2525 (1) the deed conveying the parcel is recorded at least
2626 30 days before the entity grants a mortgage, trust deed, or other
2727 lien on the parcel;
2828 (2) the individual does not reside on the parcel at the
2929 time of the conveyance;
3030 (3) the parcel is not contiguous to the parcel on which
3131 the individual resides;
3232 (4) the deed conveying the parcel does not contain a
3333 condition of defeasance; and
3434 (5) the individual recorded contemporaneously with
3535 the deed an affidavit substantially in the form prescribed by
3636 Subsection (d).
3737 (c) An individual executing a deed under Subsection (b) is
3838 estopped from claiming that:
3939 (1) the conveyance is a sham or pretended sale,
4040 including a pretended sale under Section 50(c), Article XVI, Texas
4141 Constitution; or
4242 (2) the individual had not abandoned homestead rights,
4343 if any, in the parcel by executing the deed.
4444 (d) At the time of recording a deed under Subsection (b), an
4545 individual grantor of the deed shall record an affidavit containing
4646 the following:
4747 (1) a title caption stating "Affidavit Regarding
4848 Conveyance To An Entity";
4949 (2) the date of the affidavit;
5050 (3) a description of the deed containing:
5151 (A) the title of the deed;
5252 (B) the date of the deed;
5353 (C) the name and address of the individual
5454 grantor; and
5555 (D) the name and address of the entity grantee;
5656 (4) a description of the parcel being conveyed to the
5757 entity;
5858 (5) a description of the parcel upon which the
5959 individual currently resides;
6060 (6) a statement that the parcel being conveyed is not
6161 contiguous to the parcel upon which the individual currently
6262 resides;
6363 (7) a statement that the parcel upon which the
6464 individual currently resides is not:
6565 (A) located within the limits of a municipality
6666 or its extraterritorial jurisdiction or a platted subdivision; or
6767 (B) served by police protection, paid or
6868 volunteer fire protection, and at least three of the following
6969 services provided by a municipality or under contract to a
7070 municipality:
7171 (i) electric;
7272 (ii) natural gas;
7373 (iii) sewer;
7474 (iv) storm sewer; or
7575 (v) water;
7676 (8) a statement that:
7777 (A) the individual is unmarried; or
7878 (B) the individual is married, and including the
7979 name of the individual's spouse;
8080 (9) a statement that the individual or individual's
8181 spouse owns a direct or indirect interest in the entity;
8282 (10) a statement that the individual has executed the
8383 deed conveying the parcel to the entity;
8484 (11) a statement that the individual intends to vest
8585 title in the entity;
8686 (12) a statement that there are no written or oral
8787 agreements regarding a defeasance of the parcel upon the passage of
8888 time or occurrence or non-occurrence of any event;
8989 (13) a statement that the individual acknowledges that
9090 the individual will be estopped from claiming the conveyance to the
9191 entity is a sham or pretended sale, including a pretended sale under
9292 Section 50(c), Article XVI, Texas Constitution;
9393 (14) a statement that the individual acknowledges that
9494 the individual will be estopped from claiming the individual had
9595 not abandoned homestead rights, if any, in the parcel by executing
9696 the deed;
9797 (15) a statement that the individual understands that
9898 if the parcel is valued for ad valorem tax purposes as qualified
9999 open-space land, the entity must reapply in its own name by the
100100 applicable filing deadline; and
101101 (16) a statement that the individual has had an
102102 opportunity:
103103 (A) to review the affidavit prior to the
104104 affidavit's execution; and
105105 (B) to consult with an attorney before the
106106 affidavit's execution, whether or not the opportunity to consult
107107 with an attorney was exercised.
108108 (e) If the individual conveying a parcel under Subsection
109109 (b) is married, the individual's spouse must join in the execution
110110 of:
111111 (1) the deed; and
112112 (2) the affidavit described by Subsection (d).
113113 (f) The entity or a lender for value may conclusively rely
114114 on an affidavit described by Subsection (d).
115115 (g) Notwithstanding any other provision of this section, a
116116 transaction that does not meet the requirements of this section is
117117 not invalid if the homestead has been abandoned or disclaimed as
118118 provided by other provisions of law.
119119 SECTION 2. This Act takes effect September 1, 2023.
