2424 AN ACT
2525 relating to the award of compensatory damages caused by certain
2626 delays under governmental construction contracts.
2727 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
2828 SECTION 1. Subchapter Z, Chapter 2252, Government Code, is
2929 amended by adding Section 2252.909 to read as follows:
3030 Sec. 2252.909. COMPENSATORY DAMAGES CAUSED BY GOVERNMENTAL
3131 DELAYS IN CONSTRUCTION CONTRACTS. (a) In this section:
3232 (1) "Compensatory damages" means the costs actually
3333 incurred by a contractor as a result of delay in the schedule that
3434 could not be reasonably mitigated by the contractor. The term does
3535 not include:
3636 (A) special damages;
3737 (B) consequential damages;
3838 (C) home office overhead, except overhead costs
3939 for labor as defined in the applicable construction contract;
4040 (D) profit or markup on indirect costs;
4141 (E) the costs of performing additional work that
4242 are separately agreed to by the governmental entity and contractor
4343 in a construction contract; or
4444 (F) indirect costs not related to the project in
4545 the applicable construction contract.
4646 (2) "Contractor" means a person engaged in the
4747 business of developing, constructing, fabricating, repairing,
4848 altering, or remodeling improvements to real property.
4949 (3) "Governmental entity" means:
5050 (A) the state;
5151 (B) a municipality, county, public school
5252 district, or special-purpose district or authority;
5353 (C) a district, county, or justice of the peace
5454 court;
5555 (D) a board, commission, department, office, or
5656 other agency in the executive branch of state government, including
5757 an institution of higher education as defined by Section 61.003,
5858 Education Code;
5959 (E) the legislature or a legislative agency; or
6060 (F) the Supreme Court of Texas, the Texas Court
6161 of Criminal Appeals, a court of appeals, or the State Bar of Texas
6262 or another judicial agency having statewide jurisdiction.
6363 (b) A provision of a construction contract between a
6464 governmental entity and a contractor may not prohibit the award of
6565 compensatory damages to the contractor for a delay to the extent
6666 that the delay is caused solely by the governmental entity or by a
6767 party for which the governmental entity is responsible.
6868 (c) This section does not restrict, limit, or prohibit the
6969 inclusion of a contract provision in a construction contract
7070 prescribing requirements or conditions that must be met by a
7171 contractor to seek recovery of compensatory damages, including
7272 requirements or conditions relating to notice, justification, or a
7373 duty to mitigate or for demonstrating or proving the actual cost or
7474 schedule impact of a delay.
7575 (d) This section may not be waived. A purported waiver of
7676 this section in violation of this subsection is void.
7777 (e) This section does not apply to a construction contract
7878 for:
7979 (1) services related to recovery or relief from a
8080 natural disaster involving the repair or renovation of a residence;
8181 or
8282 (2) the construction or repair of a critical
8383 infrastructure facility, as that term is defined by Section 59.001,
8484 Business & Commerce Code, owned or operated by the governmental
8585 entity or any building, structure, improvement, appurtenance, or
8686 other facility owned by the governmental entity that is necessary
8787 to the operation of and directly related to the critical
8888 infrastructure facility.
8989 SECTION 2. Section 2252.909, Government Code, as added by
9090 this Act, applies only to a construction contract entered into on or
9191 after the effective date of this Act.
9292 SECTION 3. This Act takes effect September 1, 2023.
