55 A BILL TO BE ENTITLED
66 AN ACT
77 relating to the disclosure of certain contracting information under
88 the public information law.
99 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1010 SECTION 1. Section 552.003(1-a), Government Code, is
1111 amended to read as follows:
1212 (1-a) "Contracting information" means the following
1313 information maintained by a governmental body or sent between a
1414 governmental body and a vendor, contractor, potential vendor, or
1515 potential contractor:
1616 (A) information in a voucher, [or] contract, or
1717 financial document relating to the receipt or expenditure of public
1818 funds by a governmental body;
1919 (B) solicitation or bid documents relating to a
2020 contract with a governmental body;
2121 (C) communications sent between a governmental
2222 body and a vendor, contractor, potential vendor, or potential
2323 contractor during the solicitation, evaluation, or negotiation of a
2424 contract;
2525 (D) documents, including bid tabulations,
2626 showing the criteria by which a governmental body evaluates each
2727 vendor, contractor, potential vendor, or potential contractor
2828 responding to a solicitation and, if applicable, an explanation of
2929 why the vendor or contractor was selected; and
3030 (E) communications and other information sent
3131 between a governmental body and a vendor or contractor related to
3232 the performance of a final contract with the governmental body or
3333 work performed on behalf of the governmental body.
3434 SECTION 2. Section 552.0222, Government Code, is amended by
3535 amending Subsection (b) and adding Subsections (d), (e), and (f) to
3636 read as follows:
3737 (b) The exceptions to disclosure provided by Sections
3838 552.104, 552.108, 552.110, and 552.1101 do not apply to the
3939 following types of contracting information:
4040 (1) a contract described by Section 2261.253(a),
4141 excluding any information that was properly redacted under
4242 Subsection (e) of that section;
4343 (2) a contract described by Section 322.020(c),
4444 excluding any information that was properly redacted under
4545 Subsection (d) of that section;
4646 (3) the following contract or offer terms or their
4747 functional equivalent:
4848 (A) any term describing the overall or total
4949 price the governmental body will or could potentially pay,
5050 including overall or total value, maximum liability, and final
5151 price;
5252 (B) a description of the items or services to be
5353 delivered with the total price for each if a total price is
5454 identified for the item or service in the contract;
5555 (C) the delivery and service deadlines;
5656 (D) the remedies for breach of contract;
5757 (E) the identity of all parties to the contract;
5858 (F) the identity of all subcontractors in a
5959 contract;
6060 (G) the affiliate overall or total pricing for a
6161 vendor, contractor, potential vendor, or potential contractor,
6262 including operating costs;
6363 (H) the execution dates;
6464 (I) the effective dates; and
6565 (J) the contract duration terms, including any
6666 extension options; [or]
6767 (4) information indicating whether a vendor,
6868 contractor, potential vendor, or potential contractor performed
6969 its duties under a contract, including information regarding:
7070 (A) a breach of contract;
7171 (B) a contract variance or exception;
7272 (C) a remedial action;
7373 (D) an amendment to a contract;
7474 (E) any assessed or paid liquidated damages;
7575 (F) a key measures report;
7676 (G) a progress report; and
7777 (H) a final payment checklist; or
7878 (5) communications and other information sent between
7979 a governmental body and a vendor, contractor, potential vendor, or
8080 potential contractor concerning information described by this
8181 subsection.
8282 (d) Section 552.305(a) does not apply to information
8383 subject to disclosure under Subsection (b). A governmental body
8484 may not decline to release information subject to disclosure under
8585 Subsection (b) in order to allow a vendor, contractor, potential
8686 vendor, or potential contractor to assert an exception to
8787 disclosure listed in that subsection.
8888 (e) A governmental body shall release information subject
8989 to disclosure under Subsection (b) in unredacted form, even if the
9090 governmental body has or will request a decision from the attorney
9191 general under Subchapter G regarding other information subject to
9292 the request.
9393 (f) Notwithstanding another provision of this chapter, a
9494 governmental body may not request an attorney general's decision
9595 under Subchapter G regarding information subject to disclosure
9696 under Subsection (b).
9797 SECTION 3. Section 552.104(a), Government Code, is amended
9898 to read as follows:
9999 (a) Except as provided by Section 552.0222, information
100100 [Information] is excepted from the requirements of Section 552.021
101101 if a governmental body demonstrates that release of the information
102102 would harm its interests by providing a substantial [an] advantage
103103 to a competitor or bidder in a particular ongoing competitive
104104 situation or in a particular competitive situation where the
105105 governmental body establishes the situation at issue is set to
106106 reoccur or there is a specific and demonstrable intent to enter into
107107 the competitive situation again in the future.
108108 SECTION 4. Sections 552.108(a) and (b), Government Code,
109109 are amended to read as follows:
110110 (a) Except as provided by Section 552.0222, information
111111 [Information] held by a law enforcement agency or prosecutor that
112112 deals with the detection, investigation, or prosecution of crime is
113113 excepted from the requirements of Section 552.021 if:
114114 (1) release of the information would interfere with
115115 the detection, investigation, or prosecution of crime;
116116 (2) it is information that deals with the detection,
117117 investigation, or prosecution of crime only in relation to an
118118 investigation that did not result in conviction or deferred
119119 adjudication;
120120 (3) it is information relating to a threat against a
121121 peace officer or detention officer collected or disseminated under
122122 Section 411.048; or
123123 (4) it is information that:
124124 (A) is prepared by an attorney representing the
125125 state in anticipation of or in the course of preparing for criminal
126126 litigation; or
127127 (B) reflects the mental impressions or legal
128128 reasoning of an attorney representing the state.
129129 (b) Except as provided by Section 552.0222, an [An] internal
130130 record or notation of a law enforcement agency or prosecutor that is
131131 maintained for internal use in matters relating to law enforcement
132132 or prosecution is excepted from the requirements of Section 552.021
133133 if:
134134 (1) release of the internal record or notation would
135135 interfere with law enforcement or prosecution;
136136 (2) the internal record or notation relates to law
137137 enforcement only in relation to an investigation that did not
138138 result in conviction or deferred adjudication; or
139139 (3) the internal record or notation:
140140 (A) is prepared by an attorney representing the
141141 state in anticipation of or in the course of preparing for criminal
142142 litigation; or
143143 (B) reflects the mental impressions or legal
144144 reasoning of an attorney representing the state.
145145 SECTION 5. Sections 552.1101(a) and (c), Government Code,
146146 are amended to read as follows:
147147 (a) Except as provided by Section 552.0222, information
148148 submitted to a governmental body by a vendor, contractor, potential
149149 vendor, or potential contractor in response to a request for a bid,
150150 proposal, or qualification is excepted from the requirements of
151151 Section 552.021 if the vendor, contractor, potential vendor, or
152152 potential contractor that the information relates to demonstrates
153153 based on specific factual evidence that disclosure of the
154154 information would:
155155 (1) reveal an individual approach to:
156156 (A) work;
157157 (B) organizational structure;
158158 (C) staffing;
159159 (D) internal operations;
160160 (E) processes; or
161161 (F) discounts, pricing methodology, pricing per
162162 kilowatt hour, cost data, or other pricing information that will be
163163 used in future solicitation or bid documents; and
164164 (2) give a substantial advantage to a competitor.
165165 (c) The exception to disclosure provided by Subsection (a)
166166 may be asserted only by a vendor, contractor, potential vendor, or
167167 potential contractor in the manner described by Section 552.305(b)
168168 for the purpose of protecting the interests of the vendor,
169169 contractor, potential vendor, or potential contractor. A
170170 governmental body shall decline to release information as provided
171171 by Section 552.305(a), unless the information is subject to
172172 disclosure under Section 552.0222(b), to the extent necessary to
173173 allow a vendor, contractor, potential vendor, or potential
174174 contractor to assert the exception to disclosure provided by
175175 Subsection (a).
176176 SECTION 6. Section 321.3022(f), Tax Code, is repealed.
177177 SECTION 7. The changes in law made by this Act apply only to
178178 a request for public information that is received by a governmental
179179 body or an officer for public information on or after the effective
180180 date of this Act.
181181 SECTION 8. This Act takes effect September 1, 2023.
