10 | 10 | | Supply Corporation to the Angelina and Neches River Authority. |

11 | 11 | | BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS: |

12 | 12 | | SECTION 1. DEFINITIONS. In this Act: |
---|
13 | 13 | | (1) "Authority" means the Angelina and Neches River |
---|
14 | 14 | | Authority. |
---|
15 | 15 | | (2) "Corporation" means the Woodlawn Water Supply |
---|
16 | 16 | | Corporation. |
---|
17 | 17 | | SECTION 2. TRANSFER OF WATER SUPPLY CORPORATION; ASSETS; |
---|
18 | 18 | | DISSOLUTION. (a) The authority may enter into a contract with the |
---|
19 | 19 | | corporation to transfer the assets, debts, and contractual rights |
---|
20 | 20 | | and obligations of the corporation to the authority. |
---|
21 | 21 | | (b) On the date a contract is executed as provided by |
---|
22 | 22 | | Subsection (a) of this section: |
---|
23 | 23 | | (1) all real property, easements, appurtenances, |
---|
24 | 24 | | conveyance systems, transmission and treatment systems, designated |
---|
25 | 25 | | rights-of-way, and other property interests of the corporation are |
---|
26 | 26 | | transferred to the authority; |
---|
27 | 27 | | (2) Certificate of Convenience and Necessity |
---|
28 | 28 | | No. 10354 is considered to be held by the authority; and |
---|
29 | 29 | | (3) the board of directors of the corporation shall |
---|
30 | 30 | | notify: |
---|
31 | 31 | | (A) the Texas Commission on Environmental |
---|
32 | 32 | | Quality of the transfer of the corporation to the authority; and |
---|
33 | 33 | | (B) the Public Utility Commission of Texas of the |
---|
34 | 34 | | transfer of Certificate of Convenience and Necessity No. 10354 to |
---|
35 | 35 | | the authority. |
---|
36 | 36 | | (c) On receipt of notice under Subsection (b)(3)(B) of this |
---|
37 | 37 | | section, the Public Utility Commission of Texas shall note in its |
---|
38 | 38 | | records that Certificate of Convenience and Necessity No. 10354 is |
---|
39 | 39 | | held by the authority and shall reissue the certificate in the name |
---|
40 | 40 | | of the authority without further application, notice, or hearing. A |
---|
41 | 41 | | person, party, or entity does not have any right of protest, |
---|
42 | 42 | | objection, or administrative review of the transfer prescribed by |
---|
43 | 43 | | this section. |
---|
44 | 44 | | (d) Not later than 30 days after the date of the transfer |
---|
45 | 45 | | under Subsection (b) of this section, the board of directors of the |
---|
46 | 46 | | corporation shall commence dissolution proceedings of the |
---|
47 | 47 | | corporation. |
---|
48 | 48 | | SECTION 3. EFFECTIVE DATE. This Act takes effect |
---|
49 | 49 | | immediately if it receives a vote of two-thirds of all the members |
---|
50 | 50 | | elected to each house, as provided by Section 39, Article III, Texas |
---|
51 | 51 | | Constitution. If this Act does not receive the vote necessary for |
---|
52 | 52 | | immediate effect, this Act takes effect September 1, 2025. |
