77 A BILL TO BE ENTITLED
88 AN ACT
99 relating to prohibiting certain nondisclosure or non-disparagement
1010 agreements by employers; creating a civil cause of action.
1111 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1212 SECTION 1. Subtitle A, Title 2, Labor Code, is amended by
1313 adding Chapter 25 to read as follows:
1414 CHAPTER 25. CERTAIN NONDISCLOSURE AND NON-DISPARAGEMENT
1515 AGREEMENTS PROHIBITED
1616 Sec. 25.001. DEFINITIONS. In this chapter:
1717 (1) "Employee" means an individual who performs
1818 services for an employer for compensation under an oral or written
1919 contract of hire, whether express or implied.
2020 (2) "Employer" has the meaning assigned by Section
2121 61.001.
2222 Sec. 25.002. EXEMPTIONS. This chapter does not prohibit:
2323 (1) enforcement of a provision in any agreement that
2424 prohibits the disclosure of the amount paid in a settlement
2525 agreement; or
2626 (2) an agreement that lawfully protects trade secrets,
2727 proprietary information, or confidential information not subject
2828 to this chapter.
2929 Sec. 25.003. PROVISIONS OF CERTAIN AGREEMENTS VOID AND
3030 UNENFORCEABLE. Any provision of a nondisclosure, confidentiality,
3131 or non-disparagement agreement or any other agreement between an
3232 employer and an individual who is an employee or independent
3333 contractor is void and unenforceable as against the public policy
3434 of this state if the provision prohibits the individual from
3535 disclosing or discussing conduct that the individual reasonably
3636 believes is a violation of state or federal law, including a
3737 violation of law related to:
3838 (1) wages;
3939 (2) discrimination;
4040 (3) harassment;
4141 (4) retaliation; or
4242 (5) sexual assault.
4343 Sec. 25.004. PROHIBITED CONDUCT BY EMPLOYER. An employer
4444 may not:
4545 (1) discriminate or retaliate against an individual
4646 because the individual:
4747 (A) discloses or discusses conduct that the
4848 individual reasonably believes is a violation of law described by
4949 Section 25.003; or
5050 (B) refuses to sign an agreement prohibited by
5151 this chapter;
5252 (2) request or require that an individual sign an
5353 agreement prohibited by this chapter; or
5454 (3) attempt to enforce a provision of an agreement
5555 prohibited by this chapter, whether through a lawsuit, a threat to
5656 enforce, or any other attempt to influence an individual to comply
5757 with a provision in any agreement that is prohibited by this
5858 chapter.
5959 Sec. 25.005. CIVIL ACTION. (a) An individual aggrieved by
6060 a violation of this chapter may bring a civil action against the
6161 employer to enforce rights protected by this chapter.
6262 (b) An individual who prevails in a civil action under this
6363 section is entitled to recover from the employer:
6464 (1) damages in an amount equal to the greater of:
6565 (A) actual damages incurred; or
6666 (B) $10,000; and
6767 (2) reasonable attorney's fees and costs.
6868 Sec. 25.006. LIBERAL CONSTRUCTION. This chapter shall be
6969 liberally construed to effectuate its purposes.
7070 SECTION 2. (a) Section 25.003, Labor Code, as added by this
7171 Act, applies to an agreement entered before, on, or after the
7272 effective date of this Act.
7373 (b) Sections 25.004 and 25.005, Labor Code, as added by this
7474 Act, apply only to a cause of action that accrues on or after the
7575 effective date of this Act.
7676 SECTION 3. This Act takes effect September 1, 2025.
