| 11 | 12 | | WHEREAS, On February 27, 1925, the company was founded in |

| 12 | 13 | | Texas City as the R. B. Smith Agency; after a number of acquisitions |

| 13 | 14 | | and mergers, it became known in 1976 as Rust, Ewing, Watt, and |

| 14 | 15 | | Haney, reflecting the agency's evolution and growth; some four |

| 15 | 16 | | decades later, Texas Independent Bancshares assumed full ownership |

| 16 | 17 | | of the company; the agency's subsequent name change to Texas First |

| 17 | 18 | | Insurance marked an expansion of services to the Houston market; |

| 19 | 20 | | WHEREAS, Today, Texas First Insurance is one of the largest |
