| 10 | 15 | | BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS: |

| 11 | 16 | | SECTION 1. DEFINITIONS. In this Act: |
|---|
| 12 | 17 | | (1) "Authority" means the Angelina and Neches River |
|---|
| 13 | 18 | | Authority. |
|---|
| 14 | 19 | | (2) "Corporation" means the Woodlawn Water Supply |
|---|
| 15 | 20 | | Corporation. |
|---|
| 16 | 21 | | SECTION 2. TRANSFER OF WATER SUPPLY CORPORATION; ASSETS; |
|---|
| 17 | 22 | | DISSOLUTION. (a) The authority may enter into a contract with the |
|---|
| 18 | 23 | | corporation to transfer the assets, debts, and contractual rights |
|---|
| 19 | 24 | | and obligations of the corporation to the authority. |
|---|
| 20 | 25 | | (b) On the date a contract is executed as provided by |
|---|
| 21 | 26 | | Subsection (a) of this section: |
|---|
| 22 | 27 | | (1) all real property, easements, appurtenances, |
|---|
| 23 | 28 | | conveyance systems, transmission and treatment systems, designated |
|---|
| 24 | 29 | | rights-of-way, and other property interests of the corporation are |
|---|
| 25 | 30 | | transferred to the authority; |
|---|
| 26 | 31 | | (2) Certificate of Convenience and Necessity |
|---|
| 27 | 32 | | No. 10354 is considered to be held by the authority; and |
|---|
| 28 | 33 | | (3) the board of directors of the corporation shall |
|---|
| 29 | 34 | | notify: |
|---|
| 30 | 35 | | (A) the Texas Commission on Environmental |
|---|
| 31 | 36 | | Quality of the transfer of the corporation to the authority; and |
|---|
| 32 | 37 | | (B) the Public Utility Commission of Texas of the |
|---|
| 33 | 38 | | transfer of Certificate of Convenience and Necessity No. 10354 to |
|---|
| 34 | 39 | | the authority. |
|---|
| 35 | 40 | | (c) On receipt of notice under Subsection (b)(3)(B) of this |
|---|
| 36 | 41 | | section, the Public Utility Commission of Texas shall note in its |
|---|
| 37 | 42 | | records that Certificate of Convenience and Necessity No. 10354 is |
|---|
| 38 | 43 | | held by the authority and shall reissue the certificate in the name |
|---|
| 39 | 44 | | of the authority without further application, notice, or hearing. |
|---|
| 40 | 45 | | A person, party, or entity does not have any right of protest, |
|---|
| 41 | 46 | | objection, or administrative review of the transfer prescribed by |
|---|
| 42 | 47 | | this section. |
|---|
| 43 | 48 | | (d) Not later than 30 days after the date of the transfer |
|---|
| 44 | 49 | | under Subsection (b) of this section, the board of directors of the |
|---|
| 45 | 50 | | corporation shall commence dissolution proceedings of the |
|---|
| 46 | 51 | | corporation. |
|---|
| 47 | 52 | | SECTION 3. EFFECTIVE DATE. This Act takes effect |
|---|
| 48 | 53 | | immediately if it receives a vote of two-thirds of all the members |
|---|
| 49 | 54 | | elected to each house, as provided by Section 39, Article III, Texas |
|---|
| 50 | 55 | | Constitution. If this Act does not receive the vote necessary for |
|---|
| 51 | 56 | | immediate effect, this Act takes effect September 1, 2025. |
