77 AN ACT
88 relating to the state historically underutilized business program;
99 creating a criminal offense.
1010 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1111 SECTION 1. Section 2161.001, Government Code, is amended by
1212 adding Subdivision (5) and (6) to read as follows:
1313 (5) "Commercially useful function" means
1414 responsibility for the execution of a distinct element of the work
1515 of a contract and performance, management, and supervision of the
1616 work involved, including:
1717 (A) negotiation of the terms of a contract or
1818 subcontract;
1919 (B) assumption of financial risk commensurate
2020 with a contract or subcontract;
2121 (C) acquisition of appropriate lines of credit or
2222 loans; or
2323 (D) fulfillment of the responsibilities of a
2424 joint venture partner under a joint venture agreement.
2525 (6) "Disadvantaged business enterprise" means a
2626 historically underutilized business as defined in Section 2161,
2727 Government Code.
2828 SECTION 2. Section 2161.0015, Government Code, is amended
2929 to read as follows:
3030 Sec. 2161.0015. DETERMINING SIZE STANDARDS FOR
3131 HISTORICALLY UNDERUTILIZED BUSINESSES. To [The comptroller may
3232 establish size standards that a business may not exceed if it is to]
3333 be considered a historically underutilized business under this
3434 chapter:
3535 (1) the business owner may not have an individual
3636 personal net worth of more than $1.32 million; and
3737 (2) the business must:
3838 (A) meet the Small Business Administration's
3939 size standards for a small business for purposes of federal
4040 government procurement under 13 C.F.R. Section 121.401, et seq.;
4141 and
4242 (B) have an annual gross income of not more than
4343 $23.98 million. [In determining the size standards, the comptroller
4444 shall determine the size at which a business should be considered
4545 sufficiently large that the business probably does not
4646 significantly suffer from the effects of past discriminatory
4747 practices.]
4848 SECTION 3. Section 2161.002(c), Government Code, is amended
4949 to read as follows:
5050 (c) In adopting rules to administer this chapter, the
5151 comptroller shall adopt rules that are based on the results of the
5252 "Texas Department of Transportation Disparity Study 2019" prepared
5353 by Colette Holt & Associates ["State of Texas Disparity Study, A
5454 Report to the Texas Legislature as Mandated by H.B. 2626, 73rd
5555 Legislature, December 1994" (prepared by National Economic
5656 Research Associates, Inc.)]. The comptroller shall revise the
5757 rules in response to the findings of any updates of the study that
5858 are prepared on behalf of the state.
5959 SECTION 4. Section 2161.004(c), Government Code, is amended
6060 to read as follows:
6161 (c) Section 2161.003 and Subsections (a) and (b) of this
6262 section [do not] apply to a project or contract subject to Section
6363 201.702, Transportation Code.
6464 SECTION 5. Section 2161.061, Government Code, is amended by
6565 amending Subsections (a) and (e) and adding Subsections (a-1),
6666 (a-2), and (a-3) to read as follows:
6767 (a) The comptroller shall certify and recertify
6868 historically underutilized businesses.
6969 (a-1) A certification or recertification under this section
7070 expires on the first anniversary of the date the certification or
7171 recertification was issued.
7272 (a-2) The comptroller may not initially certify a business
7373 as a disadvantaged business enterprise unless each owner of the
7474 business completes at least 32 hours of training provided by the
7575 comptroller or a local government or nonprofit organization
7676 approved by the comptroller to provide the training. The training
7777 must include information regarding:
7878 (1) the requirements of this chapter and rules adopted
7979 under this chapter; and
8080 (2) the programs available under 49 C.F.R. Part 26 and
8181 the requirements for participation in those programs.
8282 (a-3) The comptroller may not recertify a business as a
8383 disadvantaged business enterprise unless each owner of the business
8484 completes at least eight hours of continuing training provided by
8585 the comptroller or a local government or nonprofit organization
8686 approved by the comptroller to provide the continuing training.
8787 (e) A local government or a nonprofit organization that
8888 certifies historically underutilized businesses under Subsection
8989 (c) or that conducts a certification program described by and
9090 approved under Subsection (b) shall make available to the public an
9191 online searchable database containing information about
9292 historically underutilized businesses, minority business
9393 enterprises, women's business enterprises, and disadvantaged
9494 business enterprises certified by the local government or nonprofit
9595 organization, including:
9696 (1) the name of the business;
9797 (2) the contact person or owner of the business;
9898 (3) the address and telephone number of the business;
9999 (4) the type or category of business, including
100100 relevant capabilities of the business and the North American
101101 Industry Classification System codes for the business; [and]
102102 (5) the expiration date of the business's
103103 certification; and
104104 (6) the date of completion of training required under
105105 this section.
106106 SECTION 6. Sections 2161.062(b), (d), and (e), Government
107107 Code, are amended to read as follows:
108108 (b) The comptroller shall offer historically underutilized
109109 businesses assistance, [and] training, and continuing training
110110 regarding state procurement procedures.
111111 (d) The comptroller shall send each historically
112112 underutilized business [businesses] an orientation package on
113113 certification or recertification. The package shall include:
114114 (1) a certificate issued in the historically
115115 underutilized business's name;
116116 (2) a description of the significance and value of
117117 certification;
118118 (3) a list of state purchasing personnel;
119119 (4) information regarding electronic commerce
120120 opportunities;
121121 (5) information regarding the Texas Marketplace
122122 website; [and]
123123 (6) additional information about the state
124124 procurement process; and
125125 (7) the business's current training and continuing
126126 training status.
127127 (e) A state agency with a biennial budget that exceeds $10
128128 million shall designate a staff member to serve as the historically
129129 underutilized businesses coordinator for the agency during the
130130 fiscal year. The procurement director may serve as the coordinator.
131131 In agencies that employ a historically underutilized businesses
132132 coordinator, the position of coordinator, within the agency's
133133 structure, must be at least equal to the position of procurement
134134 director. In addition to any other responsibilities, the
135135 coordinator shall:
136136 (1) coordinate training programs for the recruitment,
137137 training, and retention of historically underutilized businesses;
138138 (2) report required information to the comptroller
139139 annually; and
140140 (3) match historically underutilized businesses with
141141 key staff within the agency.
142142 SECTION 7. Section 2161.063(a), Government Code, is amended
143143 to read as follows:
144144 (a) The comptroller shall encourage state agencies to use
145145 historically underutilized businesses by:
146146 (1) working with state agencies to establish a
147147 statewide policy for increasing the use of historically
148148 underutilized businesses;
149149 (2) assisting state agencies in seeking historically
150150 underutilized businesses capable of supplying required goods or
151151 services;
152152 (3) assisting state agencies in identifying and
153153 advising historically underutilized businesses on the types of
154154 goods and services the agencies need; [and]
155155 (4) assisting state agencies in increasing the amount
156156 of business placed with historically underutilized businesses; and
157157 (5) assisting state agencies in identifying
158158 disadvantaged business enterprise that can perform commercially
159159 useful functions for agencies.
160160 SECTION 8. Section 2161.064, Government Code, is amended by
161161 adding Subsection (f) to read as follows:
162162 (f) The comptroller shall verify that each disadvantaged
163163 business enterprise listed in the directory is in full compliance
164164 with the training requirements under Section 2161.061.
165165 SECTION 9. Section 2161.065, Government Code, is amended by
166166 amending Subsection (a) and adding Subsection (c) to read as
167167 follows:
168168 (a) The comptroller shall design and oversee the
169169 implementation by state agencies of a mentor-protege program to
170170 foster long-term relationships between prime contractors and
171171 historically underutilized businesses and to increase the ability
172172 of historically underutilized businesses to contract with the state
173173 or to receive subcontracts under a state contract. Each state
174174 agency with a biennial appropriation that exceeds $10 million shall
175175 implement and require participation in the program designed by the
176176 comptroller.
177177 (c) The mentor-protege program under this section must be
178178 consistent with the program established under 49 C.F.R. Section
179179 26.35.
180180 SECTION 10. Section 2161.066(d), Government Code, is
181181 amended to read as follows:
182182 (d) Each state agency that has a historically underutilized
183183 businesses coordinator shall:
184184 (1) design its own program and model the program to the
185185 extent appropriate on the program developed by the comptroller
186186 under this section; [and]
187187 (2) sponsor presentations by disadvantaged business
188188 enterprise at the agency; and
189189 (3) provide a method for a disadvantaged business
190190 enterprise to provide documentation through a state-approved
191191 source that the business is able to perform a commercially useful
192192 function in the industry for which the business is certified as a
193193 disadvantaged business enterprise, according to the North American
194194 Industry Classification System.
195195 SECTION 11. Section 2161.121(a), Government Code, is
196196 amended to read as follows:
197197 (a) The comptroller shall prepare a consolidated report
198198 that:
199199 (1) includes the number and dollar amount of contracts
200200 awarded and paid to historically underutilized businesses
201201 certified by the comptroller;
202202 (2) analyzes the relative level of opportunity for
203203 historically underutilized businesses for various categories of
204204 acquired goods and services; [and]
205205 (3) tracks, by vendor identification number and, to
206206 the extent allowed by federal law, by social security number, the
207207 graduation rates for historically underutilized businesses that
208208 grew to exceed the size standards determined by the comptroller;
209209 and
210210 (4) includes assurances by state agencies that the
211211 number and the dollar amounts of contracts awarded to disadvantaged
212212 business enterprise es are properly calculated according to the
213213 level of participation each disadvantaged business enterprise
214214 performs for purposes of determining the amount that could be
215215 counted toward a disadvantaged business enterprise participation
216216 goal under 49 C.F.R. Section 26.55.
217217 SECTION 12. Sections 2161.122(b), (c), and (d), Government
218218 Code, are amended to read as follows:
219219 (b) A contractor or supplier awarded a contract by a state
220220 agency shall report to the agency the identity of each historically
221221 underutilized business to whom the contractor or supplier awarded a
222222 subcontract for the purchase of goods or services and certify that
223223 the disadvantaged business enterprise can perform a commercially
224224 useful function.
225225 (c) Each state agency shall report to the comptroller in
226226 accordance with Section 2161.125 the following information with
227227 regard to the expenditure of both treasury and nontreasury funds:
228228 (1) the total dollar amount of purchases and payments
229229 made under contracts awarded to historically underutilized
230230 businesses that could be counted toward a disadvantaged business
231231 enterprise participation goal under 49 C.F.R. Section 26.55;
232232 (2) the number of businesses participating in any
233233 issuance of state bonds by the agency;
234234 (3) the number of contracts awarded to businesses with
235235 regard to the agency's acquisition, construction, or equipping of a
236236 facility or implementation of a program; and
237237 (4) the number of bids, proposals, or other applicable
238238 expressions of interest made by historically underutilized
239239 businesses with regard to the agency's acquisition, construction,
240240 or equipping of a facility or implementation of a program.
241241 (d) A state agency participating in a group purchasing
242242 program shall send to the comptroller in the agency's report under
243243 Section 2161.121 a separate list of purchases from historically
244244 underutilized businesses that are made through the group purchasing
245245 program, including the dollar amount of each purchase allocated to
246246 the reporting agency that could be counted toward a disadvantaged
247247 business enterprise participation goal under 49 C.F.R. Section
248248 26.55.
249249 SECTION 13. Sections 2161.123(a) and (d), Government Code,
250250 are amended to read as follows:
251251 (a) Each state agency, including the comptroller, that is
252252 required to have a strategic plan under Chapter 2056 shall include
253253 in its strategic plan a written plan for increasing the agency's use
254254 of historically underutilized businesses in purchasing and public
255255 works contracting and for monitoring the agency's use of
256256 disadvantaged business enterprise based on amounts that could be
257257 counted toward a disadvantaged business enterprise participation
258258 goal under 49 C.F.R. Section 26.55. The governing board of each
259259 university system or institution of higher education not included
260260 in a university system, other than a public junior college, shall
261261 prepare a written plan for increasing the use of historically
262262 underutilized businesses in purchasing and public works
263263 contracting by the system or institution.
264264 (d) The comptroller and the state auditor shall cooperate to
265265 develop procedures providing for random periodic monitoring of
266266 state agency compliance with this section. The state auditor shall
267267 report to the comptroller a state agency that is not complying with
268268 this section. In determining whether a state agency is making a
269269 good faith effort to comply, the state auditor shall consider
270270 whether the agency:
271271 (1) has adopted rules under Section 2161.003;
272272 (2) has used the comptroller's directory under Section
273273 2161.064 and other resources to identify certified and qualified
274274 historically underutilized businesses that are able and available
275275 to contract with the agency;
276276 (3) made good faith, timely efforts to contact
277277 identified historically underutilized businesses regarding
278278 contracting opportunities;
279279 (4) conducted its procurement program in accordance
280280 with the good faith effort methodology set out in comptroller
281281 rules; and
282282 (5) established goals for contracting with
283283 historically underutilized businesses in each procurement category
284284 based on:
285285 (A) scheduled fiscal year expenditures; and
286286 (B) the availability of historically
287287 underutilized businesses in each category as determined by rules
288288 adopted under Section 2161.002.
289289 SECTION 14. Section 2161.125, Government Code, is amended
290290 to read as follows:
291291 Sec. 2161.125. CATEGORIZATION OF HISTORICALLY
292292 UNDERUTILIZED BUSINESSES; TRAINING INFORMATION. (a) The
293293 comptroller, in cooperation with each state agency reporting under
294294 this subchapter, shall categorize each historically underutilized
295295 business included in a report under this subchapter by sex, race,
296296 and ethnicity and by whether the business qualifies as a
297297 historically underutilized business because it is owned or owned,
298298 operated, and controlled, as applicable, wholly or partly by one or
299299 more veterans as defined by 38 U.S.C. Section 101(2) who have
300300 suffered at least a 20 percent service-connected disability as
301301 defined by 38 U.S.C. Section 101(16).
302302 (b) The report under Subsection (a) must also state whether
303303 the disadvantaged business enterprise owners have completed
304304 training and continuing training required by Section 2161.061 and
305305 whether the business can perform a commercially useful function.
306306 SECTION 15. Section 2161.181, Government Code, is amended
307307 to read as follows:
308308 Sec. 2161.181. GOALS FOR PURCHASES OF GOODS AND SERVICES. A
309309 state agency, including the comptroller, shall make a good faith
310310 effort to increase the contract awards for the purchase of goods or
311311 services that the agency expects to make during a fiscal year to
312312 historically underutilized businesses based on rules adopted by the
313313 comptroller to implement the disparity study described by Section
314314 2161.002(c). The agency's efforts and achievement of its goals
315315 under this section must be measured based on amounts that could be
316316 counted toward a disadvantaged business enterprise participation
317317 goal under 49 C.F.R. Section 26.55.
318318 SECTION 16. Section 2161.182(a), Government Code, is
319319 amended to read as follows:
320320 (a) A state agency that contracts for a construction
321321 project, including a project under Section 2166.003, shall make a
322322 good faith effort to increase the construction contract awards that
323323 the agency expects to make during a fiscal year to historically
324324 underutilized businesses based on rules adopted by the comptroller
325325 to implement the disparity study described by Section 2161.002(c).
326326 The agency's efforts and achievement of its goals under this
327327 subsection must be measured based on amounts that could be counted
328328 toward a disadvantaged business enterprise participation goal
329329 under 49 C.F.R. Section 26.55.
330330 SECTION 17. Section 2161.231, Government Code, is amended
331331 by adding Subsection (a-1) to read as follows:
332332 (a-1) A person commits an offense if the person
333333 intentionally makes a false report under this subtitle regarding an
334334 award of a purchasing contract or public works contract to a
335335 disadvantaged business enterprise.
336336 SECTION 18. Section 2161.252, Government Code, is amended
337337 by adding Subsection (c) to read as follows:
338338 (c) A state agency may not approve a disadvantaged business
339339 enterprise subcontracting plan or award a contract to which the
340340 plan relates unless the plan has been approved by the agency's good
341341 faith effort review committee established under Section 2161.2521.
342342 SECTION 19. Subchapter F, Chapter 2161, Government Code, is
343343 amended by adding Section 2161.2521 to read as follows:
344344 Sec. 2161.2521. GOOD FAITH EFFORT REVIEW COMMITTEE. (a) A
345345 state agency that determines that there is a probability for
346346 subcontracting opportunities under Section 2161.252 shall
347347 establish a good faith effort review committee for the purpose of
348348 reviewing any subcontracting plans.
349349 (b) The committee shall consist of five members, including:
350350 (1) three members from the state disadvantaged
351351 business enterprise community;
352352 (2) one member from the state agency; and
353353 (3) one member from the prime contracting community.
354354 SECTION 20. Sections 2161.253(b) and (c), Government Code,
355355 are amended to read as follows:
356356 (b) To the extent that subcontracts are not contracted for
357357 as originally submitted in the historically underutilized business
358358 subcontracting plan, the contractor shall report to the state
359359 agency and the agency's good faith effort review committee all the
360360 circumstances that explain that fact and describe the good faith
361361 efforts made to find and subcontract with another historically
362362 underutilized business.
363363 (c) The state agency and the agency's good faith effort
364364 review committee shall audit the contractor's compliance with the
365365 historically underutilized business subcontracting plan. In
366366 determining whether the contractor made the required good faith
367367 effort, the agency may not consider the success or failure of the
368368 contractor to subcontract with historically underutilized
369369 businesses in any specific quantity. The agency's determination is
370370 restricted to considering factors indicating good faith.
371371 SECTION 21. Section 2161.065(b), Government Code, is
372372 repealed.
373373 SECTION 22. The changes in law made by this Act apply only
374374 to a contract for which the request for bids or proposals or other
375375 applicable expressions of interest, if applicable, is made public
376376 on or after the effective date of this Act.
377377 SECTION 23. This Act takes effect September 1, 2025.
