88 AN ACT
99 relating to prohibiting the use of unfair service agreements;
1010 creating an offense.
1111 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1212 SECTION 1. Chapter 17, Business & Commerce Code, is amended
1313 by adding Subchapter M to read as follows:
1414 SUBCHAPTER M. UNFAIR SERVICE AGREEMENTS
1515 Sec. 17.971. DEFINITIONS. In this subchapter:
1616 (1) "Residential real estate" means real property
1717 located in this state used primarily for personal, family, or
1818 household purposes and improved by one to four dwelling units.
1919 (2) "Service agreement" means a contract under which a
2020 person agrees to provide services in connection with:
2121 (A) the maintenance of residential real estate;
2222 or
2323 (B) the purchase or sale of residential real
2424 estate.
2525 (3) "Service provider" means an individual or entity
2626 that provides services to a person.
2727 Sec. 17.972. CHARACTERISTICS OF UNFAIR SERVICE AGREEMENTS.
2828 (a) A service agreement is unfair under this subchapter if any part
2929 of the service subject to the agreement is not to be performed on or
3030 before the first anniversary of the date the agreement is entered
3131 into and:
3232 (1) purports to run with the land or bind current
3333 owners or successors in title to specified real property located in
3434 this state;
3535 (2) allows for assignment of the right to provide
3636 service without notice to and consent of the owner of residential
3737 real estate; or
3838 (3) purports to create a lien, encumbrance, or other
3939 real property security interest.
4040 (b) This section does not apply to:
4141 (1) a home warranty or similar guarantee that is
4242 designed to guarantee or warrant the repair or service of an
4343 appliance, system, or component of a residential property for a
4444 fixed period;
4545 (2) an insurance contract;
4646 (3) an option or right of refusal to purchase the
4747 residential real estate;
4848 (4) a declaration created in the formation of a common
4949 interest community or an amendment to the declaration;
5050 (5) a maintenance or repair agreement entered into by
5151 a homeowners' association in a common interest community;
5252 (6) a mortgage loan or a commitment to make or receive
5353 a mortgage loan;
5454 (7) a security agreement under Title 1 relating to the
5555 sale or lease of personal property or fixtures; or
5656 (8) water, sewer, electrical, telephone, cable, or
5757 other regulated utility service providers.
5858 (c) This section does not impair the rights granted by
5959 Section 53.123, Property Code.
6060 (d) A service agreement that is unfair is void and
6161 unenforceable.
6262 (e) A person that enters into an unfair service agreement
6363 with a consumer commits a false, misleading, or deceptive act or
6464 practice actionable under Subchapter E.
6565 Sec. 17.973. RECORDING PROHIBITED. (a) A person may not
6666 file for recording or cause to be filed for recording an unfair
6767 service agreement or notice or memorandum thereof.
6868 (b) A person commits an offense if the person files for
6969 recording or causes to be filed for recording an unfair service
7070 agreement or notice or memorandum of an unfair service agreement.
7171 (c) An offense under this section is a Class A misdemeanor.
7272 (d) Notwithstanding any other law, a county clerk may refuse
7373 to record an unfair service agreement.
7474 (e) If an unfair service agreement is recorded, it does not
7575 provide actual or constructive notice against an otherwise bona
7676 fide purchaser or creditor.
7777 Sec. 17.974. APPLICATION FOR ISSUANCE OF COURT ORDER. If an
7878 unfair service agreement or a notice or memorandum thereof is
7979 recorded, any person with an interest in the real property that is
8080 the subject of that agreement may file an application with the
8181 district court in the county in which the agreement is recorded for
8282 the issuance of an order declaring that the agreement is void and
8383 unenforceable.
8484 Sec. 17.975. DAMAGES. If an unfair service agreement or a
8585 notice or memorandum thereof is recorded, any person with an
8686 interest in the real property that is the subject of that agreement
8787 is entitled to recover from the service provider who recorded the
8888 agreement:
8989 (1) actual damages; and
9090 (2) reasonable attorney's fees and other litigation
9191 costs reasonably incurred.
9292 SECTION 2. Subchapter M, Chapter 17, Business & Commerce
9393 Code, as added by this Act, applies only to a contract entered into
9494 on or after the effective date of this Act.
9595 SECTION 3. This Act takes effect September 1, 2025.
