19	19	SECTION 1. RECOGNITION AS CORPORATION AND GRANT 3
20	20	OF FEDERAL CHARTER FOR NATIONAL 4
21	21	AMERICAN INDIAN VETERANS, INCOR-5
22	22	PORATED. 6
23	23	(a) I
24	24	NGENERAL.—Part B of subtitle II of title 36, 7
25	25	United States Code, is amended by inserting after chapter 8
26	26	1503 the following: 9

49	49	‘‘The National American Indian Veterans, Incor-4
50	50	porated, a nonprofit corporation organized in the United 5
51	51	States (referred to in this chapter as the ‘corporation’), 6
52	52	is a federally chartered corporation. 7
53	53	‘‘§ 150402. Purposes 8
54	54	‘‘The purposes of the corporation are those stated in 9
55	55	the articles of incorporation, constitution, and bylaws of 10
56	56	the corporation, and include a commitment— 11
57	57	‘‘(1) to uphold and defend the Constitution of 12
58	58	the United States while respecting the sovereignty of 13
59	59	the American Indian Nations; 14
60	60	‘‘(2) to unite under one body all American In-15
61	61	dian veterans who served in the Armed Forces of 16
62	62	United States; 17

66	66	‘‘(3) to be an advocate on behalf of all Amer-1
67	67	ican Indian veterans without regard to whether they 2
68	68	served during times of peace, conflict, or war; 3
69	69	‘‘(4) to promote social welfare (including edu-4
70	70	cational, economic, social, physical, and cultural val-5
71	71	ues and traditional healing) in the United States by 6
72	72	encouraging the growth and development, readjust-7
73	73	ment, self-respect, self-confidence, contributions, and 8
74	74	self-identity of American Indian veterans; 9
75	75	‘‘(5) to serve as an advocate for the needs of 10
76	76	American Indian veterans and their families and 11
77	77	survivors in their dealings with all Federal and State 12
78	78	government agencies; 13
79	79	‘‘(6) to promote, support, and utilize research, 14
80	80	on a nonpartisan basis, pertaining to the relation-15
81	81	ship between American Indian veterans and Amer-16
82	82	ican society; and 17
83	83	‘‘(7) to provide technical assistance to the Bu-18
84	84	reau of Indian Affairs regional areas that are not 19
85	85	served by any veterans committee or organization or 20
86	86	program by— 21
87	87	‘‘(A) providing outreach service to Indian 22
88	88	Tribes in need; and 23

93	93	erans Service Officers for Indian Tribes in 2

95	95	‘‘§ 150403. Membership 4
96	96	‘‘Subject to section 150406, eligibility for member-5
97	97	ship in the corporation, and the rights and privileges of 6
98	98	members, shall be as provided in the constitution and by-7
99	99	laws of the corporation. 8
100	100	‘‘§ 150404. Board of directors 9
101	101	‘‘Subject to section 150406, the board of directors of 10
102	102	the corporation, and the responsibilities of the board, shall 11
103	103	be as provided in the constitution and bylaws of the cor-12
104	104	poration and in conformity with the laws under which the 13
105	105	corporation is incorporated. 14
106	106	‘‘§ 150405. Officers 15
107	107	‘‘Subject to section 150406, the officers of the cor-16
108	108	poration, and the election of such officers, shall be as pro-17
109	109	vided in the constitution and bylaws of the corporation and 18
110	110	in conformity with the laws of the jurisdiction under which 19
111	111	the corporation is incorporated. 20
112	112	‘‘§ 150406. Nondiscrimination 21
113	113	‘‘In establishing the conditions of membership in the 22
114	114	corporation, and in determining the requirements for serv-23
115	115	ing on the board of directors or as an officer of the cor-24
116	116	poration, the corporation may not discriminate on the 25

123	123	‘‘The corporation shall have only those powers grant-4
124	124	ed the corporation through its articles of incorporation, 5
125	125	constitution, and bylaws, which shall conform to the laws 6
126	126	of the jurisdiction under which the corporation is incor-7
127	127	porated. 8
128	128	‘‘§ 150408. Exclusive right to name, seals, emblems, 9
129	129	and badges 10
130	130	‘‘(a) I
131	131	NGENERAL.—The corporation shall have the 11
132	132	sole and exclusive right to use the names ‘National Amer-12
133	133	ican Indian Veterans, Incorporated’ and ‘National Amer-13
134	134	ican Indian Veterans’, and such seals, emblems, and 14
135	135	badges as the corporation may lawfully adopt. 15
136	136	‘‘(b) E
137	137	FFECT.—Nothing in this section interferes or 16
138	138	conflicts with any established or vested rights. 17
139	139	‘‘§ 150409. Restrictions 18
140	140	‘‘(a) S
141	141	TOCK ANDDIVIDENDS.—The corporation may 19
142	142	not— 20
143	143	‘‘(1) issue any shares of stock; or 21
144	144	‘‘(2) declare or pay any dividends. 22

146	146	ISTRIBUTION OFINCOME ORASSETS.— 23

148	148	N GENERAL.—The income or assets of the 24
149	149	corporation may not— 25

154	154	officer, or director of the corporation; or 2
155	155	‘‘(B) be distributed to any such person 3
156	156	during the life of the charter granted by this 4
157	157	chapter. 5

159	159	FFECT.—Nothing in this subsection pre-6
160	160	vents the payment of reasonable compensation to the 7
161	161	officers of the corporation, or reimbursement for ac-8
162	162	tual and necessary expenses, in amounts approved 9
163	163	by the board of directors. 10
164	164	‘‘(c) L
165	165	OANS.—The corporation may not make any 11
166	166	loan to any officer, director, member, or employee of the 12
167	167	corporation. 13
168	168	‘‘(d) N
169	169	OFEDERALENDORSEMENT.—The corpora-14
170	170	tion may not claim congressional approval or Federal Gov-15
171	171	ernment authority by virtue of the charter granted by this 16
172	172	chapter for any of the activities of the corporation. 17
173	173	‘‘§ 150410. Duty to maintain tax-exempt status 18
174	174	‘‘The corporation shall maintain its status as an or-19
175	175	ganization exempt from taxation under the Internal Rev-20
176	176	enue Code of 1986. 21
177	177	‘‘§ 150411. Records and inspection 22
178	178	‘‘(a) R
179	179	ECORDS.—The corporation shall keep— 23
180	180	‘‘(1) correct and complete books and records of 24
181	181	accounts; 25

186	186	tion involving any of member of the corporation, the 2
187	187	board of directors, or any committee having author-3
188	188	ity under the board of directors; and 4
189	189	‘‘(3) at the principal office of the corporation, 5
190	190	a record of the names and addresses of all members 6
191	191	of the corporation having the right to vote. 7
192	192	‘‘(b) I
193	193	NSPECTION.— 8
194	194	‘‘(1) I
195	195	N GENERAL.—All books and records of 9
196	196	the corporation may be inspected by any member 10
197	197	having the right to vote, or by any agent or attorney 11
198	198	of such a member, for any proper purpose, at any 12
199	199	reasonable time. 13
200	200	‘‘(2) E
201	201	FFECT.—Nothing in this section con-14
202	202	travenes— 15
203	203	‘‘(A) the laws of the jurisdiction under 16
204	204	which the corporation is incorporated; or 17
205	205	‘‘(B) the laws of those jurisdictions within 18
206	206	the United States and its territories within 19
207	207	which the corporation carries out activities in 20
208	208	furtherance of the purposes of the corporation. 21
209	209	‘‘§ 150412. Service of process 22
210	210	‘‘With respect to service of process, the corporation 23
211	211	shall comply with the laws of— 24

215	215	‘‘(1) the jurisdiction under which the corpora-1
216	216	tion is incorporated; and 2
217	217	‘‘(2) those jurisdictions within the United 3
218	218	States and its territories within which the corpora-4
219	219	tion carries out activities in furtherance of the pur-5
220	220	poses of the corporation. 6
221	221	‘‘§ 150413. Liability for acts of officers and agents 7
222	222	‘‘The corporation shall be liable for the acts of the 8
223	223	officers and agents of the corporation acting within the 9
224	224	scope of their authority. 10
225	225	‘‘§ 150414. Failure to comply with requirements 11
226	226	‘‘If the corporation fails to comply with any of the 12
227	227	requirements of this chapter, including the requirement 13
228	228	under section 150410 to maintain its status as an organi-14
229	229	zation exempt from taxation, the charter granted by this 15
230	230	chapter shall expire. 16
231	231	‘‘§ 150415. Annual report 17
232	232	‘‘(a) I
233	233	NGENERAL.—The corporation shall submit to 18
234	234	Congress an annual report describing the activities of the 19
235	235	corporation during the preceding fiscal year. 20
236	236	‘‘(b) S
237	237	UBMITTALDATE.—Each annual report under 21
238	238	this section shall be submitted at the same time as the 22
239	239	report of the audit of the corporation required by section 23
240	240	10101(b). 24
