40	40	This Act may be cited as the ‘‘Promoting Agriculture 2
41	41	Safeguards and Security Act of 2023’’ or the ‘‘PASS Act 3
42	42	of 2023’’. 4
43	43	SEC. 2. REVIEW OF AGRICULTURE-RELATED TRANS-5
44	44	ACTIONS BY CFIUS. 6
45	45	(a) I
46	46	NGENERAL.—Section 721 of the Defense Pro-7
47	47	duction Act of 1950 (50 U.S.C. 4565) is amended— 8
48	48	(1) in subsection (a)— 9
49	49	(A) in paragraph (4)— 10
50	50	(i) in subparagraph (A)— 11
51	51	(I) in clause (i), by striking ‘‘; 12
52	52	and’’ and inserting a semicolon; 13
53	53	(II) in clause (ii), by striking the 14
54	54	period at the end and inserting ‘‘; 15

56	56	(III) by adding at the end the 17

117	117	the following new subparagraph: 20
118	118	‘‘(H) The Secretary of Agriculture.’’; and 21

126	126	‘‘(1) IN GENERAL.—Notwithstanding any other 1
127	127	provision of this section, if the Committee, in con-2
128	128	ducting a review and investigation under this sec-3
129	129	tion, determines that a transaction described in 4
130	130	clause (i), (vi), or (vii) of subsection (a)(4)(B) would 5
131	131	result in control by a covered foreign person of or 6
132	132	investment by a covered foreign person in a United 7
133	133	States business engaged in agriculture or private 8
134	134	real estate used in agriculture, the President shall 9
135	135	prohibit such transaction. 10
136	136	‘‘(2) W
137	137	AIVER.—The President may waive, on a 11
138	138	case-by-case basis, the requirement to prohibit a 12
139	139	transaction under paragraph (1), not less than 30 13
140	140	days after the President determines and reports to 14
141	141	the relevant committees of jurisdiction that it is vital 15
142	142	to the national security interests of the United 16
143	143	States to waive such prohibition. 17
144	144	‘‘(3) D
145	145	EFINED TERMS.—In this subsection: 18
146	146	‘‘(A) C
147	147	OVERED FOREIGN PERSON .—The 19
148	148	term ‘covered foreign person’ means a person 20
149	149	that is— 21
150	150	‘‘(i) acting on behalf of or otherwise 22
151	151	directed by the government of a prohibited 23
152	152	country; 24
153	153	‘‘(ii) a citizen of a prohibited country; 25

158	158	‘‘(I) is registered or organized in 2
159	159	a prohibited country; or 3
160	160	‘‘(II) has a principal place of 4
161	161	business in a prohibited country; or 5
162	162	‘‘(iv) a subsidiary of an entity de-6
163	163	scribed in clause (iii). 7
164	164	‘‘(B) P
165	165	ROHIBITED COUNTRY .—The term 8
166	166	‘prohibited country’ means any of the following: 9
167	167	‘‘(i) The People’s Republic of China. 10
168	168	‘‘(ii) The Russian Federation. 11
169	169	‘‘(iii) The Islamic Republic of Iran. 12
170	170	‘‘(iv) The Democratic People’s Repub-13
171	171	lic of Korea.’’. 14

173	173	EPORTREQUIRED.—Not later than 180 days 15
174	174	after the date of the enactment of this Act, and every 180 16
175	175	days thereafter, the Secretary of Agriculture shall submit 17
176	176	to the Committee on Agriculture of the House of Rep-18
177	177	resentatives and the Committee on Agriculture, Nutrition, 19
178	178	and Forestry of the Senate a report on the risks that for-20
179	179	eign purchases of United States businesses engaged in ag-21
180	180	riculture (as such term is defined in section 3 of the Fair 22
181	181	Labor Standards Act of 1938 (29 U.S.C. 203)) pose to 23
182	182	the agricultural sector of the United States. 24
