2020 SECTION 1. SHORT TITLE. 3
2121 This Act may be cited as the ‘‘One Agency Act’’. 4
2222 SEC. 2. FINDINGS. 5
2323 Congress finds the following: 6
2424 (1) It is the policy of the United States to pro-7
2525 mote the vigorous, effective, and efficient enforce-8
2626 ment of the antitrust laws. 9

3131 risdiction of the Department of Justice and the Fed-2
3232 eral Trade Commission has wasted taxpayer re-3
3333 sources, hampered enforcement efforts, and caused 4
3434 uncertainty for businesses and consumers in the 5
3535 United States. 6
3636 (3) It is preferable that primary Federal re-7
3737 sponsibility for enforcing the antitrust laws of the 8
3838 United States be given to a single entity, and the 9
3939 Department of Justice is best suited to do so. 10
4040 SEC. 3. DEFINITIONS. 11
4141 In this Act: 12

4343 NTITRUST LAWS.—The term ‘‘antitrust 13
4444 laws’’ means— 14
4545 (A) the Sherman Act (15 U.S.C. 1 et seq.); 15
4646 and 16
4747 (B) the Clayton Act (15 U.S.C. 12 et 17
4848 seq.). 18

5050 FFECTIVE DATE.—The term ‘‘effective 19
5151 date’’ means the date described in section 7. 20
5252 (3) FTC.—The term ‘‘FTC’’ means the Fed-21

6666 Federal Trade Commission Act (15 U.S.C. 45), 7
6767 as in effect on the day before the effective date. 8

6969 ANTITRUST ASSETS.—The term ‘‘FTC 9
7070 antitrust assets’’— 10
7171 (A) means all electronic or tangible records 11
7272 and files relating to matters supervised, as well 12
7373 as any physical assets or equipment owned and 13
7474 used or retained, by an FTC antitrust unit; and 14
7575 (B) does not include any office space or 15
7676 leased facilities or equipment. 16

7878 ANTITRUST EMPLOYEE .—The term 17
7979 ‘‘FTC antitrust employee’’ means an individual who 18
8080 on the day before the effective date is employed by 19
8181 the FTC and assigned to an FTC antitrust unit. 20

8383 ANTITRUST FUNDING .—The term 21
8484 ‘‘FTC antitrust funding’’ means all amounts appro-22
8585 priated before the effective date by an Act of Con-23
8686 gress to the FTC that are designated, by Congress 24
8787 or the FTC for an FTC antitrust unit. 25

9191 (8) FTC ANTITRUST UNIT.—The term ‘‘FTC 1
9292 antitrust unit’’ means— 2
9393 (A) the Bureau of Competition of the 3
9494 FTC; and 4
9595 (B) each division of the Bureau of Eco-5
9696 nomics of the FTC that is designated to work 6
9797 on FTC antitrust actions. 7

9999 RANSITION PERIOD.—The term ‘‘transi-8
100100 tion period’’ means the period beginning on the ef-9
101101 fective date and ending on the later of— 10
102102 (A) the date that is 1 year after the effec-11
103103 tive date; or 12
104104 (B) the date that is 180 days after the 13
105105 date described in subparagraph (A), which may 14
106106 be extended by the Attorney General once for 15
107107 an additional 180 days, if the Attorney General 16
108108 determines that a period longer than the period 17
109109 described in subparagraph (A) is necessary to 18
110110 avoid harm to the interests of the United States 19
111111 or the effective enforcement of the antitrust 20
112112 laws. 21
113113 SEC. 4. TRANSFER OF ANTITRUST ENFORCEMENT FUNC-22
114114 TIONS FROM THE FTC TO THE DEPARTMENT 23

121121 (1) IN GENERAL.—There shall be transferred to 1
122122 the Attorney General all FTC antitrust actions, 2
123123 FTC antitrust employees, FTC antitrust assets, and 3
124124 FTC antitrust funding on the earlier of— 4
125125 (A) the date determined by the Attorney 5
126126 General under paragraph (2)(B); or 6
127127 (B) the end of the transition period. 7

129129 EQUIREMENT.—The Attorney General, 8
130130 taking care to minimize disruption to ongoing en-9
131131 forcement matters and in consultation as necessary 10
132132 with the Office of Personnel Management, the Gen-11
133133 eral Services Administration, and the Chairman of 12
134134 the FTC, shall— 13
135135 (A) take all necessary actions to complete 14
136136 implementation of this Act before the end of the 15
137137 transition period; and 16
138138 (B) determine the dates certain, which 17
139139 may not be earlier than the effective date nor 18
140140 later than the end of the transition period, on 19
141141 which the transfers under paragraph (1) shall 20
142142 occur. 21

146146 SSIGNMENT.—An FTC antitrust em-23
147147 ployee transferred to the Department of Justice 24

152152 trust Division of the Department of Justice. 2

154154 FFICE SPACE.—On the request of the 3
155155 Attorney General, and in consultation as nec-4
156156 essary with the General Services Administra-5
157157 tion, the FTC shall allow the Department of 6
158158 Justice to use any office space or leased facili-7
159159 ties previously used by FTC antitrust employees 8
160160 until such time as the Department of Justice 9
161161 may provide office space or facilities. After the 10
162162 transfer of FTC antitrust funding to the De-11
163163 partment of Justice, the Department of Justice 12
164164 shall compensate the FTC for the costs of the 13
165165 use of such office space or leased facilities. 14

167167 ESTRUCTURING.—Notwithstanding 15
168168 any other provision of law, the Attorney Gen-16
169169 eral is authorized to restructure the Antitrust 17
170170 Division of the Department of Justice before 18
171171 the expiration of the transition period, as the 19
172172 Attorney General determines is appropriate, to 20
173173 carry out the purposes of this Act and accom-21
174174 plish the efficient enforcement of the antitrust 22
175175 laws. 23

177177 NTITRUST ACTIONS.— 24

181181 (A) IN GENERAL.—As soon as is reason-1
182182 ably practicable during the transition period, all 2
183183 open investigations, studies, litigations, matters, 3
184184 or other proceedings being supervised by an 4
185185 FTC antitrust unit and relating to the antitrust 5
186186 laws or unfair methods of competition under 6
187187 section 5 of the Federal Trade Commission Act 7
188188 (15 U.S.C. 45), as in effect on the day before 8
189189 the effective date, shall be transferred to and 9
190190 assumed by the Department of Justice. 10

192192 ANDLING OF FTC ANTITRUST AC -11
193193 TIONS.—Any FTC antitrust action that was ini-12
194194 tiated by the FTC and was unresolved as of the 13
195195 first day of the transition period shall be con-14
196196 tinued as the Attorney General determines is 15
197197 appropriate. The FTC shall have the power to 16
198198 deputize former FTC antitrust employees, with 17
199199 the consent of the Attorney General, to con-18
200200 tinue such FTC antitrust actions. 19

202202 NTERVENTION.—Any FTC antitrust 20
203203 action before a court of the United States that 21
204204 was initiated by the FTC and was unresolved as 22
205205 of the first day of the transition period, shall be 23
206206 continued as the Attorney General determines 24
207207 is appropriate. The FTC shall have the power 25

218218 transition period, the Attorney General 6
219219 shall have sole authority to receive all re-7
220220 ports as required under, enforce violations 8
221221 of, approve modifications to, or rescind any 9
222222 consent decree entered into by the FTC 10
223223 before the effective date that concerns con-11
224224 duct alleged to violate the antitrust laws or 12
225225 unfair methods of competition under sec-13
226226 tion 5 of the Federal Trade Commission 14
227227 Act (15 U.S.C. 45), as in effect on the day 15
228228 before the effective date. 16

231231 MENT.—If determined necessary by the 18
232232 FTC and the Attorney General, the FTC 19
233233 shall have the power to deputize former 20
234234 FTC antitrust employees, with the consent 21
235235 of the Attorney General, to enforce and ne-22
236236 gotiate modifications of FTC consent de-23
237237 crees in effect on the day before the effec-24

251251 eral may require, by general or special or-8
252252 ders, persons, partnerships, and corpora-9
253253 tions, engaged in or whose business affects 10
254254 commerce to file with the Attorney General 11
255255 in such form as the Attorney General may 12
256256 prescribe annual or special reports or an-13
257257 swers in writing to specific questions, fur-14
258258 nishing to the Attorney General such infor-15
259259 mation as the Attorney General may re-16
260260 quire as to the organization, business, con-17
261261 duct, practices, management, and relation 18
262262 to other corporations, partnerships, and in-19
263263 dividuals of the respective persons, part-20
264264 nerships, and corporations filing such re-21
265265 ports or answers in writing. 22

296296 cial reports to Congress that include 23

309309 TION OF PRIVILEGED OR CONFIDENTIAL 7

312312 N GENERAL.—Except as pro-9
313313 vided in subclause (II), the Attorney 10
314314 General shall not make public any 11
315315 trade secret or any commercial or fi-12
316316 nancial information that is obtained 13
317317 from any person and that is privileged 14
318318 or confidential. 15

320320 XCEPTION.—The Attorney 16
321321 General may disclose information de-17
322322 scribed in subclause (I) to— 18
323323 (aa) officers and employees 19

353353 FTC deputizes former FTC antitrust employees, 20
354354 with the consent of the Attorney General, to con-21
355355 tinue any FTC antitrust actions that are ongoing 22

363363 graph (2), beginning on the effective date, the FTC 2
364364 may not— 3
365365 (A) hire or assign an employee to an FTC 4
366366 antitrust unit; 5
367367 (B) open a new investigation or matter 6
368368 within an FTC antitrust unit or relating to the 7
369369 antitrust laws or unfair methods of competition 8
370370 under section 5 of the Federal Trade Commis-9
371371 sion Act; 10
372372 (C) without the approval of the Attorney 11
373373 General, enter into a consent decree, enter into 12
374374 a settlement agreement, or otherwise resolve an 13
375375 FTC antitrust action; or 14
376376 (D) initiate a new FTC antitrust action. 15

378378 NFORCEMENT ON BEHALF OF THE DE -16
379379 PARTMENT OF JUSTICE .—Notwithstanding para-17
380380 graph (1), during the transition period, the Attorney 18
381381 General may deputize an FTC antitrust employee to 19
382382 investigate or prosecute an alleged violation of the 20
383383 antitrust laws on behalf of the Department of Jus-21
384384 tice before the completion of the transfer of per-22
385385 sonnel under subsection (a). 23

387387 AME RIGHTS AND OBLIGATIONS .— 24

392392 other provision of law, during the transition pe-2
393393 riod all Department of Justice employees under 3
394394 the supervision of the Attorney General shall 4
395395 have the same rights and obligations with re-5
396396 spect to confidential information submitted to 6
397397 the FTC as FTC antitrust employees on the 7
398398 day before the effective date. 8
399399 (B) R
400400 ULE OF CONSTRUCTION .—Nothing in 9
401401 this paragraph may be construed as implying 10
402402 any change to the rights and obligations de-11
403403 scribed in subparagraph (A) as a result of this 12
404404 Act. 13
405405 (c) A
406406 GREEMENTS.—The Attorney General, in con-14
407407 sultation with the Chairman of the FTC, shall— 15
408408 (1) review any agreements between the FTC 16
409409 and any other Federal agency or any foreign law en-17
410410 forcement agency; and 18
411411 (2) before the end of the transition period, seek 19
412412 to amend, transfer, or rescind such agreements as 20
413413 necessary and appropriate to carry out this Act, en-21
414414 deavoring to complete such amendment, transfer, or 22
415415 rescindment with all due haste. 23

417417 ULES.—The Attorney General shall, pursuant 24
418418 to section 7A of the Clayton Act (15 U.S.C. 18a) and in 25

425425 SEC. 5. TRANSFER OF FUNCTIONS. 4

427427 NGENERAL.—Any requirement that an agency 5
428428 of the executive branch or an independent agency consult 6
429429 with or seek the concurrence of the FTC or the Chairman 7
430430 of the FTC, where such requirement relates to the anti-8
431431 trust laws or unfair methods of competition under section 9
432432 5 of the Federal Trade Commission Act (15 U.S.C. 45) 10
433433 as in effect on the day before the effective date, shall be 11
434434 deemed transferred from the FTC or the Chairman of the 12
435435 FTC to the Department of Justice or the Attorney Gen-13
436436 eral. 14

438438 REMERGERNOTIFICATIONFILINGS.— 15

440440 PREMERGER NOTIFICATION FIL -16
441441 INGS.—With respect to any requirement that an 17
442442 agency or entity provide notification to the FTC, 18
443443 where such requirement relates to the antitrust laws 19
444444 or unfair methods of competition under section 5 of 20
445445 the Federal Trade Commission Act (15 U.S.C. 45) 21
446446 as in effect on the day before the effective date, that 22
447447 notification shall be submitted to the Attorney Gen-23
448448 eral. 24

458458 XISTINGLITIGATION ORAPPEALS.—Notwith-6
459459 standing any other provision of law, the Attorney General 7
460460 shall not deny resources to the FTC or otherwise disrupt 8
461461 existing litigation or appeals that are ongoing on the day 9
462462 before the effective date. 10

464464 UTUREACTIONS OFATTORNEYGENERAL.— 11
465465 Notwithstanding any other provision of law, nothing in 12
466466 this Act may be construed to limit the powers of the Attor-13
467467 ney General to enforce the antitrust laws. 14

469469 UTUREACTIONS OF THE FTC.—Notwith-15
470470 standing any other provision of law, the FTC shall not 16
471471 open a new investigation or begin an enforcement action 17
472472 that relates to the antitrust laws or unfair methods of 18
473473 competition under section 5 of the Federal Trade Commis-19
474474 sion Act (15 U.S.C. 45), except as explicitly allowed under 20
475475 this Act with the approval of the Attorney General and 21
476476 relating to an investigation, litigation, appeal, or consent 22
477477 decree that was ongoing or in place on the day before the 23
478478 effective date. 24
