2525 NGENERAL.—Subtitle B of title II of the Re-7

3232 ‘‘SEC. 10236. FOUNDATION FOR STANDARDS AND METROL-3

3434 ‘‘(a) E
3535 STABLISHMENT.—The Secretary, acting 5
3636 through the Director, shall establish a nonprofit corpora-6
3737 tion to be known as the ‘Foundation for Standards and 7
3838 Metrology’ (in this section referred to as the ‘Founda-8
3939 tion’). 9
4040 ‘‘(b) M
4141 ISSION.—The mission of the Foundation shall 10
4242 be— 11
4343 ‘‘(1) to support the Institute in carrying out its 12
4444 activities and mission to advance measurement 13
4545 science, technical standards, and technology in ways 14
4646 that enhance the economic security and prosperity of 15
4747 the United States; and 16
4848 ‘‘(2) to advance collaboration with researchers, 17
4949 institutions of higher education, industry, and non-18
5050 profit and philanthropic organizations to accelerate 19
5151 the development of technical standards, measure-20
5252 ment science, and the commercialization of emerging 21
5353 technologies in the United States. 22
5454 ‘‘(c) A
5555 CTIVITIES.—In carrying out its mission under 23
5656 subsection (b), the Foundation may conduct the following: 24

6262 ‘‘(2) Support studies, projects, and research on 3
6363 metrology and the development of benchmarks and 4
6464 technical standards infrastructure across the Insti-5
6565 tute’s mission areas. 6
6666 ‘‘(3) Advance collaboration between the Insti-7
6767 tute and researchers, industry, nonprofit and philan-8
6868 thropic organizations, institutions of higher edu-9
6969 cation, federally funded research and development 10
7070 centers, and State, Tribal, and local governments. 11
7171 ‘‘(4) Support the expansion and improvement of 12
7272 research facilities and infrastructure at the Institute 13
7373 to advance the development of emerging tech-14
7474 nologies. 15
7575 ‘‘(5) Support the commercialization of federally 16
7676 funded research. 17
7777 ‘‘(6) Conduct education and outreach activities. 18
7878 ‘‘(7) Offer direct support to NIST associates, 19
7979 including through the provision of fellowships, 20
8080 grants, stipends, travel, health insurance, profes-21
8181 sional development training, housing, technical and 22
8282 administrative assistance, recognition awards for 23
8383 outstanding performance, and occupational safety 24

8989 ‘‘(8) Any other activity as determined necessary 3
9090 by the Foundation to carry out its mission. 4
9191 ‘‘(d) A
9292 UTHORITY OF THE FOUNDATION.—The Foun-5
9393 dation shall be the sole entity responsible for carrying out 6
9494 the activities described in subsection (c). 7
9595 ‘‘(e) S
9696 TAKEHOLDER ENGAGEMENT.—The Founda-8
9797 tion shall convene, and may consult with, representatives 9
9898 from the Institute, institutions of higher education, the 10
9999 private sector, non-profit organizations, and commer-11
100100 cialization organizations to develop activities for the mis-12
101101 sion of the Foundation under subsection (b) and to ad-13
102102 vance the activities of the Foundation under subsection 14
103103 (c). 15
104104 ‘‘(f) L
105105 IMITATION.—The Foundation shall not be an 16
106106 agency or instrumentality of the Federal Government. 17
107107 ‘‘(g) S
108108 UPPORT.—The Foundation may receive, ad-18
109109 minister, solicit, accept, and use funds, gifts, devises, or 19
110110 bequests, either absolutely or in trust of real or personal 20
111111 property or any income therefrom or other interest there-21
112112 in, to support activities under subsection (c). 22
113113 ‘‘(h) T
114114 AXEXEMPTSTATUS.—The Board shall take 23
115115 all necessary and appropriate steps to ensure the Founda-24
116116 tion is an organization described in section 501(c) of the 25

144144 Sciences, Engineering, and Medicine 19
145145 to develop a list of individuals to serve 20
146146 as members of the Board who are well 21
147147 qualified and will meet the require-22
148148 ments of clauses (ii) and (iii); and 23
149149 ‘‘(II) appoint the initial members 24
150150 of the Board from such list, if appli-25

161161 across diverse sectors, regions and commu-7
162162 nities, including from academia, private 8
163163 sector entities, technical standards bodies, 9
164164 the investment community, the philan-10
165165 thropic community, and other nonprofit or-11
166166 ganizations. 12
167167 ‘‘(iii) E
168168 XPERIENCE.—The Secretary, 13
169169 acting through the Director, shall ensure 14
170170 the appointed members of the Board have 15
171171 the experience and are qualified to provide 16
172172 advice and information to advance the 17
173173 Foundation’s mission, including in science 18
174174 and technology research and development, 19
175175 technical standards, education, technology 20
176176 transfer, commercialization, or other as-21
177177 pects of the Foundation’s mission. 22

202202 Chair and Vice Chair of the Board shall end on 16

206206 the Board, as applicable, is designated for 20
207207 the respective position; and 21
208208 ‘‘(ii) the last day of the term of serv-22
209209 ice of the member, as determined under 23
210210 paragraph (4)(A), who is designated to be 24

221221 the same entity, as applicable; and 7

223223 any area of subject matter expertise or any 9
224224 entity, as applicable, represented by the 10
225225 immediately preceding Chair and Vice 11
226226 Chair of the Board. 12

230230 ERM LIMITS.—Subject to subpara-14
231231 graph (B), the term of office of each member 15
232232 of the Board shall be not more than 5 years, 16
233233 except that a member of the Board may con-17
234234 tinue to serve after the expiration of the term 18
235235 of such member until the expiration of the 180- 19
236236 day period beginning on the date on which the 20
237237 term of such member expires, if no new member 21
238238 is appointed to replace the departing board 22

241241 NITIAL APPOINTED MEMBERS .—Of 24
242242 the initial members of the Board appointed 25

247247 shall serve for 4.5 years, and half of such mem-2
248248 bers shall serve for 5 years, as determined by 3

251251 ACANCIES.—Any vacancy in the 5
252252 membership of the appointed members of the 6
253253 Board— 7
254254 ‘‘(i) shall be filled in accordance with 8
255255 the bylaws of the Foundation by an indi-9
256256 vidual capable of representing the same 10
257257 area or entity, as applicable, as rep-11
258258 resented by the vacating board member 12
259259 under paragraph (2)(B)(ii); 13
260260 ‘‘(ii) shall not affect the power of the 14
261261 remaining appointed members to carry out 15
262262 the duties of the Board; and 16
263263 ‘‘(iii) shall be filled by an individual 17
264264 selected by the Board. 18
265265 ‘‘(5) Q
266266 UORUM.—A majority of the members of 19
267267 the Board shall constitute a quorum for the pur-20
268268 poses of conducting the business of the Board. 21
269269 ‘‘(6) D
270270 UTIES.—The Board shall carry out the 22
271271 following: 23
272272 ‘‘(A) Establish bylaws for the Foundation 24
273273 in accordance with paragraph (7). 25

278278 tivities of the Foundation and establish priority 2

280280 ‘‘(C) Coordinate with the Institute the ac-4
281281 tivities of the Foundation to ensure consistency 5
282282 with the programs and policies of the Institute. 6
283283 ‘‘(D) Evaluate the performance of the Ex-7
284284 ecutive Director of the Foundation. 8
285285 ‘‘(E) Actively solicit and accept funds, 9
286286 gifts, grants, devises, or bequests of real or per-10
287287 sonal property to the Foundation, including 11
288288 from private entities. 12
289289 ‘‘(F) Carry out any other necessary activi-13
290290 ties of the Foundation. 14
291291 ‘‘(7) B
292292 YLAWS.—The Board shall establish by-15
293293 laws for the Foundation that ensure the following: 16
294294 ‘‘(A) The bylaws of the Foundation include 17
295295 the following: 18
296296 ‘‘(i) Policies for the selection of the 19
297297 Board members, officers, employees, 20
298298 agents, and contractors of the Foundation. 21
299299 ‘‘(ii) Policies, including ethical and 22
300300 disclosure standards, for the following: 23
301301 ‘‘(I) The acceptance, solicitation, 24
302302 and disposition of donations and 25

308308 nors to designate, by stipulation or re-3
309309 striction, the use or recipient of do-4
310310 nated funds. 5
311311 ‘‘(II) The disposition of assets of 6
312312 the Foundation. 7
313313 ‘‘(iii) Policies that subject all employ-8
314314 ees, fellows, trainees, and other agents of 9
315315 the Foundation (including appointed voting 10
316316 members and ex officio members of the 11
317317 Board) to conflict of interest standards. 12
318318 ‘‘(iv) The specific duties of the Execu-13
319319 tive Director of the Foundation. 14
320320 ‘‘(B) The bylaws of the Foundation and 15
321321 activities carried out under such bylaws do 16
322322 not— 17
323323 ‘‘(i) reflect unfavorably upon the abil-18
324324 ity of the Foundation to carry out its re-19
325325 sponsibilities or official duties in a fair and 20
326326 objective manner; or 21
327327 ‘‘(ii) compromise, or appear to com-22
328328 promise, the integrity of any governmental 23
329329 agency or program or any officer or em-24

343343 may not receive compensation for serving on 8

347347 with the bylaws of the Foundation, members of 11
348348 the Board may be reimbursed for travel ex-12
349349 penses, including per diem in lieu of subsist-13
350350 ence, and other necessary expenses incurred in 14
351351 carrying out the duties of the Board. 15

353353 IAISON REPRESENTATIVES .—The Sec-16
354354 retary, acting through the Director, shall designate 17
355355 representatives from across the Institute to serve as 18
356356 the liaisons to the Board and the Foundation. 19
357357 ‘‘(11) P
358358 ERSONAL LIABILITY OF BOARD MEM -20
359359 BERS.—The members of the Board shall not be per-21
360360 sonally liable, except in the case of malfeasance. 22
361361 ‘‘(j) A
362362 DMINISTRATION.— 23

364364 XECUTIVE DIRECTOR.— 24

368368 ‘‘(A) IN GENERAL.—The Foundation shall 1
369369 have an Executive Director who shall be ap-2
370370 pointed by the Board, and who shall serve at 3
371371 the pleasure of the Board, and for whom the 4
372372 Board shall establish the rate of compensation. 5
373373 Subject to the bylaws established under sub-6
374374 section (i)(7), the Executive Director shall be 7
375375 responsible for the daily operations of the 8
376376 Foundation in carrying out the activities of the 9
377377 Foundation under subsection (c). 10
378378 ‘‘(B) R
379379 ESPONSIBILITIES.—In carrying out 11
380380 the daily operations of the Foundation, the Ex-12
381381 ecutive Director of the Foundation shall carry 13
382382 out the following: 14
383383 ‘‘(i) Hire, promote, compensate, and 15
384384 discharge officers and employees of the 16
385385 Foundation and define the duties of such 17
386386 officers and employees. 18
387387 ‘‘(ii) Accept and administer donations 19
388388 to the Foundation and administer the as-20
389389 sets of the Foundation. 21
390390 ‘‘(iii) Enter into such contracts and 22
391391 execute legal instruments as are appro-23
392392 priate in carrying out the activities of the 24
393393 Foundation. 25

398398 operate the Foundation. 2

400400 DMINISTRATIVE CONTROL .—No member 3
401401 of the Board, officer or employee of the Foundation 4
402402 or of any program established by the Foundation, or 5
403403 participant in a program established by the Founda-6
404404 tion, may exercise administrative control over any 7
405405 Federal employee. 8
406406 ‘‘(3) T
407407 RANSFER OF FUNDS TO INSTITUTE .— 9
408408 The Foundation may transfer funds and property to 10
409409 the Institute, which the Institute may accept and 11
410410 use and which shall be subject to all applicable Fed-12
411411 eral limitations relating to federally funded research. 13
412412 ‘‘(4) S
413413 TRATEGIC PLAN.—Not later than one 14
414414 year after the establishment of the Foundation, the 15
415415 Foundation shall submit to the Committee on 16
416416 Science, Space, and Technology of the House of 17
417417 Representatives and the Committee on Commerce, 18
418418 Science, and Transportation of the Senate a stra-19
419419 tegic plan that contains the following: 20
420420 ‘‘(A) A plan for the Foundation to become 21
421421 financially self-sustaining in the next 5 years. 22
422422 ‘‘(B) Short- and long-term objectives of the 23
423423 Foundation, as identified by the Board. 24

427427 ‘‘(C) A description of the efforts the Foun-1
428428 dation will take to be transparent in the proc-2
429429 esses of the Foundation, including processes re-3
430430 lating to the following: 4
431431 ‘‘(i) Grant awards, including selection, 5
432432 review, and notification. 6
433433 ‘‘(ii) Communication of past, current, 7
434434 and future research priorities. 8
435435 ‘‘(iii) Solicitation of and response to 9
436436 public input on the priorities identified by 10
437437 the Foundation. 11
438438 ‘‘(D) A description of the financial goals 12
439439 and benchmarks of the Foundation for the next 13
440440 10 years. 14
441441 ‘‘(E) A description of the efforts under-15
442442 taken by the Foundation to ensure maximum 16
443443 complementarity and minimum redundancy 17
444444 with investments made by the Institute. 18
445445 ‘‘(5) R
446446 EPORT.— 19
447447 ‘‘(A) I
448448 N GENERAL.—Not later than 18 20
449449 months after the establishment of the Founda-21
450450 tion and not later than February 1 of each year 22
451451 thereafter, the Foundation shall publish a re-23
452452 port describing the activities of the Foundation 24
453453 during the immediately preceding fiscal year. 25

457457 Each such report shall include with respect to 1
458458 such fiscal year a comprehensive statement of 2
459459 the operations, activities, financial condition, 3
460460 progress, and accomplishments of the Founda-4
461461 tion. 5
462462 ‘‘(B) F
463463 INANCIAL CONDITION .—With re-6
464464 spect to the financial condition of the Founda-7
465465 tion, each report under subparagraph (A) shall 8
466466 include the source, and a description of, all sup-9
467467 port under subsection (g) provided to the Foun-10
468468 dation. Each such report shall identify the per-11
469469 sons or entities from which such support is re-12
470470 ceived and include a specification of any restric-13
471471 tions on the purposes for which such support 14
472472 may be used. 15
473473 ‘‘(C) P
474474 UBLICATION.—The Foundation 16
475475 shall make copies of each report submitted 17
476476 under subparagraph (A) available— 18
477477 ‘‘(i) for public inspection and shall, 19
478478 upon request, provide a copy of the report 20
479479 to any individual for a charge not to ex-21
480480 ceed the cost of providing such copy; and 22
481481 ‘‘(ii) to the Committee on Science, 23

526526 velop and enforce procedures relating to standards 10
527527 of conduct, financial disclosure statements, conflicts 11
528528 of interest (including recusal and waiver rules), au-12
529529 dits, and any other matters determined appropriate 13
530530 by the Board. 14

532532 INANCIAL CONFLICTS OF INTEREST .—To 15
533533 mitigate conflicts of interest and risks from malign 16
534534 foreign influence, any individual who is an officer, 17
535535 employee, or member of the Board is prohibited 18
536536 from any participation in deliberations by the Foun-19
537537 dation of a matter that would directly or predictably 20
538538 affect any financial interest of any of the following: 21
539539 ‘‘(A) Such individual. 22
540540 ‘‘(B) A relative of such individual. 23

553553 Foundation or derived from the collaborative efforts of the 7

556556 ULLFAITH ANDCREDIT.—The United States 9
557557 shall not be liable for any debts, defaults, acts, or omis-10
558558 sions of the Foundation. The full faith and credit of the 11
559559 United States shall not extend to any obligations of the 12

562562 UPPORTSERVICES.—The Secretary, acting 14
563563 through the Director, may provide facilities, utilities, and 15
564564 support services to the Foundation if it is determined by 16
565565 the Director to be advantageous to the mission of the In-17

568568 ONAPPLICABILITY.—Chapter 10 of title 5, 19
569569 United States Code, shall not apply to the Foundation. 20

572572 ensure that amounts received pursuant to the authoriza-22
573573 tion of appropriations under subsection (q) are held in a 23
574574 separate account from any other amounts received by the 24

594594 ASSOCIATE.—The term ‘NIST asso-13
595595 ciate’ means any guest researcher, facility user, vol-14
596596 unteer, or other nonemployee of the Institute who 15
597597 conducts research or otherwise engages in an au-16
598598 thorized activity with personnel of the Institute or at 17
599599 a facility of the Institute. 18

601601 ELATIVE.—The term ‘relative’ has the 19
602602 meaning given such term in section 13101 of title 5, 20
