4+The Honorable Phil Mendelson, Chairman
5+Council of the District of Columbia
6+1350 Pennsylvania Avenue, NW, Suite 504
7+Washington, DC 20008
8+Dear Chairman Mendelson:
9+Enclosed for consideration and approval by the Council of the District of Columbia, is proposed
10+emergency legislation, "University of the District of Columbia Modifications 1-4 to Contract No. GF
11+202 l-C-0009 with Bailey's Real Estate Holdings, LLC Approval and Payment Authorization
12+Emergency Act of 2024" and the corresponding emergency declaration resolution. The Council
13+previously approved this multiyear contract, CA-24-0 l l 8 on May 24, 2021.
14+Council approval is required by § 451 ( c )(3) of the District of Columbia Home Rule Act, approved
15+December 24, 1973, 87 Stat. 803, Pub. L. 193-198; D.C. Official Code§ 1-204.51 (c)(3). The
16+University's reliance on this contract to ensure regular commercial cleaning services for the University
17+of the District of Columbia is absolute at present. Without Council approval on an emergency basis,
18+critical support services necessary to the health, safety and fulfillment of the University's mission risks
19+disruption.
20+Because Option years 1-3 were not timely submitted to extend the periods of performance, the
21+University is requesting Council approval via Modifications One, Two, Three and Four to Contract No.
22+GF-2021-C-0009 in the following amounts:
23+Modification 1 -$2,999,950.00
24+Modification 2 -$2,999,950.00
25+Modification 3 -$950,000.00
26+Modification 4 -$2,049,950.00
27+The total price is $8,999,850.00 for these 3 years as approved in 2021. The University exercised
28+Option Year 3 by partial payment on October 1, 2023 thus reducing the Option Year 3 contract amount
29+to $2,049,950.00.
30+The University's review of why and how this happened is ongoing. The magnitude of this procurement
31+process lapse is not lost on this administration. I am fully committed to ensuring that the contracting
32+and procurement laws, rules, regulations, and procedures are carefully followed.

41- Sec.3. Fiscal impact statement.
42- The Council adopts the fiscal impact statement of the Chief Financial Officer as the fiscal
43-impact statement required by section 4a of the General Legislative Procedures Act of 1975,
44-approved October 6, 2006 (120 Stat. 2038; D.C. Official Code §1-301.47a).

45281
46- ENROLLED ORIGINAL
282+The Contracting Officer was notified of the proposed change on October 1, 2023.
283+
284+(K) The reason why the proposed change was sent to Council for approval after it is intended
285+to take effect:
47286
48287
288+The original Janitorial contract with Bailey’s Real Estate Holdings, LLC , was approved in 2021
289+for a base and four one-year options. However, the university was remis s in forwarding the
290+options to the Council for their approval. We are therefore retroactively submitting options 1, 2, and 3. Notwithstanding, the contractor has already been paid f or Option year 1, $2,999,950.00 and

292+
293+(L) The reason for the proposed change:
294+
295+The University of the District of Columbia has a continuing need to provide standardized janitorial
296+services for the University Community. The absence of these services would present a health and safety hazard condition for not only the University ’s faculty and staff, but also its students.
297+
298+(M) The legal, regulatory, or contractual authority for the proposed change:
299+
300+Contract Modification Nos. 1, 2, 3 and 4, would increase the total Contract value in an aggregate amount in excess of $1 million, and this contact action is subject to requirements of the District of
301+Columbia Home Rule Act, codified at the D.C. Official Code 1-204.51 (b). Thus, Council review
302+and approval of the proposed Contract action is required.

307+subcontracting plan meets the minimum requirements of the Act and the dollar volume of
308+the portion of the contract to be subcontracted, expressed both in total dollars and as a

310+
311+Bailey Real Estate Holdings is not required to issue a subcontracting plan associated with this Page 5 of 6
312+contract because it is certified by the District Department of Small and Local Business
313+Development as a Certified Business Enterprise.
314+
315+(O) Performance standards and the expected outcome of the proposed contract:
316+
317+The Contract is/will be required to perform or exceed the requirements and performance
318+standards contained in the Contract and in the proposed modifications. The Contractor is/will be
319+required to continue to provide janitorial services for the University of the District of Columbia.
320+
321+(P) The amount and date of any expenditure of funds by the District pursuant to the contract
322+prior to its submission to the Council for approval:
323+
324+Since the Council’s last approval, the Department executed:
325+Modification no. one (1) in the amount of $2,999,950.00. (October 1, 2021 - September 30, 2022)
326+Modification no. two (2) was issued in the amount of $2,999,950.00. (October 1, 2022 -September
327+30, 2023)

329+December 31, 2023, & January 1, 2024 - September 30, 2024)
330+
331+(Q) A certification that the proposed contract is within the appropriated budget authority for
332+the agency for the fiscal year and is consistent with the financial plan and budget adopted
333+in accordance with D.C. Official Code §§ 47- 392.01 and 47-392.02:

345+
346+(S) A certification that Citywide Clean Hands database indicates that the proposed contractor

350+approved by the District; or (2) a certification that the contractor will be current with its
351+District taxes after the District recovers any outstanding debt as provider under D.C.
352+Official Code § 2-353.01(b):
