SENATE BILL NO. 481
BY SENATOR BOUDREAUX 
SPECIAL DISTRICTS. Provides for the University of Louisiana at Lafayette Economic
Development District. (8/1/24)
1	AN ACT
2 To enact R.S. 33:9038.77, relative to the University of Louisiana at Lafayette Economic
3 Development District; to provide for the creation and boundaries of the district; to
4 provide for its governance; to provide for the powers and duties of the district,
5 including the authority to levy taxes and special assessments and engage in debt
6 financing; to provide for tax increment financing; and to provide for related matters.
7	Notice of intention to introduce this Act has been published.
8 Be it enacted by the Legislature of Louisiana:
9 Section 1. R.S. 33:9038.77 is hereby enacted to read as follows:
10 §9038.77. The University of Louisiana at Lafayette Economic development
11	district
12	A. Creation. The University of Louisiana at Lafayette Economic
13 Development District, hereinafter referred to as the "district," is hereby created
14 in the city of Lafayette and parish of Lafayette where the University of
15 Louisiana at Lafayette, hereinafter referred to as the "university", is located.
16 The district is comprised of property owned by the university and its affiliated
17 entities and will provide for cooperative economic and community development

1 among the district, the university, the city of Lafayette or the parish of
2 Lafayette, and the state. The district is a political subdivision of the state having
3 all of the rights, powers, privileges, and immunities accorded by law and the
4 Constitution of Louisiana to political subdivisions of the state, subject to the
5 limitations provided in this Section.
6	B. Boundaries. (1) The district encompasses an area within the city of
7 Lafayette, Louisiana comprised of the area following as described below,
8 subject to and less and except the exclusions defined in Paragraph (2) of this
9 Subsection:

3 studios, flats, townhomes, condominiums, cooperatives, residential rooms,
4 residential beds, dormitories, student residences and housing, student
5 apartments, fraternity houses, sorority houses, student residential quarters, or
6 other form or housing, hereinafter referred to as "residential properties". It is
7 specifically contemplated that some but not necessarily all sections or floors of
8 parcels identified in Paragraph (1) of this Subsection may be residential
9 properties. All residential properties are deemed district exclusions. In the event
10 that the description of the district set forth in Paragraph (1) of this Subsection
11 includes any district exclusion, the district exclusion shall not be considered as
12 a component of the district.
13	(4) Upon acquisition of land in Lafayette Parish by the board of
14 supervisors for the University of Louisiana System for the use and benefit of the
15 university, or by any affiliate of the university, the district board may elect to
16 include that land in the district, except to the extent that said land is a
17 residential property. Upon doing so, the district board shall publish notice of
18 this election in the official newspaper of Lafayette Parish.
19	C. Governance. (1) The district shall be administered and governed by
20 a board of commissioners, hereinafter referred to as the "board".
21	(2) The board shall be comprised as follows:
22	(a) The president of the university shall serve as a member of the board
23 and chairman of the board for as long as he is the president of the university
24 and shall be replaced by the successor president.
25	(b) The president of the university shall appoint four persons to be
26 members of the board.
27	(3) The appointed members shall serve five-year terms after the initial
28 terms provided in this Paragraph. Two members shall serve an initial term of
29 two years, and two members shall serve an initial term of three years, as

1 determined by lot at the first meeting of the board. Each appointed member of
2 the board shall continue to serve until reappointed or a successor is duly
3 appointed. Any vacancy in the membership of the board shall be filled in the
4 manner of the original appointment for the unexpired term. If an appointment
5 to fill a vacancy is not made within sixty days, the board shall appoint an
6 interim successor to serve until the position is filled by the president of the
7 university.
8	D. Rights and powers. The district, acting by and through its board, shall
9 have and exercise all powers of a political subdivision necessary or convenient
10 for the carrying out of its objects and purposes, including but not limited to the
11 following:
12	(1) To sue and be sued.
13	(2) To adopt, use, and alter at will a corporate seal.
14	(3) To acquire by gift, grant, purchase, donation, exchange, or any other
15 means all property, including rights-of-way, movable, immovable, or mixed,
16 corporeal or incorporeal, or any interest therein.
17	(4) To enter into contracts in connection with the purposes of the district,
18 including but not limited to those for the purchase, acquisition, construction,
19 and improvement of works and facilities necessary.
20	(5) In its own name and on its own behalf to incur debt and to issue
21 revenue bonds, special assessment bonds, certificates, notes, and other evidences
22 of indebtedness and to levy and cause to be collected certain taxes as provided
23 in this Section and as may be provided by general law.
24	(6) To regulate the imposition of fees and rentals charged by the district
25 for its facilities and services rendered by it.
26	(7) To borrow money and pledge all or part of its revenues, leases, rents,
27 or other advantages as security for such loans.
28	(8) To appoint officers, agents, and employees, prescribe their duties, and
29 fix their compensation.

1	(9) To develop public improvement projects for the benefit of the
2 university, either directly with the university or through one or more private
3 foundations or nonprofit corporations affiliated with the university, or both.
4	(10) To exercise any and all of the powers granted to an economic
5 development district as if the district were an economic development district
6 established pursuant to Part II of this Chapter, including but not limited to the
7 powers of tax increment financing pursuant to R.S. 33:9039.33 and 33:9038.34
8 and the power to levy taxes within the district pursuant to R.S. 33:9038.39. The
9 district shall exercise such powers in accordance with the provisions of Part II
10 of this Chapter.
11	(11) To exercise any and all of the powers granted to a community
12 development district as if the district were a community development district
13 established pursuant to Chapter 27-B of this Title, including but not limited to
14 the power to levy special assessments on property within the district pursuant
15 to R.S. 33:9039.29. The district shall exercise such powers in accordance with
16 the provisions of Chapter 27-B of this Title.
17	E. Subdistricts. The district may create subdistricts as provided in this
18 Subsection. The district shall publish notice of its intent to create a subdistrict
19 in the official journal of the district. At least ten days after publication of such
20 notice, the board shall conduct a public hearing on the question of creating the
21 subdistrict. Thereafter, the board may designate one or more areas within the
22 boundaries of the district as subdistricts of the district. Each subdistrict shall
23 constitute a political subdivision of the state and shall be governed by the board.
24 Each subdistrict shall have the same powers as the district and shall be given a
25 suitable name as the board may designate. Any reference to the district in this
26 Section includes any subdistrict created by the district, to the extent of the
27 subdistrict.
28	F. Levy of taxes. (1) It is expressly provided that any sales and use tax
29 levied by the district may exceed the limitation set forth by Article IV, Section

1 29(A) of the Constitution of Louisiana and shall be imposed, collected, and
2 enforced subject to the terms of the resolution imposing the tax and the
3 provisions of Subtitle II of Title 47 of the Louisiana Revised Statutes of 1950.
4	(2) The district is authorized to levy taxes or assessments of any type
5 acting by and through its board.
6	(3) The tax so authorized shall be imposed by ordinance adopted by the
7 district, acting by and through its board, without the need of an election.
8	(4) The powers and rights conferred by this Paragraph shall be in
9 addition to the powers and rights conferred by any other general or special law.
10 This Paragraph does and shall be construed to provide a complete and
11 additional method for the levy of any taxes or assessments.
12	G. Debt Financing. (1) The district may issue and sell from time to time
13 bonds, notes, renewal notes, refunding bonds, interim certificates, certificates
14 of indebtedness, certificates of participation, debentures, warrants, commercial
15 paper, or other obligations or evidences of indebtedness to provide funds for
16 and to fulfill and achieve its public purpose or corporate purposes, as set forth
17 in this Section, including but not limited to the payment of all or a portion of the
18 costs of a project, to provide amounts necessary for any corporate purposes,
19 including necessary and incidental expenses in connection with the issuance of
20 the obligations, the payment of principal and interest on the obligations of the
21 district, the establishment of reserves to secure such obligations, and all other
22 purposes and expenditures of the district incident to and necessary or
23 convenient to carry out its public functions or corporate purposes, and any
24 credit enhancement for said obligations.
25	(2) Except as may otherwise by provided by the board, all obligations
26 issued by the district shall be negotiable instruments and payable solely from
27 the revenues of the district as determined by the board, or from any other
28 source that may be available to the district but shall not be secured by the full
29 faith and credit of the state or the city of Lafayette or the parish of Lafayette.

1	(3) Obligations shall be authorized, issued, and sold by a resolution or
2 resolutions of the board. Such bonds or obligations may be of such series, bear
3 such date or dates, mature at such time or times, bear interest at such rate or
4 rates, including variable, adjustable, or zero interest rates, be payable at such
5 time or times, be in such denominations, be sold at such price or prices, at
6 public or private negotiated sale, after advertisement as is provided for in R.S.
7 39:1426, be in such form, carry such registration and exchangeability privileges,
8 be payable at such place or places, be subject to such terms of redemption, and
9 be entitled to such priorities on the income, revenue, and receipts of, or
10 available to, the district as may be provided by the board in the resolution or
11 resolutions providing for the issuance and sale of the bonds or obligations of the
12 district.
13	(4) The obligations of the district shall be signed by such officers of the
14 board by either manual or facsimile signatures as shall be determined by
15 resolution or resolutions of the board and may have impressed or imprinted
16 thereon the seal of the district or a facsimile thereof.
17	(5) Any obligations of the district may be validly issued, sold, and
18 delivered, notwithstanding that one or more of the officers of the board signing
19 such obligations, or whose facsimile signature or signatures may be on the
20 obligations, shall be determined by resolution or resolutions of the board and
21 may have impressed or imprinted thereon the seal of the district or a facsimile
22 thereof.
23	(6) Obligations of the district may be sold in such manner and from time
24 to time as may be determined by the board to be most beneficial, subject to
25 approval of the State Bond Commission, and the district may pay all expenses,
26 premiums, fees, or commissions which it may deem necessary or advantageous
27 in connection with the issuance and sale thereof.
28	(7) The board may authorize the establishment of a fund or funds for the
29 creation of a debt service reserve, a renewal and replacement reserve, or such

1 other funds or reserves as the board may approve with respect to the financing
2 and operation of any project funded with the proceeds of such bonds and as
3 may be authorized by any bond resolution, trust agreement, indenture of trust
4 or similar instrument or agreement pursuant to the provisions of which the
5 issuance of bonds or other obligations of the district may be authorized.
6	(8) Any cost, obligation, or expense incurred for any of the purposes of
7 powers of the district specified in this Subsection shall be a part of the project
8 costs and may be paid or reimbursed as such out of the proceeds of bonds or
9 other obligations issued by the district.
10	(9) Neither the members of the board nor any person executing the
11 bonds shall be personally liable for the bonds or be subject to any personal
12 liability by reason of the issuance thereof. No earnings or assets of the district
13 shall accrue to the benefit of any private persons. However, the limitation of
14 liability provided for in this Paragraph shall not apply to any gross negligence
15 or criminal negligence on the party of any member of the board or person
16 executing the bonds.
17	(10) All obligations authorized to be issued by the district pursuant to the
18 provisions of this Subsection, together with interest thereof, income therefrom,
19 and gain upon the sale thereof shall be exempt from all state and local taxes.
20	(11) The state and all public officers, any parish, municipality, or other
21 subdivision or instrumentality of the state, any political subdivision, any bank,
22 banker, trust company, savings bank and institution, building and loan
23 association, savings and loan association, investment company or any person
24 carrying on a banking or investment business, insurance association, and any
25 person carrying on an insurance business, and any executor, administrator,
26 curator, trustee, and other fiduciary, and any retirement system or pension
27 fund may legally invest any sinking funds monies, or other funds belonging to
28 them or within their control in any bonds or other obligations issued by the
29 district pursuant to the provisions of this Subsection, and such bonds or other

1 obligations shall be authorized security for all public deposits. It is the purposed
2 of this Section to authorized such persons, firms, corporations, associations,
3 political subdivisions and officers, or other entities, public or private, to use any
4 funds owned or controlled by them, including but not limited to sinking,
5 insurance, investment, retirement, compensation, pension and trust funds, and
6 funds held on deposit, for the purchase of any such bonds other obligations of
7 the district, and that any such bonds shall be authorized security for all public
8 deposits. However, nothing contained in this Section with regard to legal
9 investments for security for public deposits shall be construed as relieving any
10 such person, firm, corporation, or other entity from any duty of exercising
11 reasonable care in selecting securities.
12	H. Tax financing. (1) The district may be the recipient of a sales or use
13 tax increment which consists of that portion of the designated incremental sales
14 or use tax collected each year on the sale at retail, the use, the lease or rental,
15 the consumption and storage for use or consumption of tangible personal
16 property, and on sales of services, all as defined in R.S. 47:301 et seq. or any
17 other applicable provision of law.
18	(2) The sales or use tax increment may include hotel occupancy taxes,
19 occupancy taxes, or similar taxes, or any combination of such taxes, levied upon
20 the use or occupancy of hotel rooms if so designated by the city of Lafayette in
21 the parish of Lafayette as the tax recipient entity, from taxpayers located within
22 the district which exceeds the designated sales or use tax revenues and hotel
23 occupancy taxes, or similar taxes so designated that were collected in the year
24 immediately prior to the year in which the district was established.
25	I. Contesting ordinance or resolution; time limit. Any ordinance or
26 resolution adopted by the board including but not limited to an ordinance
27 adopted pursuant to Paragraph (F)(3) of this Section, or the pledge of tax
28 increments collected under the authority of this Section to any financing
29 authorized by this Section shall be published at least twice in the official journal

1 of Lafayette Parish. For a period of thirty days after the date of publication, any
2 person in interest shall have the right to contest the legality of the ordinance or
3 resolution and of any provision therein made for the security and payment of
4 the debt obligation or the levy and collection of taxes. After that time, no one
5 shall have any cause or right of action to test the regularity, formality, legality,
6 or effectiveness of the ordinance or resolution, and provisions thereof for any
7 cause whatever. Thereafter, it shall be conclusively presumed that every legal
8 requirement for the levy and collection of taxes, the issuance of bonds or other
9 debt obligations, or the pledge of tax increment collected, including all things
10 pertaining to the authorizing thereof, has been complied with. No court shall
11 have authority to inquire into any of these matters after the thirty-day period
12 after publication unless a claim pursuant to this Section has been filed.
13	J. This Section, being necessary for the welfare of the state, the parish,
14 and its residents, shall be liberally construed to effect the purposes thereof.
