2024 Regular Session ENROLLED SENATE BILL NO. 481 BY SENATOR BOUDREAUX AND REPRESENTATI VE CHASSION 1 AN ACT 2 To enact R.S. 33:9038.77, relative to the University of Louisiana at Lafayette Economic 3 Development District; to provide for the creation and boundaries of the district; to 4 provide for its governance; to provide for the powers and duties of the district, 5 including the authority to levy taxes and special assessments and engage in debt 6 financing; to provide for tax increment financing; and to provide for related matters. 7 Notice of intention to introduce this Act has been published. 8 Be it enacted by the Legislature of Louisiana: 9 Section 1. R.S. 33:9038.77 is hereby enacted to read as follows: 10 §9038.77. The University of Louisiana at Lafayette Economic development 11 district 12 A. Creation. The University of Louisiana at Lafayette Economic 13 Development District, hereinafter referred to as the "district", is hereby created 14 in the city of Lafayette and parish of Lafayette where the University of 15 Louisiana at Lafayette, hereinafter referred to as the "university", is located. 16 The district is comprised of property owned by the university and its affiliated 17 entities and will provide for cooperative economic and community development 18 among the district, the university, the city of Lafayette or the parish of 19 Lafayette, and the state. The district is a political subdivision of the state having 20 all of the rights, powers, privileges, and immunities accorded by law and the 21 Constitution of Louisiana to political subdivisions of the state, subject to the 22 limitations provided in this Section. 23 B. Boundaries. It is 19 specifically contemplated that some but not necessarily all sections or floors of 20 parcels identified in Paragraph (1) of this Subsection may be residential 21 properties. All residential properties are deemed district exclusions. In the event 22 that the description of the district set forth in Paragraph (1) of this Subsection 23 includes any district exclusion, the district exclusion shall not be considered as 24 a component of the district. 25 (4) Upon acquisition of land in Lafayette Parish by the board of 26 supervisors for the University of Louisiana System for the use and benefit of the 27 university, or by any affiliate of the university, the district board may elect to 28 include that land in the district, except to the extent that the land is a residential 29 property. Upon doing so, the district board shall publish notice of this election 30 in the official newspaper of Lafayette Parish. (1) The district shall be administered and governed by 2 a board of commissioners, hereinafter referred to as the "board". 3 (2) The board shall be comprised as follows: 4 (a) The president of the university shall serve as a member of the board 5 and chairman of the board for as long as he is the president of the university 6 and shall be replaced by the successor president. 7 (b) The president of the university shall appoint four persons to be 8 members of the board. 9 (3) The appointed members shall serve five-year terms after the initial 10 terms provided in this Paragraph. Two members shall serve an initial term of 11 two years, and two members shall serve an initial term of three years, as 12 determined by lot at the first meeting of the board. Each appointed member of 13 the board shall continue to serve until reappointed or a successor is duly 14 appointed. Any vacancy in the membership of the board shall be filled in the 15 manner of the original appointment for the unexpired term. If an appointment 16 to fill a vacancy is not made within sixty days, the board shall appoint an 17 interim successor to serve until the position is filled by the president of the 18 university. 19 D. Rights and powers. The district, acting by and through its board, shall 20 have and exercise all powers of a political subdivision necessary or convenient 21 for the carrying out of its objects and purposes, including but not limited to the 22 following: 23 (1) To sue and be sued. 24 (2) To adopt, use, and alter at will a corporate seal. 25 (3) To acquire by gift, grant, purchase, donation, exchange, or any other 26 means all property, including rights-of-way, movable, immovable, or mixed, 27 corporeal or incorporeal, or any interest therein. 28 (4) To enter into contracts in connection with the purposes of the district, 29 including but not limited to those for the purchase, acquisition, construction, 30 and improvement of works and facilities necessary. SB NO. 481 ENROLLED 1 (5) In its own name and on its own behalf to incur debt and to issue 2 revenue bonds, special assessment bonds, certificates, notes, and other evidences 3 of indebtedness and to levy and cause to be collected certain taxes as provided 4 in this Section and as may be provided by general law. 5 (6) To regulate the imposition of fees and rentals charged by the district 6 for its facilities and services rendered by it. 7 (7) To borrow money and pledge all or part of its revenues, leases, rents, 8 or other advantages as security for such loans. 9 (8) To appoint officers, agents, and employees, prescribe their duties, and 10 fix their compensation. 11 (9) To develop public improvement projects for the benefit of the 12 university, either directly with the university or through one or more private 13 foundations or nonprofit corporations affiliated with the university, or both. 14 (10) To exercise any and all of the powers granted to an economic 15 development district as if the district were an economic development district 16 established pursuant to Part II of this Chapter, including but not limited to the 17 powers of tax increment financing pursuant to R.S. 33:9038.33 and 33:9038.34 18 and the power to levy taxes within the district pursuant to R.S. 33:9038.39. The 19 district shall exercise such powers in accordance with the provisions of Part II 20 of this Chapter. 21 (11) To exercise any and all of the powers granted to a community 22 development district as if the district were a community development district 23 established pursuant to Chapter 27-B of this Title, including but not limited to 24 the power to levy special assessments on property within the district pursuant 25 to R.S. 33:9039.29. The district shall exercise such powers in accordance with 26 the provisions of Chapter 27-B of this Title. 27 E. Subdistricts. The district may create subdistricts as provided in this 28 Subsection. The district shall publish notice of its intent to create a subdistrict 29 in the official journal of the district. SB NO. 481 ENROLLED 1 subdistrict. Thereafter, the board may designate one or more areas within the 2 boundaries of the district as subdistricts of the district. Each subdistrict shall 3 constitute a political subdivision of the state and shall be governed by the board. 4 Each subdistrict shall have the same powers as the district and shall be given a 5 suitable name as the board may designate. Any reference to the district in this 6 Section includes any subdistrict created by the district, to the extent of the 7 subdistrict. 8 F. Levy of taxes. (1) It is expressly provided that any sales and use tax 9 levied by the district may exceed the limitation set forth by Article VI, Section 10 29(A) of the Constitution of Louisiana and shall be imposed, collected, and 11 enforced subject to the terms of the resolution imposing the tax and the 12 provisions of Subtitle II of Title 47 of the Louisiana Revised Statutes of 1950. 13 (2) The district is authorized to levy taxes or assessments of any type 14 acting by and through its board. 15 (3) The tax so authorized shall be imposed by ordinance adopted by the 16 district, acting by and through its board, without the need of an election. 17 (4) The powers and rights conferred by this Paragraph shall be in 18 addition to the powers and rights conferred by any other general or special law. 19 This Paragraph does and shall be construed to provide a complete and 20 additional method for the levy of any taxes or assessments. 21 G. Debt Financing. (1) The district may issue and sell from time to time 22 bonds, notes, renewal notes, refunding bonds, interim certificates, certificates 23 of indebtedness, certificates of participation, debentures, warrants, commercial 24 paper, or other obligations or evidences of indebtedness to provide funds for 25 and to fulfill and achieve its public purpose or corporate purposes, as set forth 26 in this Section, including but not limited to the payment of all or a portion of the 27 costs of a project, to provide amounts necessary for any corporate purposes, 28 including necessary and incidental expenses in connection with the issuance of 29 the obligations, the payment of principal and interest on the obligations of the 30 district, the establishment of reserves to secure such obligations, and all other Page 13 of 17 Coding: Words which are struck through are deletions from existing law; words in boldface type and underscored are additions. SB NO. 481 ENROLLED 1 purposes and expenditures of the district incident to and necessary or 2 convenient to carry out its public functions or corporate purposes, and any 3 credit enhancement for said obligations. 4 (2) Except as may otherwise by provided by the board, all obligations 5 issued by the district shall be negotiable instruments and payable solely from 6 the revenues of the district as determined by the board, or from any other 7 source that may be available to the district but shall not be secured by the full 8 faith and credit of the state or the city of Lafayette or the parish of Lafayette. 9 (3) Obligations shall be authorized, issued, and sold by a resolution or 10 resolutions of the board. Such bonds or obligations may be of such series, bear 11 such date or dates, mature at such time or times, bear interest at such rate or 12 rates, including variable, adjustable, or zero interest rates, be payable at such 13 time or times, be in such denominations, be sold at such price or prices, at 14 public or private negotiated sale, after advertisement as is provided for in R.S. 15 39:1426, be in such form, carry such registration and exchangeability privileges, 16 be payable at such place or places, be subject to such terms of redemption, and 17 be entitled to such priorities on the income, revenue, and receipts of, or 18 available to, the district as may be provided by the board in the resolution or 19 resolutions providing for the issuance and sale of the bonds or obligations of the 20 district. 21 (4) The obligations of the district shall be signed by such officers of the 22 board by either manual or facsimile signatures as shall be determined by 23 resolution or resolutions of the board and may have impressed or imprinted 24 thereon the seal of the district or a facsimile thereof. 25 (5) Any obligations of the district may be validly issued, sold, and 26 delivered, notwithstanding that one or more of the officers of the board signing 27 such obligations, or whose facsimile signature or signatures may be on the 28 obligations, shall be determined by resolution or resolutions of the board and 29 may have impressed or imprinted thereon the seal of the district or a facsimile 30 thereof. SB NO. 481 ENROLLED 1 (6) Obligations of the district may be sold in such manner and from time 2 to time as may be determined by the board to be most beneficial, subject to 3 approval of the State Bond Commission, and the district may pay all expenses, 4 premiums, fees, or commissions which it may deem necessary or advantageous 5 in connection with the issuance and sale thereof. 6 (7) The board may authorize the establishment of a fund or funds for the 7 creation of a debt service reserve, a renewal and replacement reserve, or such 8 other funds or reserves as the board may approve with respect to the financing 9 and operation of any project funded with the proceeds of such bonds and as 10 may be authorized by any bond resolution, trust agreement, indenture of trust 11 or similar instrument or agreement pursuant to the provisions of which the 12 issuance of bonds or other obligations of the district may be authorized. 13 (8) Any cost, obligation, or expense incurred for any of the purposes of 14 powers of the district specified in this Subsection shall be a part of the project 15 costs and may be paid or reimbursed as such out of the proceeds of bonds or 16 other obligations issued by the district. 17 (9) Neither the members of the board nor any person executing the 18 bonds shall be personally liable for the bonds or be subject to any personal 19 liability by reason of the issuance thereof. No earnings or assets of the district 20 shall accrue to the benefit of any private persons. However, the limitation of 21 liability provided for in this Paragraph shall not apply to any gross negligence 22 or criminal negligence on the party of any member of the board or person 23 executing the bonds. 24 (10) All obligations authorized to be issued by the district pursuant to the 25 provisions of this Subsection, together with interest thereof, income therefrom, 26 and gain upon the sale thereof shall be exempt from all state and local taxes. 27 (11) The state and all public officers, any parish, municipality, or other 28 subdivision or instrumentality of the state, any political subdivision, any bank, 29 banker, trust company, savings bank and institution, building and loan 30 association, savings and loan association, investment company or any person Page 15 of 17 Coding: Words which are struck through are deletions from existing law; words in boldface type and underscored are additions. SB NO. 481 ENROLLED 1 carrying on a banking or investment business, insurance association, and any 2 person carrying on an insurance business, and any executor, administrator, 3 curator, trustee, and other fiduciary, and any retirement system or pension 4 fund may legally invest any sinking funds monies, or other funds belonging to 5 them or within their control in any bonds or other obligations issued by the 6 district pursuant to the provisions of this Subsection, and such bonds or other 7 obligations shall be authorized security for all public deposits. It is the purpose 8 of this Section to authorize such persons, firms, corporations, associations, 9 political subdivisions and officers, or other entities, public or private, to use any 10 funds owned or controlled by them, including but not limited to sinking, 11 insurance, investment, retirement, compensation, pension and trust funds, and 12 funds held on deposit, for the purchase of any such bonds other obligations of 13 the district, and that any such bonds shall be authorized security for all public 14 deposits. However, nothing contained in this Section with regard to legal 15 investments for security for public deposits shall be construed as relieving any 16 such person, firm, corporation, or other entity from any duty of exercising 17 reasonable care in selecting securities. 18 H. Tax financing. (1) The district may be the recipient of a sales or use 19 tax increment which consists of that portion of the designated incremental sales 20 or use tax collected each year on the sale at retail, the use, the lease or rental, 21 the consumption and storage for use or consumption of tangible personal 22 property, and on sales of services, all as defined in R.S. 47:301 et seq., or any 23 other applicable provision of law. 24 (2) The sales or use tax increment may include hotel occupancy taxes, 25 occupancy taxes, or similar taxes, or any combination of such taxes, levied upon 26 the use or occupancy of hotel rooms if so designated by the city of Lafayette in 27 the parish of Lafayette as the tax recipient entity, from taxpayers located within 28 the district which exceeds the designated sales or use tax revenues and hotel 29 occupancy taxes, or similar taxes so designated that were collected in the year 30 immediately prior to the year in which the district was established. Contesting ordinance or resolution; time limit. Any ordinance or 2 resolution adopted by the board including but not limited to an ordinance 3 adopted pursuant to Paragraph (F)(3) of this Section, or the pledge of tax 4 increments collected under the authority of this Section to any financing 5 authorized by this Section shall be published at least twice in the official journal 6 of Lafayette Parish. For a period of thirty days after the date of publication, any 7 person in interest shall have the right to contest the legality of the ordinance or 8 resolution and of any provision therein made for the security and payment of 9 the debt obligation or the levy and collection of taxes. After that time, no one 10 shall have any cause or right of action to test the regularity, formality, legality, 11 or effectiveness of the ordinance or resolution, and provisions thereof for any 12 cause whatsoever. Thereafter, it shall be conclusively presumed that every legal 13 requirement for the levy and collection of taxes, the issuance of bonds or other 14 debt obligations, or the pledge of tax increment collected, including all things 15 pertaining to the authorizing thereof, has been complied with. No court shall 16 have authority to inquire into any of these matters after the thirty-day period 17 after publication unless a claim pursuant to this Section has been filed. 18 J. This Section, being necessary for the welfare of the state, the parish, 19 and its residents, shall be liberally construed to effect the purposes thereof.
