67.5050.1.Asusedinthissection,thefollowingtermsmean:
2 (1)"Constructionmanager",thelegalentitythatproposestoenterintoaconstruction
3[management-at-risk]	manager-at-riskcontractunderthissection;
4 (2)"Constructionmanager-at-risk",asoleproprietorship,partnership,corporation,or
5otherlegalentitythatassumestheriskfortheconstruction,rehabilitation,alteration,orrepair
6ofaprojectatthecontractedpriceasageneralcontractorandprovidesconsultationtoa
7politicalsubdivisionregardingconstructionduringandafterthedesignoftheproject.
8 2.Anypoliticalsubdivisionmayusetheconstructionmanager-at-riskmethodfor:
9civilworksprojectssuchasroads,streets,bridges,utilities,watersupplyprojects,water
10plants,wastewaterplants,waterdistributionandwastewaterconveyancefacilities,airport
11runwaysandtaxiways,stormdrainageandfloodcontrolprojects,ortransitprojects
12commonlydesignedbyprofessionalengineersinexcessoftwomilliondollars;andnoncivil
13worksprojectssuchasbuildings,siteimprovements,andotherstructures,habitableornot,
14commonlydesignedbyarchitectsinexcessofthreemilliondollars.Inusingthatmethodand
15inenteringintoacontractfortheservicesofaconstructionmanager-at-risk,thepolitical
16subdivisionshallfollowtheproceduresprescribedbythissection.
17 3.Thepoliticalsubdivisionshallpubliclydiscloseataregularmeetingitsintentto
18utilizetheconstruction[managementat-risk] manager-at-riskmethodanditsselection
19criteriaatleastoneweekpriortopublishingtherequestforqualifications.Beforeor
20concurrentlywithselectingaconstructionmanager-at-risk,thepoliticalsubdivisionshall
21selectordesignateanengineerorarchitectwhoshallpreparetheconstructiondocumentsfor
22theprojectandwhoshallcomplywithallstatelaws,asapplicable.Iftheengineeror
23architectisnotafull-timeemployeeofthepoliticalsubdivision,thepoliticalsubdivisionshall
24selecttheengineerorarchitectonthebasisofdemonstratedcompetenceandqualificationsas
25providedbysections8.285to8.291.Thepoliticalsubdivision'sengineerorarchitectfora
26projectmaynotserve,aloneorincombinationwithanother,astheconstructionmanager-at-
27risk.Thissubsectiondoesnotprohibitapoliticalsubdivision'sengineerorarchitectfrom
28providingcustomaryconstructionphaseservicesundertheengineer'sorarchitect'soriginal
29professionalserviceagreementinaccordancewithapplicablelicensinglaws.
30 4.Thepoliticalsubdivisionmayprovideorcontractfor,independentlyofthe
31constructionmanager-at-risk,inspectionservices,testingofconstructionmaterials,
32engineering,andverificationoftestingservicesnecessaryforacceptanceoftheprojectby
33thepoliticalsubdivision.
34 5.Thepoliticalsubdivisionshallselecttheconstructionmanager-at-riskinatwo-step
35process.Thepoliticalsubdivisionshallpreparearequestforqualifications,forthecaseofthe
HB413	2 36firststepofthetwo-stepprocess,thatincludesgeneralinformationontheprojectsite,project
37scope,schedule,selectioncriteria,andthetimeandplaceforreceiptofproposalsor
38qualifications,asapplicable,andotherinformationthatmayassistthepoliticalsubdivisionin
39itsselectionofaconstructionmanager-at-risk.Thepoliticalsubdivisionshallstatethe
40selectioncriteriaintherequestforproposalsorqualifications,asapplicable.Theselection
41criteriamayincludetheconstructionmanager'sexperience,pastperformance,safetyrecord,
42proposedpersonnelandmethodology,andotherappropriatefactorsthatdemonstratethe
43capabilityoftheconstructionmanager-at-risk.Thepoliticalsubdivisionshallnotrequestfees
44orpricesinstepone.Insteptwo,thepoliticalsubdivisionmayrequestthatfiveorfewer
45constructionmanagers,selectedsolelyonthebasisofqualifications,provideadditional
46information,includingtheconstructionmanager-at-risk'sproposedfeeanditspricefor
47fulfillingthegeneralconditions.Qualificationsshallaccountforaminimumoffortypercent
48oftheevaluation.Costshallaccountforamaximumofsixtypercentoftheevaluation.
49 6.Thepoliticalsubdivisionshallpublishtherequestforproposalsorqualificationsby
50publicationinanewspaperofgeneralcirculationpublishedinthecountywherethepolitical
51subdivisionislocatedonceaweekfortwoconsecutiveweekspriortoopeningtheproposals
52orqualificationssubmissionsorbyavirtualnoticeprocedurethatnotifiesinterestedparties
53foratleasttwentyvariouspurchases,designcontracts,constructioncontracts,orother
54contractseachyearforthepoliticalsubdivision.
55 7.Foreachstep,thepoliticalsubdivisionshallreceive,publiclyopen,andreadaloud
56thenamesoftheconstructionmanagers.Withinforty-fivedaysafterthedateofopeningthe
57proposalsorqualificationsubmissions,thepoliticalsubdivisionoritsrepresentativeshall
58evaluateandrankeachproposalorqualificationsubmissionsubmittedinrelationtothe
59criteriasetforthintherequestforproposalsorrequestforqualifications.Thepolitical
60subdivisionshallinterviewatleasttwoofthetopqualifiedofferorsaspartofthefinal
61selection.
62 8.Thepoliticalsubdivisionoritsrepresentativeshallselecttheconstructionmanager
63thatsubmitstheproposalthatoffersthebestvalueforthepoliticalsubdivisionbasedonthe
64publishedselectioncriteriaandonitsrankingevaluation.Thepoliticalsubdivisionorits
65representativeshallfirstattempttonegotiateacontractwiththeselectedconstruction
66manager.Ifthepoliticalsubdivisionoritsrepresentativeisunabletonegotiateasatisfactory
67contractwiththeselectedconstructionmanager,thepoliticalsubdivisionoritsrepresentative
68shall,formallyandinwriting,endnegotiationswiththatconstructionmanagerandproceedto
69negotiatewiththenextconstructionmanagerintheorderoftheselectionrankinguntila
70contractisreachedornegotiationswithallrankedconstructionmanagersend.
71 9.Aconstructionmanager-at-riskshallpubliclyadvertise,inthemannerprescribed
72bychapter50,andreceivebidsorproposalsfromtradecontractorsorsubcontractorsforthe
HB413	3 73performanceofallmajorelementsoftheworkotherthantheminorworkthatmaybe
74includedinthegeneralconditions.Aconstructionmanager-at-riskmayseektoperform
75portionsoftheworkitselfiftheconstructionmanager-at-risksubmitsitssealedbidorsealed
76proposalforthoseportionsoftheworkinthesamemannerasallothertradecontractorsor
77subcontractors.Allsealedbidsorproposalsshallbesubmittedatthetimeandlocationas
78specifiedintheadvertisementforbidsorproposalsandshallbepubliclyopenedandthe
79identityofeachbidderandtheirbidamountshallbereadaloud.Thepoliticalsubdivision
80shallhavetheauthoritytorestricttheconstructionmanager-at-riskfromsubmittingbidsto
81performportionsofthework.
82 10.Theconstructionmanager-at-riskandthepoliticalsubdivisionorits
83representativeshallreviewalltradecontractor,subcontractor,orconstructionmanager-at-
84riskbidsorproposalsinamannerthatdoesnotdisclosethecontentsofthebidorproposal
85duringtheselectionprocesstoapersonnotemployedbytheconstructionmanager-at-risk,
86engineer,architect,orpoliticalsubdivisioninvolvedwiththeproject.Iftheconstruction
87manager-at-risksubmittedbidsorproposals,thepoliticalsubdivisionshalldetermineifthe
88constructionmanager-at-risk'sbidorproposaloffersthebestvalueforthepolitical
89subdivision.Afterallproposalshavebeenevaluatedandclarified,theawardofall
90subcontractsshallbemadepublic.
91 11.Iftheconstructionmanager-at-riskreviews,evaluates,andrecommendstothe
92politicalsubdivisionabidorproposalfromatradecontractororsubcontractorbutthe
93politicalsubdivisionrequiresanotherbidorproposaltobeaccepted,thepoliticalsubdivision
94shallcompensatetheconstructionmanager-at-riskbyachangeinprice,time,orguaranteed
95maximumcostforanyadditionalcostandriskthattheconstructionmanager-at-riskmay
96incurbecauseofthepoliticalsubdivision'srequirementthatanotherbidorproposalbe
97accepted.
98 12.Ifaselectedtradecontractororsubcontractormateriallydefaultsinthe
99performanceofitsworkorfailstoexecuteasubcontractafterbeingselectedinaccordance
100withthissection,theconstructionmanager-at-riskmayitself,withoutadvertising,fulfillthe
101contractrequirementsorselectareplacementtradecontractororsubcontractortofulfillthe
102contractrequirements.Thepenalsumsoftheperformanceandpaymentbondsdeliveredto
103thepoliticalsubdivisionshalleachbeinanamountequaltothefixedcontractamountor
104guaranteedmaximumprice.Theconstructionmanager-at-riskshalldeliverthebondsnot
105laterthanthetenthdayafterthedatethefixedcontractamountorguaranteedmaximumprice
106isestablished.
107 13.Anypoliticalsubdivisionengagedinaprojectunderthissection,whichimpactsa
108railroadregulatedbytheFederalRailroadAdministration,shallconsultwiththeaffected

110indemnificationtobeincludedintheconstructiondocumentsforsuchproject.
111 14.Thissectionshallnotapplyto:
112 (1)AnymetropolitansewerdistrictestablishedunderArticleVI,Section30(a)ofthe
113ConstitutionofMissouri;
114 (2)Anyspecialchartercity,oranycityorcountygovernedbyhomeruleunder

6basedselectionprocesssimilartothatdescribedinsections8.285to8.291betweenapolitical
7subdivisionandadesign-buildertofurnishthearchitectural,engineering,andrelateddesign
8servicesandthelabor,materials,supplies,equipment,andotherconstructionservices
9requiredforadesign-buildproject;
10 (3)"Design-buildproject",thedesign,construction,alteration,addition,remodeling,
11orimprovementofanybuildingsorfacilitiesundercontractwithapoliticalsubdivision.
12Suchdesign-buildprojectsinclude,butarenotlimitedto:
13 (a)Civilworksprojects,suchasroads,streets,bridges,utilities,airportrunwaysand

39requirements,descriptionofthesite,surveys,soilandenvironmentalinformationconcerning
40thesite,interiorspacerequirements,materialqualitystandards,designandconstruction
41schedules,sitedevelopmentrequirements,provisionsforutilities,stormwaterretentionand
42disposal,parkingrequirements,applicablegovernmentalcoderequirements,preliminary
43designsfortheprojectorportionsthereof,andothercriteriafortheintendeduseofthe
44project;
45 (7)"Designprofessionalservices",servicesthatare:
46 (a)Withinthepracticeofarchitectureasdefinedinsection327.091,orwithinthe
47practiceofprofessionalengineeringasdefinedinsection327.181;or
48 (b)Performedbyalicensedorauthorizedarchitectorprofessionalengineerin
49connectionwiththearchitect'sorprofessionalengineer'semploymentorpractice;

62performperiodicsitevisitstoobserveadherencetothedesigncriteria,prepareprogress
63reports,reviewandapproveprogressandfinalpayapplicationsofthedesign-builder,review
64shopdrawingsandsubmissions,provideinputindisputes,helpinterprettheconstruction

66inspections,andprovideanyotherprofessionalserviceassistingwiththeproject
67administration.Thedesigncriteriaconsultantmayalsoevaluateconstructionastothe
68adherenceofthedesigncriteria.Theconsultantshallbeselectedanditscontractnegotiated
69incompliancewithsections8.285to8.291unlesstheconsultantisadirectemployeeofthe
70politicalsubdivision.
71 4.Thepoliticalsubdivisionshallpubliclydiscloseataregularmeetingitsintentto
72utilizethedesign-buildmethodanditsprojectdesigncriteriaatleastoneweekpriorto
73publishingtherequestforproposals.Noticeofrequestsforproposalsshallbeadvertisedby
74publicationinanewspaperofgeneralcirculationpublishedinthecountywherethepolitical
75subdivisionislocatedonceaweekfortwoconsecutiveweekspriortoopeningtheproposals,
76orbyavirtualnoticeprocedurethatnotifiesinterestedpartiesforatleasttwentyvarious
77purchases,designcontracts,constructioncontracts,orothercontractseachyearforthe
78politicalsubdivision.Thepoliticalsubdivisionshallpublishanoticeofarequestforproposal
79withadescriptionoftheproject,theproceduresforsubmission,andtheselectioncriteriato
80beused.
81 5.Thepoliticalsubdivisionshallestablishintherequestforproposalatime,place,
82andotherspecificinstructionsforthereceiptofproposals.Proposalsnotsubmittedinstrict
83accordancewiththeinstructionsshallbesubjecttorejection.
84 6.Arequestforproposalshallbepreparedforeachdesign-buildcontractcontaining
85atminimumthefollowingelements:
86 (1)Theprocedurestobefollowedforsubmittingproposals,thecriteriaforevaluating
87proposalsandtheirrelativeweight,andtheproceduresformakingawards;
88 (2)Theproposedtermsandconditionsforthedesign-buildcontract,ifavailable;
89 (3)Thedesigncriteriapackage;
90 (4)Adescriptionofthedrawings,specifications,orotherinformationtobesubmitted
91withtheproposal,withguidanceastotheformandlevelofcompletenessofthedrawings,
92specifications,orotherinformationthatwillbeacceptable;
93 (5)Ascheduleforplannedcommencementandcompletionofthedesign-build
94contract,ifany;
95 (6)Budgetlimitsforthedesign-buildcontract,ifany;

104shallbethesolicitationofqualificationsofthedesign-buildteam.PhaseIIshallbethe
105solicitationofatechnicalproposalincludingconceptualdesignfortheproject.PhaseIIIshall
106betheproposaloftheconstructioncost.
107 8.Thepoliticalsubdivisionshallreviewthesubmissionsoftheproposalsandassign
108pointstoeachproposalinaccordancewiththissectionandassetoutintheinstructionsofthe
109requestforproposal.
110 9.PhaseIshallrequirealldesign-builderstosubmitastatementofqualificationthat
111shallinclude,butnotbelimitedto:
112 (1)Demonstratedabilitytoperformprojectscomparableindesign,scope,and
113complexity;
114 (2)Referencesofownersforwhomdesign-buildprojects,constructionprojects,or
115designprojectshavebeenperformed;
116 (3)Qualificationsofpersonnelwhowillmanagethedesignandconstructionaspects
117oftheproject;and
118 (4)Thenamesandqualificationsoftheprimarydesignconsultantsandtheprimary
119tradecontractorswithwhomthedesign-builderproposestosubcontractorjointventure.The
120design-buildermaynotreplaceanidentifiedcontractor,subcontractor,designconsultant,or
121subconsultantwithoutthewrittenapprovalofthepoliticalsubdivision.
122 10.Thepoliticalsubdivisionshallevaluatethequalificationsofallthedesign-
123builderswhosubmittedproposalsinaccordancewiththeinstructionsoftherequestfor
124proposal.Architecturalandengineeringservicesontheprojectshallbeevaluatedin
125accordancewiththerequirementsofsections8.285and8.291.Qualifieddesign-builders
126selectedbytheevaluationteammayproceedtophaseIIoftheselectionprocess.Design-
127builderslackingthenecessaryqualificationstoperformtheworkshallbedisqualifiedand
128shallnotproceedtophaseIIoftheprocess.Thisprocessofshortlistingshallnarrowthe
129numberofqualifieddesign-builderstonotmorethanfivenorfewerthantwo.Underno
130circumstancesshallpriceorfeesbeapartoftheprequalificationcriteria.Design-builders
131maybeinterviewedineitherphaseIorphaseIIoftheprocess.PointsassignedinphaseIof
132theevaluationprocessshallnotcarryforwardtophaseIIoftheprocess.Allqualifieddesign-
133buildersshallberankedonpointsgiveninphasesIIandIIIonly.
134 11.Thepoliticalsubdivisionshallhavediscretiontodisqualifyanydesign-builder
135who,inthepoliticalsubdivision'sopinion,lackstheminimumqualificationsrequiredto
136performthework.

138design-buildershavebeenselected,thedesign-buildersshallhaveaspecifiedamountoftime
139inwhichtoassemblephaseIIandphaseIIIproposals.
140 13.PhaseIIoftheprocessshallbeconductedasfollows:
141 (1)Thepoliticalsubdivisionshallinvitethetopqualifieddesign-buildersto
142participateinphaseIIoftheprocess;
143 (2)Adesign-buildershallsubmititsdesignfortheprojecttothelevelofdetail
144requiredintherequestforproposal.Thedesignproposalshalldemonstratecompliancewith
145therequirementssetoutintherequestforproposal;
146 (3)Theabilityofthedesign-buildertomeetthescheduleforcompletingaprojectas
147specifiedbythepoliticalsubdivisionmaybeconsideredasanelementofevaluationinphase
148II;
149 (4)Uptotwentypercentofthepointsawardedtoeachdesign-builderinphaseIImay
150bebasedoneachdesign-builder'squalificationsandabilitytodesign,contract,anddeliverthe
151projectontimeandwithinthebudgetofthepoliticalsubdivision;
152 (5)Undernocircumstancesshallthedesignproposalcontainanyreferencetothecost
