3765 BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:

3966 SECTION 1. NEW LAW A new section of law to be codified
4067 in the Oklahoma Statutes as Section 552.24 of Title 18, unless there
4168 is created a duplication in numbering, reads as follows:

4369 A. The requirements of this section shall only apply to a

4898 1. Is incorporated, organized, or ha s its principal place of
4999 business in this state, or ha s assets located in this st ate with a
50100 fair market value in exc ess of Five Hundred Thousand Dollars
51101 ($500,000.00); and

53102 2. Has engaged in solicitation of contributions in this state
54103 for a period of one (1) year.

56104 B. A charitable organization required to register under Section
57105 552.3 of Title 18 of the Oklahoma Statutes shall give written notice
58106 to the Attorney General no later than forty-five (45) days before
59107 any of the following events:

61108 1. Dissolution of the charitable organization ;

63109 2. Termination of the charitable organization ;
64-
65110 3. Disposition by the charitable organization of all or
66111 substantially all of the charitable assets of the charitable
67112 organization;

69113 4. Removal of the charitable organization from the jurisdiction
70114 of this state;

72115 5. Removal of all or substantially all charitable assets of the
73116 charitable organization from this state; or
74-
75117 6. An amendment of the governing document that describes the
76118 charitable purposes of the charitable organization and the use and
77119 administration of charitable assets he ld by the charitable
78120 organization.

80148 Such events shall not include a grant or other donation by a
81149 charitable organization in the ordinary course of its operation and
82150 consistent with its past practice.

84151 C. A charitable organization required to register under Section
85152 552.3 of Title 18 of the Oklahoma Statutes shall give written notice
86153 to the Attorney General n o later than forty-five (45) days before
87154 the consummation of a merger, consolidation, or conversion of the
88155 charitable organizati on.

92156 D. A transfer of a chari table asset in connection with an event
93157 described in subsection B or C of this section which occurs earlier
94158 than forty-five (45) days after giving the notice required in
95159 subsection B or C of this section shall be a violation of this
96160 section unless before the transfer, the charitable organization
97161 receives written consent from the Attorney General to the event or
98162 written notice from the Attorney General that the Attorney General
99163 will take no action re lated to the event.

101164 E. A charitable organization required to register under Section
102165 552.3 of Title 18 of the Oklahoma Statutes shall give written notice
103166 to the Attorney General no later than twenty (20) days after receipt
104167 of a notice of revocatio n, modification, or denial of its fede ral
105168 charitable income tax exemption.

107169 F. In reviewing any event for which notice is required under
108170 subsection B or C of this section, the Attorney General shall
109171 consider, among other relevant factors as determined by t he Attorney

110199 General, the value o f the assets or interests transferred, the
111200 person or entity to which such transfer is made, the purpose of the
112201 transfer, the source of the assets, w hether the assets consist of
113202 donated funds or property, the donors ’ intent to the extent it can
114203 be determined, and any expression of support by the board of
115204 directors and the voting members of the charitable organization that
116205 proposes to make the transfer .

118206 G. If the Attorney General objects to any event for which
119207 notice is required und er subsection B or C of this section, the
120208 Attorney General shall give written notice to the charitable
121209 organization of the objection. Either the Attorney General or the
122210 charitable organization may file an action with the district court
123211 of the county in which the charitable organization is located to
124212 obtain a review by such district court of the objection of the
125213 Attorney General.
