26	55		BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:

28	56		SECTION 1. AMENDATORY 74 O.S. 2021, Section 5207, is
29	57		amended to read as follows:

31	58		Section 5207. A. Subject to the provisions of Section 5206 of
32	59		this title, there is created within the Oklahoma Space Industry
33	60		Development Authority, the Board of Directors consisting of seven
34	61		(7) members who shall be appoi nted by the Governor with advice and
35	62		consent of the Senate. All but one Board member shall be a resident
36	63		of this state. Each member appointed to serve on the B oard shall
37	64		have experience in the aerospace or commercial space industry or
38	65		finance, or have other significant rele vant experience.

40	93		B. 1. Initially, the Governor shall appoint four members for
41	94		terms of three (3) years and three members for terms of four (4)
42	95		years. Thereafter, each member shall serve a term of four (4) years
43	96		or until a successor i s appointed and qual ified. Initial
44	97		appointments shall be made no later than sixty (60) days after the
45	98		motion to activate the Authority is memoria lized pursuant to Section
46	99		5206 of this title. The term of the members shall commence on the

49	100		date of appointment and terminate on June 30 of the year of the end
50	101		of the term. No member shall serve on the Board for more than two
51	102		three full four-year terms. Except as prohibited by the Oklahoma
52	103		Constitution, appointment to the Board shall not preclude any member
53	104		from holding any other private or public position.

55	105		2. An appointment to fill a vacancy in a member ’s office shall
56	106		be made by the Governor for the unexpire d portion of the term of the
57	107		member who vacated that office. An appointment to complete an
58	108		unexpired term shall not count t oward three full four-year terms.

60	109		C. The Governor has the authority to remov e from the Board any
61	110		member in the manner and for cause as defined by the laws of this
62	111		state and applicable to situations which may arise before the Boa rd.
63	112		Unless excused by the chair of the Board, a member’s absence from
64	113		two or more consecutive Board mee tings creates a vacancy in the
65	114		office to which the member was appointed.

67	115		D. The Governor shall designate a member to serve as chair of
68	116		the Board who, if such person remains a member of the Board, shall

69	144		serve as chair until the expiration of the three -year terms of those
70	145		members of the Board appointed initially for three -year terms. Each
71	146		subsequent chair shall be selected by the Board members and shall
72	147		serve a two-year term.

74	148		E. 1. The Board shall hold its initial meeting no later than
75	149		twenty (20) days after the members have been appointe d. Meetings
76	150		shall be held quarterly or more frequently a t the call of the chair.
77	151		A majority of the members on the Bo ard shall constitute a quorum,
78	152		and a majority vote of the members present is necessary for any
79	153		action taken by the Board.

81	154		2. At its initial meeting, or as soon thereafter as is
82	155		practicable, the Board shall appoint a chief executive officer who
83	156		shall serve at the pleasure of the Board. A member of the Board may
84	157		be appointed as chief executive officer; provi ded, if a member of
85	158		the Board is so appointed, the member shall resign as a member of
86	159		the Board and the vacancy shall be filled as provided in paragraph 2
87	160		of subsection B of this section. The Board shall determine the
88	161		annual salary of the chief executive officer.

92	162		F. Each member shall be reimbursed for expenses incurred in the
93	163		performance of duties on behalf of the Authority as provided for in
94	164		the State Travel Reimbursement Act.

96	165		G. Before the issuance of any revenue bonds under the
97	166		provisions of the Oklah oma Space Industry Development Act , each
98	167		member of the Board shall execute a surety bond in the penal sum of

99	195		Twenty-five Thousand Dollars ($25,000.00). Each such surety bond
100	196		shall be conditioned upon the faithful performance of the duties of
101	197		the member’s office, shall be executed by a sur ety company
102	198		authorized to transact business in the State of Oklahoma as surety,
103	199		and shall be filed in the office of th e Secretary of State.
