99 AN ACT
1010 relating to the waiver and release of a mechanic's, contractor's, or
1111 materialman's lien or payment bond claim and to the creation of a
1212 mechanic's, contractor's, or materialman's lien for certain
1313 landscaping.
1414 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1515 SECTION 1. Section 53.021(d), Property Code, is amended to
1616 read as follows:
1717 (d) A person who provides labor, plant material, or other
1818 supplies for the installation of landscaping for a house, building,
1919 or improvement, including the construction of a retention pond,
2020 retaining wall, berm, irrigation system, fountain, or other similar
2121 installation, under or by virtue of a written contract with the
2222 owner or the owner's agent, contractor, subcontractor, trustee, or
2323 receiver has a lien on the property.
2424 SECTION 2. Section 53.085(c), Property Code, is amended to
2525 read as follows:
2626 (c) The affidavit may include:
2727 (1) a waiver or release of lien rights or payment bond
2828 claims by the affiant that is conditioned on the receipt of actual
2929 payment or collection of funds when payment is made by check or
3030 draft, as provided by Subchapter L;
3131 (2) a warranty or representation that certain bills or
3232 classes of bills will be paid by the affiant from funds paid in
3333 reliance on the affidavit; and
3434 (3) an indemnification by the affiant for any loss or
3535 expense resulting from false or incorrect information in the
3636 affidavit.
3737 SECTION 3. Chapter 53, Property Code, is amended by adding
3838 Subchapter L to read as follows:
3939 SUBCHAPTER L. WAIVER AND RELEASE OF LIEN OR PAYMENT BOND CLAIM
4040 Sec. 53.281. WAIVER AND RELEASE OF LIEN OR PAYMENT BOND
4141 CLAIM. (a) Any waiver and release of a lien or payment bond claim
4242 under this chapter is unenforceable unless a waiver and release is
4343 executed and delivered in accordance with this subchapter.
4444 (b) A waiver and release is effective to release the owner,
4545 the owner's property, the contractor, and the surety on a payment
4646 bond from claims and liens only if:
4747 (1) the waiver and release substantially complies with
4848 one of the forms prescribed by Section 53.284;
4949 (2) the waiver and release is signed by the claimant or
5050 the claimant's authorized agent and notarized; and
5151 (3) in the case of a conditional release, evidence of
5252 payment to the claimant exists.
5353 Sec. 53.282. CONDITIONS FOR WAIVER, RELEASE, OR IMPAIRMENT
5454 OF LIEN OR PAYMENT BOND CLAIM. (a) A statement purporting to
5555 waive, release, or otherwise adversely affect a lien or payment
5656 bond claim is not enforceable and does not create an estoppel or
5757 impairment of a lien or payment bond claim unless:
5858 (1) the statement is in writing and substantially
5959 complies with a form prescribed by Section 53.284;
6060 (2) the claimant has actually received payment in good
6161 and sufficient funds in full for the lien or payment bond claim; or
6262 (3) the statement is:
6363 (A) in a written original contract or subcontract
6464 for the construction, remodel, or repair of a single-family house,
6565 townhouse, or duplex or for land development related to a
6666 single-family house, townhouse, or duplex; and
6767 (B) made before labor or materials are provided
6868 under the original contract or subcontract.
6969 (b) The filing of a lien rendered unenforceable by a lien
7070 waiver under Subsection (a)(3) does not violate Section 12.002,
7171 Civil Practice and Remedies Code, unless:
7272 (1) an owner or original contractor sends a written
7373 explanation of the basis for nonpayment, evidence of the
7474 contractual waiver of lien rights, and a notice of request for
7575 release of the lien to the claimant at the claimant's address stated
7676 in the lien affidavit; and
7777 (2) the lien claimant does not release the filed lien
7878 affidavit on or before the 14th day after the date the owner or the
7979 original contractor sends the items required by Subdivision (1).
8080 (c) Subsection (a)(3) does not apply to a person who
8181 supplies only material, and not labor, for the construction,
8282 remodel, or repair of a single-family house, townhouse, or duplex
8383 or for land development related to a single-family house,
8484 townhouse, or duplex.
8585 Sec. 53.283. UNCONDITIONAL WAIVER AND RELEASE: PAYMENT
8686 REQUIRED. A person may not require a claimant or potential claimant
8787 to execute an unconditional waiver and release for a progress
8888 payment or final payment amount unless the claimant or potential
8989 claimant received payment in that amount in good and sufficient
9090 funds.
9191 Sec. 53.284. FORMS FOR WAIVER AND RELEASE OF LIEN OR PAYMENT
9292 BOND CLAIM. (a) A waiver and release given by a claimant or
9393 potential claimant is unenforceable unless it substantially
9494 complies with the applicable form described by Subsections (b)-(e).
9595 (b) If a claimant or potential claimant is required to
9696 execute a waiver and release in exchange for or to induce the
9797 payment of a progress payment and is not paid in exchange for the
9898 waiver and release or if a single payee check or joint payee check
9999 is given in exchange for the waiver and release, the waiver and

112112 ordinance, rule, or statute related to claim or payment rights for
113113 persons in the signer's position that the signer has on the
114114 property of ________________ (owner) located at
115115 ______________________ (location) to the following extent:
116116 ______________________ (job description).
117117 "This release covers a progress payment for all labor,
118118 services, equipment, or materials furnished to the property or to
119119 __________________ (person with whom signer contracted) as
120120 indicated in the attached statement(s) or progress payment
121121 request(s), except for unpaid retention, pending modifications and
122122 changes, or other items furnished.
123123 "Before any recipient of this document relies on this
124124 document, the recipient should verify evidence of payment to the
125125 signer.
126126 "The signer warrants that the signer has already paid or will
127127 use the funds received from this progress payment to promptly pay in
128128 full all of the signer's laborers, subcontractors, materialmen, and
129129 suppliers for all work, materials, equipment, or services provided
130130 for or to the above referenced project in regard to the attached
131131 statement(s) or progress payment request(s).

136136 (c) If a claimant or potential claimant is required to

141141 the waiver and release must:
142142 (1) contain a notice at the top of the document,
143143 printed in bold type at least as large as the largest type used in
144144 the document, but not smaller than 10-point type, that reads:
145145 "NOTICE:
146146 "This document waives rights unconditionally and states that
147147 you have been paid for giving up those rights. It is prohibited for
148148 a person to require you to sign this document if you have not been
149149 paid the payment amount set forth below. If you have not been paid,
150150 use a conditional release form."; and
151151 (2) below the notice, read:

263263 Sec. 53.285. ATTEMPTED COMPLIANCE. (a) A waiver or
264264 release shall be construed to comply with this subchapter and is
265265 enforceable in the same manner as a waiver and release under this
266266 subchapter if the waiver or release:
267267 (1) is furnished in attempted compliance with this
268268 subchapter; or
269269 (2) evidences by its terms intent to comply with this
270270 subchapter.
271271 (b) Any provision in any waiver or release furnished in
272272 attempted compliance with this subchapter that expands or restricts
273273 the rights or liabilities provided under this subchapter shall be
274274 disregarded and the provisions of this subchapter shall be read
275275 into that waiver or release.
276276 (c) This section expires August 31, 2012.
277277 Sec. 53.286. PUBLIC POLICY. Notwithstanding any other law
278278 and except as provided by Section 53.282, any contract, agreement,
279279 or understanding purporting to waive the right to file or enforce
280280 any lien or claim created under this chapter is void as against
281281 public policy.
282282 Sec. 53.287. CERTAIN AGREEMENTS EXEMPT. This subchapter
283283 does not apply to a written agreement to subordinate, release,
284284 waive, or satisfy all or part of a lien or bond claim in:
285285 (1) an accord and satisfaction of an identified
286286 dispute;
287287 (2) an agreement concerning an action pending in any
288288 court or arbitration proceeding; or
289289 (3) an agreement that is executed after an affidavit
290290 claiming the lien has been filed or the bond claim has been made.
291291 SECTION 4. Section 53.021(d), Property Code, as amended by
292292 this Act, applies only to a lien claim arising under or by virtue of
293293 a contract entered into on or after the effective date of this Act.
294294 A lien claim arising under or by virtue of a contract entered into
295295 before the effective date of this Act is governed by the law
296296 applicable to the claim immediately before the effective date of
297297 this Act, and that law is continued in effect for that purpose.
298298 SECTION 5. Section 53.085(c), Property Code, as amended by
299299 this Act, and Subchapter L, Chapter 53, Property Code, as added by
300300 this Act, apply only to a contract executed on or after January 1,
301301 2012. A contract executed before January 1, 2012, is covered by the
302302 law applicable to the contract immediately before the effective
303303 date of this Act, and the former law is continued in effect for that
304304 purpose.
305305 SECTION 6. This Act takes effect January 1, 2012.
