57 relating to the powers, duties, and governance of the Westwood
68 Magnolia Parkway Improvement District; authorizing assessments.
79 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
810 SECTION 1. Section 1(a), Chapter 323, Acts of the 78th
911 Legislature, Regular Session, 2003, is amended to read as follows:
1012 (a) The Westwood Magnolia Parkway [Southwest Montgomery
1113 County] Improvement District is created as a special district in
1214 Montgomery County under Section 59, Article XVI, Texas
1315 Constitution.
1416 SECTION 2. Section 2, Chapter 323, Acts of the 78th
1517 Legislature, Regular Session, 2003, is amended to read as follows:
1618 Sec. 2. DEFINITIONS. In this Act:
1719 (1) "Board" means the board of directors of the
1820 district.
1921 (2) "Commission" means the Texas Commission on
2022 Environmental Quality.
2123 (3) "County" means Montgomery County, Texas.
2224 (4) "District" means the Westwood Magnolia Parkway
2325 [Southwest Montgomery County] Improvement District.
2426 (5) [(4)] "Planned community" means a planned
2527 community of 15,000 or more acres of land originally established
2628 under the federal Urban Growth and New Community Development Act of
2729 1970 (42 U.S.C. Section 4501 et seq.) that is subject to restrictive
2830 covenants containing ad valorem based assessments.
2931 SECTION 3. Sections 3(a) and (b), Chapter 323, Acts of the
3032 78th Legislature, Regular Session, 2003, are amended to read as
3133 follows:
3234 (a) The creation of the district is essential to accomplish
3335 the purposes of Sections [Section] 52 and 52-a, Article III, and
3436 Section 59, Article XVI, Texas Constitution, and other public
3537 purposes stated in this Act.
3638 (b) The creation of the district is necessary to promote,
3739 develop, encourage, and maintain employment, commerce, economic
3840 development, and the public welfare in a [the southwest] portion of
3941 Montgomery County.
4042 SECTION 4. Chapter 323, Acts of the 78th Legislature,
4143 Regular Session, 2003, is amended by adding Section 4A to read as
4244 follows:
4345 Sec. 4A. DISTRICT TERRITORY. The district's territory
4446 includes the following described territory:
4547 Reserves "A" and "D" and Lots 39-92 of Block 1, Lots 55-79 of
4648 Block 5, Lot 4 of Block 7, and Lots 12-25 of Block 8 of Westwood One,
4749 a subdivision of record in Cabinet B, Sheets 62A-64B, Map Records of
4850 Montgomery County, Texas (M.C.M.R.);

245247 SECTION 5. Section 5, Chapter 323, Acts of the 78th
246248 Legislature, Regular Session, 2003, is amended to read as follows:
247249 Sec. 5. FINDINGS RELATING TO BOUNDARIES. The boundaries
248250 and field notes of the district as described by Section 4A of this
249251 Act form a closure. A mistake in the field notes or in copying the
250252 field notes in the legislative process does not in any way affect
251253 the district's:
252254 (1) organization, existence, or validity;
253255 (2) right to enter any type of contract for a purpose
254256 for which the district is created;
255257 (3) right to impose or collect an assessment or tax; or
256258 (4) legality or operation.
257259 SECTION 6. Section 6(b), Chapter 323, Acts of the 78th
258260 Legislature, Regular Session, 2003, is amended to read as follows:
259261 (b) All land and other property in the district will benefit
260262 from the improvements and services to be provided by the district
261263 under powers conferred by Sections [Section] 52 and 52-a, Article
262264 III, and Section 59, Article XVI, Texas Constitution, and other
263265 powers granted under this Act.
264266 SECTION 7. Section 9, Chapter 323, Acts of the 78th
265267 Legislature, Regular Session, 2003, is amended to read as follows:
266268 Sec. 9. BOARD OF DIRECTORS. (a) Except as provided by this
267269 section [Section 14 of this Act], the district is governed by a
268270 board of five [11] directors who serve staggered terms of four years
269271 with two or three directors' terms expiring on June 1 of each
270272 odd-numbered year.
271273 (b) [Except as provided by Section 14 of this Act, six
272274 directors are elected by the voters of the district at large.] Five
273275 directors are appointed as follows from persons recommended by the
274276 board:
275277 (1) two directors appointed by the county commissioner
276278 of County Commissioners Precinct No. 2 [one director appointed by
277279 the governing body of the City of Magnolia];
278280 (2) [one director appointed by the governing body of
279281 the City of Stagecoach;
280282 [(3)] one director appointed by the governing body of
281283 the City of Conroe;
282284 (3) [(4)] one director appointed by the governing body
283285 of the Magnolia Independent School District; and
284286 (4) [(5)] one director appointed by the county
285287 commissioners court [Montgomery County Commissioners Court].
286288 (c) The board by resolution may change the number of
287289 directors on the board if:
288290 (1) the county commissioners court consents to the
289291 change in the number of directors;
290292 (2) the board determines that the change is in the best
291293 interest of the district; and
292294 (3) the board designates in the resolution a governing
293295 body of a political subdivision of this state to appoint from
294296 persons recommended by the board the director for a new director
295297 position established under this subsection.
296298 (d) The board may not consist of fewer than five or more than
297299 nine directors.
298300 (e) To be eligible to serve as a director, a person must be
299301 at least 18 years old[, a resident of the district,] and:
300302 (1) an owner of real property in the district;
301303 (2) an owner, whether beneficial or otherwise, of at
302304 least 10 percent of the outstanding stock of a corporate owner of
303305 real property in the district or of a corporate lessee of real
304306 property in the district with a lease term of five years or more
305307 measured from the date of appointment or election, excluding
306308 options;
307309 (3) an owner of at least 10 percent of the beneficial
308310 interest in a trust that:
309311 (A) owns real property in the district; or
310312 (B) leases real property in the district under an
311313 original lease term of five years or more measured from the date of
312314 appointment or election, excluding options;
313315 (4) a lessee of real property in the district under an
314316 original lease term of five years or more, excluding options;
315317 (5) an owner of at least 10 percent of the outstanding
316318 interest in a general or limited partnership that:
317319 (A) owns real property in the district; or
318320 (B) leases real property in the district under an
319321 original lease term of five years or more measured from the date of
320322 appointment or election, excluding options; or
321323 (6) an agent, employee, officer, or director of any
322324 individual, corporation, trust, or partnership that owns or leases
323325 real property described by Subdivision (1), (2), (3), (4), or (5) of
324326 this subsection who is designated by the owner or lessee to serve as
325327 a director.
326328 (f) [(d)] A person may not be appointed as a director under
327329 Subsection (b) of this section if:
328330 (1) the appointment would cause more than two [three]
329331 members of the board to be an agent, employee, officer, or director
330332 of the same individual, corporation, trust, or partnership that
331333 owns or leases property in the district; or
332334 (2) the proposed director serves on the board of
333335 directors of a nonprofit organization, such as a homeowners
334336 association or chamber of commerce, that serves any purpose similar
335337 to those of the district, including economic development, and
336338 serves a geographic territory that encompasses any part of the
337339 district.
338340 SECTION 8. Section 10(a), Chapter 323, Acts of the 78th
339341 Legislature, Regular Session, 2003, is amended to read as follows:
340342 (a) A vacancy in an appointed position is filled for the
341343 remainder of the unexpired term by the appointment of a person
342344 recommended by the board made by the entity that made the original
343345 appointment. [A vacancy in an elected position is filled by the
344346 remaining members of the board for the unexpired term.]
345347 SECTION 9. Chapter 323, Acts of the 78th Legislature,
346348 Regular Session, 2003, is amended by adding Sections 11A and 11B to
347349 read as follows:
348350 Sec. 11A. QUORUM. For purposes of determining a quorum of
349351 the board, the following are not counted:
350352 (1) a board position vacant for any reason, including
351353 death, resignation, or disqualification; or
352354 (2) a director who is abstaining from participation in
353355 a vote because of a conflict of interest.
354356 Sec. 11B. COMPENSATION. A director is entitled to receive
355357 fees of office and reimbursement for actual expenses as provided by
356358 Section 49.060, Water Code. Sections 375.069 and 375.070, Local
357359 Government Code, do not apply to the board.
358360 SECTION 10. Section 13, Chapter 323, Acts of the 78th
359361 Legislature, Regular Session, 2003, is amended to read as follows:
360362 Sec. 13. REMOVAL OF DIRECTOR. On petition of at least
361363 two-thirds of the remaining directors, a governing body or person
362364 that appointed a director to the [The] board, after notice and
363365 hearing, may remove the [a] director for:
364366 (1) misconduct;
365367 (2) [or] failure to carry out the director's duties;
366368 or
367369 (3) failure to attend three consecutive meetings [by
368370 vote of not less than 75 percent of the remaining directors].
369371 SECTION 11. Section 18(b), Chapter 323, Acts of the 78th
370372 Legislature, Regular Session, 2003, is amended to read as follows:
371373 (b) A project authorized under this section may include:
372374 (1) landscaping, lighting, banners, signs, streets or
373375 sidewalks, hike and bike paths and trails, pedestrian walkways,
374376 skywalks, crosswalks or tunnels, and highway right-of-way or
375377 transit corridor beautification and improvements;
376378 (2) drainage or storm water detention improvements and
377379 solid waste, water, sewer, telecommunications infrastructure, or
378380 power facilities and services, including electrical, gas, steam,
379381 and chilled water facilities;
380382 (3) parks, lakes, gardens, recreational facilities,
381383 open space, scenic areas, and related exhibits and preserves,
382384 fountains, plazas, and pedestrian malls, public art and sculpture
383385 and related exhibits and facilities, and educational and cultural
384386 exhibits and facilities;
385387 (4) conferences, conventions, or exhibitions,
386388 manufacturer, consumer, or trade shows, civic, community, or
387389 institutional events, exhibits, displays, attractions and
388390 facilities for special events, holidays, and seasonal or cultural
389391 celebrations;
390392 (5) off-street parking facilities, bus terminals,
391393 heliports, mass-transit, and roadway-borne or water-borne
392394 transportation and people-mover systems; and
393395 (6) any other public improvements, facilities, or
394396 services authorized under this Act or Chapter 375, Local Government
395397 Code [similar to the projects described in this subsection].
396398 SECTION 12. Chapter 323, Acts of the 78th Legislature,
397399 Regular Session, 2003, is amended by adding Sections 19A, 19B, 19C,
398400 19D, and 19E to read as follows:
399401 Sec. 19A. TAX AND ASSESSMENT ABATEMENTS. The district may
400402 designate reinvestment zones and may grant abatements of district
401403 taxes or assessments on property within such zones.
402404 Sec. 19B. DISBURSEMENTS AND TRANSFERS OF MONEY. The board
403405 by resolution shall establish the number of directors' signatures
404406 and the procedure required for a disbursement or transfer of
405407 district money.
406408 Sec. 19C. MONEY USED FOR IMPROVEMENTS OR SERVICES. The
407409 district may acquire, construct, finance, operate, or maintain any
408410 improvement or service authorized under this Act or Chapter 375,
409411 Local Government Code, using any money available to the district.
410412 Sec. 19D. PETITION REQUIRED FOR FINANCING SERVICES AND
411413 IMPROVEMENTS WITH ASSESSMENTS. (a) The board may not finance a
412414 service or improvement project with assessments under this Act
413415 unless a written petition requesting that service or improvement
414416 has been filed with the board.
415417 (b) A petition filed under Subsection (a) of this section
416418 must be signed by the owners of a majority of the assessed value of
417419 real property in the district subject to assessment according to
418420 the most recent certified tax appraisal roll for the county.
419421 Sec. 19E. ASSESSMENTS; LIENS FOR ASSESSMENTS. (a) The
420422 board by resolution may impose and collect an assessment for any
421423 purpose authorized by this Act in all or any part of the district.
422424 (b) An assessment, a reassessment, or an assessment
423425 resulting from an addition to or correction of the assessment roll
424426 by the district, penalties and interest on an assessment or
425427 reassessment, an expense of collection, and reasonable attorney's
426428 fees incurred by the district:
427429 (1) are a first and prior lien against the property
428430 assessed;
429431 (2) are superior to any other lien or claim other than
430432 a lien or claim for county, school district, or municipal ad valorem
431433 taxes; and
432434 (3) are the personal liability of and a charge against
433435 the owners of the property even if the owners are not named in the
434436 assessment proceedings.
435437 (c) The lien is effective from the date of the board's
436438 resolution imposing the assessment until the date the assessment is
437439 paid. The board may enforce the lien in the same manner that the
438440 board may enforce an ad valorem tax lien against real property.
439441 (d) The board may make a correction to or deletion from the
440442 assessment roll that does not increase the amount of assessment of
441443 any parcel of land without providing notice and holding a hearing in
442444 the manner required for additional assessments.
443445 SECTION 13. Chapter 323, Acts of the 78th Legislature,
444446 Regular Session, 2003, is amended by adding Sections 23A, 23B, 23C,
445447 23D, and 23E to read as follows:
446448 Sec. 23A. DEVELOPMENT CORPORATION POWERS. The district,
447449 using money available to the district, may exercise the powers
448450 given to a development corporation under Chapter 505, Local
449451 Government Code, including the power to own, operate, acquire,
450452 construct, lease, improve, or maintain a project that may be
451453 undertaken in accordance with that chapter.
452454 Sec. 23B. NONPROFIT CORPORATION. (a) The board by
453455 resolution may authorize the creation of a nonprofit corporation to
454456 assist and act for the district in implementing a project or
455457 providing a service authorized by this Act.
456458 (b) The nonprofit corporation:
457459 (1) has each power of and is considered to be a local
458460 government corporation created under Subchapter D, Chapter 431,
459461 Transportation Code; and
460462 (2) may implement any project and provide any service
461463 authorized by this Act.
462464 (c) The board shall appoint the board of directors of the
463465 nonprofit corporation. The board of directors of the nonprofit
464466 corporation shall serve in the same manner as the board of directors
465467 of a local government corporation created under Subchapter D,
466468 Chapter 431, Transportation Code, except that a board member is not
467469 required to reside in the district.
468470 Sec. 23C. AGREEMENTS; GRANTS. (a) As provided in Chapter
469471 375, Local Government Code, the district may make an agreement with
470472 or accept a gift, grant, or loan from any person.
471473 (b) The implementation of a project is a governmental
472474 function or service for the purposes of Chapter 791, Government
473475 Code.
474476 Sec. 23D. MEMBERSHIP IN CHARITABLE ORGANIZATIONS. The
475477 district may join and pay dues to a charitable or nonprofit
476478 organization that performs a service or provides an activity
477479 consistent with the furtherance of a district purpose.
478480 Sec. 23E. ECONOMIC DEVELOPMENT PROGRAMS. (a) The district
479481 may engage in activities that accomplish the economic development
480482 purposes of the district.
481483 (b) The district may establish and provide for the
482484 administration of one or more programs to promote state or local
483485 economic development and to stimulate business and commercial
484486 activity in the district, including programs to:
485487 (1) make loans and grants of public money; and
486488 (2) provide district personnel and services.
487489 (c) The district may create economic development programs
488490 and exercise the economic development powers provided to
489491 municipalities by:
490492 (1) Chapter 380, Local Government Code; and
491493 (2) Subchapter A, Chapter 1509, Government Code.
492494 SECTION 14. Chapter 323, Acts of the 78th Legislature,
493495 Regular Session, 2003, is amended by adding Section 25A to read as
494496 follows:
495497 Sec. 25A. ELIGIBILITY FOR INCLUSION IN SPECIAL ZONES. All
496498 or any part of the area of the district is eligible to be included
497499 in:
498500 (1) a tax increment reinvestment zone created under
499501 Chapter 311, Tax Code;
500502 (2) a tax abatement reinvestment zone created under
501503 Chapter 312, Tax Code;
502504 (3) an enterprise zone created under Chapter 2303,
503505 Government Code; or
504506 (4) an industrial district created under Chapter 42,
505507 Local Government Code.
506508 SECTION 15. Section 26(c), Chapter 323, Acts of the 78th
507509 Legislature, Regular Session, 2003, is amended to read as follows:
508510 (c) The district may adopt, reduce, or repeal the limited
509511 sales and use tax authorized by this section at an election in which
510512 a majority of the voters of the district voting in the election
511513 approve the adoption or the abolition of the tax, as applicable.
512514 The board may set the tax at any rate of up to two percent in
513515 increments of one-eighth of one percent except that the tax may not
514516 be imposed at a rate that would cause the combined tax rate of all
515517 local sales and use taxes in any location in the district to exceed
516518 two percent. If as a result of the imposition or increase in a sales
517519 and use tax by the district in an area in which there is located all
518520 or part of a political subdivision that has adopted a sales and use
519521 tax or as a result of the annexation by the district of all or part
520522 of the territory in a political subdivision that has adopted a sales
521523 and use tax the overlapping local sales and use taxes in the area
522524 will exceed a total of two percent, the district's sales and use tax
523525 is automatically reduced in that area to a rate that when added to
524526 the combined rate of local sales and use taxes will equal two
525527 percent.
526528 SECTION 16. Chapter 323, Acts of the 78th Legislature,
527529 Regular Session, 2003, is amended by adding Section 27A to read as
528530 follows:
529531 Sec. 27A. AUTHORITY TO BORROW MONEY. The district may
530532 borrow money on terms as determined by the board. Section 375.205,
531533 Local Government Code, does not apply to a loan, line of credit, or
532534 other borrowing from a bank or financial institution secured by
533535 revenue other than ad valorem taxes.
534536 SECTION 17. Section 28(c), Chapter 323, Acts of the 78th
535537 Legislature, Regular Session, 2003, is amended to read as follows:
536538 (c) To pay for any district purpose authorized by law, and
537539 in [In] addition to the sources of money described by Subchapter J,
538540 Chapter 375, Local Government Code, the bonds of the district may be
539541 secured and made payable, wholly or partly, by a pledge of any part
540542 of any source of money for the district, including:
541543 (1) sales and use taxes;
542544 (2) assessments;
543545 (3) impact fees;
544546 (4) revenue;
545547 (5) contract payments; or
546548 (6) grants [the net proceeds the district receives
547549 from a specified portion of the sales and use tax authorized by this
548550 Act].
549551 SECTION 18. REPEAL. The following provisions of Chapter
550552 323, Acts of the 78th Legislature, Regular Session, 2003, are
551553 repealed:
552554 (1) Section 4;
553555 (2) Section 10(b);
554556 (3) Section 11;
555557 (4) Section 15;
556558 (5) Section 16;
557559 (6) Section 19; and
558560 (7) Section 23.
559561 SECTION 19. (a) An elected or appointed director of the
560562 Westwood Magnolia Parkway Improvement District's board of
561563 directors who is serving on September 1, 2017, continues to serve
562564 until the expiration of the director's term. If the position of a
563565 director who is serving on that date subsequently becomes vacant
564566 before the expiration of the director's term, the vacancy shall be
565567 filled in the same manner as Section 10, Chapter 323, Acts of the
566568 78th Legislature, Regular Session, 2003, provided immediately
567569 before September 1, 2017.
568570 (b) On the expiration of the terms of the directors who are
569571 continuing to serve on September 1, 2017, as described by
570572 Subsection (a) of this section, the county commissioner serving for
571573 County Commissioners Precinct No. 2 for the Montgomery County
572574 Commissioners Court shall appoint two members in the manner
573575 provided by Section 9, Chapter 323, Acts of the 78th Legislature,
574576 Regular Session, 2003, as amended by this Act.
575577 (c) This section expires January 2, 2025.
576578 SECTION 20. (a) The legislature validates and confirms all
577579 acts and proceedings of the board of directors of the Westwood
578580 Magnolia Parkway Improvement District that were taken before the
579581 effective date of this Act.
580582 (b) Subsection (a) of this section does not apply to any
581583 matter that on the effective date of this Act:
582584 (1) is involved in litigation if the litigation
583585 ultimately results in the matter being held invalid by a final
584586 judgment of a court; or
585587 (2) has been held invalid by a final judgment of a
586588 court.
587589 SECTION 21. (a) The legal notice of the intention to
588590 introduce this Act, setting forth the general substance of this
589591 Act, has been published as provided by law, and the notice and a
590592 copy of this Act have been furnished to all persons, agencies,
591593 officials, or entities to which they are required to be furnished
592594 under Section 59, Article XVI, Texas Constitution, and Chapter 313,
593595 Government Code.
594596 (b) The governor, one of the required recipients, has
595597 submitted the notice and Act to the Texas Commission on
596598 Environmental Quality.
597599 (c) The Texas Commission on Environmental Quality has filed
598600 its recommendations relating to this Act with the governor, the
599601 lieutenant governor, and the speaker of the house of
600602 representatives within the required time.
601603 (d) All requirements of the constitution and laws of this
602604 state and the rules and procedures of the legislature with respect
603605 to the notice, introduction, and passage of this Act are fulfilled
604606 and accomplished.
605607 SECTION 22. This Act takes effect September 1, 2017.
