55 A BILL TO BE ENTITLED
66 AN ACT
77 relating to the governing body and executive management team of the
88 independent organization certified to manage the ERCOT power
99 region.
1010 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1111 SECTION 1. Section 39.151, Utilities Code, is amended by
1212 amending Subsections (g) and (g-1) and adding Subsections (g-2),
1313 (g-3), and (g-4) to read as follows:
1414 (g) To maintain certification as an independent
1515 organization under this section, an organization's governing body
1616 must be composed of persons specified by this section [and selected
1717 in accordance with formal bylaws or protocols of the organization.
1818 The bylaws or protocols must be approved by the commission and must
1919 reflect the input of the commission. The bylaws must specify the
2020 process by which appropriate stakeholders elect members and, for
2121 unaffiliated members, prescribe professional qualifications for
2222 selection as a member. The bylaws must require the use of a
2323 professional search firm to identify candidates for membership of
2424 unaffiliated members. The process must allow for commission input
2525 in identifying candidates]. The governing body must be composed
2626 of:
2727 (1) the chairman of the commission as an ex officio
2828 nonvoting member;
2929 (2) the counsellor as an ex officio voting member
3030 representing residential and small commercial consumer interests;
3131 (3) the chief executive officer of the independent
3232 organization as an ex officio voting member;
3333 (4) six market participants elected by their
3434 respective market segments to serve one-year terms, with:
3535 (A) one representing independent generators;
3636 (B) one representing investor-owned utilities;
3737 (C) one representing power marketers;
3838 (D) one representing retail electric providers;
3939 (E) one representing municipally owned
4040 utilities; and
4141 (F) one representing electric cooperatives;
4242 (5) one member representing industrial consumer
4343 interests and elected by the industrial consumer market segment to
4444 serve a one-year term;
4545 (6) one member representing large commercial consumer
4646 interests selected in accordance with the bylaws to serve a
4747 one-year term; and
4848 (7) five members representing the public appointed by
4949 the governor to serve four-year terms who are unaffiliated with any
5050 market segment and who have no associations, including familial or
5151 professional associations, with energy producers or providers of
5252 any kind, with:
5353 (A) one member who resides in a county with a
5454 population of less than 75,000;
5555 (B) one member who resides in a county with a
5656 population of at least 75,000 but less than 250,000; and
5757 (C) three members who reside in a county with a
5858 population of at least 250,000 [five members unaffiliated with any
5959 market segment and selected by the other members of the governing
6060 body to serve three-year terms].
6161 (g-1) The presiding officer and vice presiding officer of
6262 the governing body must be one of the members described by
6363 Subsection (g)(7).
6464 (g-2) Members of the organization's governing body required
6565 by Subsections (g)(4), (5), and (6) must be selected in accordance
6666 with formal bylaws or protocols of the organization. The bylaws or
6767 protocols must be approved by the commission and must reflect the
6868 input of the commission. The bylaws must specify the process by
6969 which appropriate stakeholders elect members and, for unaffiliated
7070 members, prescribe professional qualifications for selection as a
7171 member. The bylaws must require the use of a professional search
7272 firm to identify candidates for membership of unaffiliated members.
7373 The process must allow for commission input in identifying
7474 candidates.
7575 (g-3) To qualify to serve as a member of the governing body
7676 under Subsection (g)(4), (5), (6), or (7), a person must have a
7777 primary residence within the geographic area of the power region
7878 served by the independent organization.
7979 (g-4) To maintain certification as an independent
8080 organization under this section, an organization's chief executive
8181 officer and each member of the organization's executive management
8282 team must have a primary residence within the geographic area of the
8383 power region served by the independent organization.
8484 SECTION 2. (a) Not later than December 1, 2021, the
8585 governor shall appoint members to the governing body of an
8686 independent organization certified under Section 39.151, Utilities
8787 Code, by the Public Utility Commission of Texas before September 1,
8888 2021, to comply with Section 39.151, Utilities Code, as amended by
8989 this Act.
9090 (b) The two members of the governing body of an independent
9191 organization certified under Section 39.151, Utilities Code, by the
9292 Public Utility Commission of Texas before September 1, 2021, who
9393 are initially appointed under Sections 39.151(g)(7)(A) and (B),
9494 Utilities Code, as amended by this Act, serve terms expiring
9595 February 1, 2025, and the three members who are initially appointed
9696 under Section 39.151(g)(7)(C), Utilities Code, as amended by this
9797 Act, serve terms expiring February 1, 2023.
9898 (c) An independent organization certified under Section
9999 39.151, Utilities Code, by the Public Utility Commission of Texas
100100 before September 1, 2021, shall hold elections and select new
101101 members as needed to modify the organization's governing body to
102102 comply with Section 39.151, Utilities Code, as amended by this Act,
103103 as soon as practicable, but not later than January 31, 2022.
104104 (d) An independent organization certified under Section
105105 39.151, Utilities Code, by the Public Utility Commission of Texas
106106 before September 1, 2021, shall ensure that the chief executive
107107 officer and executive management team of the organization comply
108108 with Section 39.151, Utilities Code, as amended by this Act, as soon
109109 as practicable, but not later than January 31, 2022.
110110 (e) After January 31, 2022, the Public Utility Commission of
111111 Texas may decertify an independent organization whose governing
112112 body, executive management team, or chief executive officer does
113113 not comply with Section 39.151, Utilities Code, as amended by this
114114 Act.
115115 SECTION 3. This Act takes effect September 1, 2021.
