66 relating to investments in certain companies doing business in the
77 Russian Federation.
88 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
99 SECTION 1. Section 2270.0001(9), Government Code, is
1010 amended to read as follows:
1111 (9) "Scrutinized company" means:
1212 (A) a company that:
1313 (i) engages in scrutinized business
1414 operations described by Section 2270.0052; or
1515 (ii) has been complicit in the Darfur
1616 genocide during any preceding 20-month period;
1717 (B) a company that engages in scrutinized
1818 business operations described by Section 2270.0102; [and]
1919 (C) a company that engages in scrutinized
2020 business operations described by Section 2270.0152; and
2121 (D) a company that engages in scrutinized
2222 business operations described by Section 2270.0162.
2323 SECTION 2. Section 2270.0002, Government Code, is amended
2424 to read as follows:
2525 Sec. 2270.0002. EXCEPTION. (a) Notwithstanding any other
2626 law, a company that the United States government affirmatively
2727 declares to be excluded from its federal sanctions regime relating
2828 to Sudan, its federal sanctions regime relating to Iran, or any
2929 federal sanctions regime relating to a designated foreign terrorist
3030 organization is not subject to divestment or investment prohibition
3131 under this chapter.
3232 (b) Notwithstanding any other law, a company that complies
3333 with the United States government federal sanctions regime relating
3434 to the Russian Federation, including any exemption or federal
3535 guidance, is not subject to divestment or investment prohibition
3636 under this chapter.
3737 SECTION 3. Chapter 2270, Government Code, is amended by
3838 adding Subchapter D-1 to read as follows:
3939 SUBCHAPTER D-1. GENERAL PROVISIONS RELATING TO INVESTMENTS IN
4040 RUSSIAN FEDERATION
4141 Sec. 2270.0161. DEFINITION. In this subchapter, "business
4242 operations" means engaging in commerce in any form in the Russian
4343 Federation, including by acquiring, developing, maintaining,
4444 owning, selling, possessing, leasing, or operating equipment,
4545 facilities, personnel, products, services, personal property, real
4646 property, or any other apparatus of business or commerce.
4747 Sec. 2270.0162. SCRUTINIZED BUSINESS OPERATIONS IN RUSSIAN
4848 FEDERATION. A company engages in scrutinized business operations
4949 in the Russian Federation if the company has business operations
5050 that involve contracts with or providing supplies or services to
5151 the government of the Russian Federation, a company in which the
5252 government of the Russian Federation has any direct or indirect
5353 equity share, a consortium or project commissioned by the
5454 government of the Russian Federation, or a company involved in a
5555 consortium or project commissioned by the government of the Russian
5656 Federation.
5757 SECTION 4. Section 2270.0201, Government Code, is amended
5858 by amending Subsections (a) and (b) and adding Subsection (b-1) to
5959 read as follows:
6060 (a) The comptroller shall prepare and maintain a list of all
6161 scrutinized companies. The list must be categorized according to:
6262 (1) companies that are scrutinized companies under
6363 Section 2270.0001(9)(A);
6464 (2) companies that are scrutinized companies under
6565 Section 2270.0001(9)(B); [and]
6666 (3) companies that are scrutinized companies under
6767 Section 2270.0001(9)(C); and
6868 (4) companies that are scrutinized companies under
6969 Section 2270.0001(9)(D).
7070 (b) In maintaining the list of scrutinized companies under
7171 Subsection (a), the comptroller may review and rely, as appropriate
7272 in the comptroller's judgment, on publicly available information
7373 regarding companies with business operations in Sudan, in Iran,
7474 [or] with designated foreign terrorist organizations, or in the
7575 Russian Federation, as applicable, including information provided
7676 by the state, nonprofit organizations, research firms,
7777 international organizations, and governmental entities.
7878 (b-1) The governor shall periodically consult with the
7979 Homeland Security Council, established under Subchapter B, Chapter
8080 421, to review whether a company that is a scrutinized company under
8181 Section 2270.0001(9)(D) should be included or continue to be
8282 included on the list of scrutinized companies maintained under this
8383 section and may, after consulting with the council, direct the
8484 comptroller to remove a company from the list.
8585 SECTION 5. Section 2270.0203, Government Code, is amended
8686 to read as follows:
8787 Sec. 2270.0203. NOTICE TO LISTED COMPANY ENGAGED IN
8888 INACTIVE BUSINESS OPERATIONS. For each listed company identified
8989 under Section 2270.0202 that is engaged in only inactive
9090 scrutinized business operations, the investing entity shall send a
9191 written notice informing the company of this chapter and
9292 encouraging the company to continue to refrain from initiating
9393 active business operations in Sudan, in Iran, [and] with designated
9494 foreign terrorist organizations, and in the Russian Federation
9595 until it is able to avoid being considered a listed company. The
9696 investing entity shall continue the correspondence as the entity
9797 considers necessary, but is not required to initiate correspondence
9898 more often than semiannually.
9999 SECTION 6. Section 2270.0204(b), Government Code, is
100100 amended to read as follows:
101101 (b) The notice shall offer the company the opportunity to
102102 clarify its Sudan-related, Iran-related, [or] designated foreign
103103 terrorist organization-related, or Russian Federation-related
104104 activities, as applicable, and shall encourage the company, not
105105 later than the 90th day after the date the company receives notice
106106 under this section, to either cease all scrutinized business
107107 operations as described by Sections 2270.0052, 2270.0102, [and]
108108 2270.0152, and 2270.0162, or convert such operations to inactive
109109 business operations in order to avoid qualifying for divestment by
110110 investing entities.
111111 SECTION 7. Not later than the 180th day after the effective
112112 date of this Act, the comptroller of public accounts shall include
113113 the companies described by Section 2270.0201(a)(4), Government
114114 Code, as added by this Act, on the list under Section 2270.0201(a),
115115 Government Code.
116116 SECTION 8. This Act takes effect immediately if it receives
117117 a vote of two-thirds of all the members elected to each house, as
118118 provided by Section 39, Article III, Texas Constitution. If this
119119 Act does not receive the vote necessary for immediate effect, this
120120 Act takes effect September 1, 2023.
