55 relating to land services performed by a landman.
66 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
77 SECTION 1. Chapter 954, Occupations Code, is amended to
88 read as follows:
99 CHAPTER 954. LAND SERVICES FOR PETROLEUM, [AND] MINERAL, AND OTHER
1010 ENERGY SOURCES [LAND SERVICES]
1111 Sec. 954.001. DEFINITIONS. In this chapter:
1212 (1) "Land services":
1313 (A) means the performance or supervision of one
1414 or more of the following activities:
1515 (i) negotiating the acquisition or
1616 divestiture of mineral rights or rights associated with other
1717 energy sources;
1818 (ii) negotiating business agreements or
1919 easements to provide for the exploration for or development of
2020 minerals or other energy sources;
2121 (iii) ascertaining ownership in mineral
2222 rights or rights associated with other energy sources and related
2323 real property through the research of public and private records;
2424 (iv) reviewing the status of title, curing
2525 title defects, providing title due diligence, and otherwise
2626 reducing title risk associated with the ownership, acquisition, or
2727 divestiture of mineral rights, property associated with minerals,
2828 or rights associated with other energy sources, excluding:
2929 (a) administrative functions;
3030 (b) division order functions; and
3131 (c) lease analyst functions;
3232 (v) managing rights or obligations derived
3333 from ownership of interests in minerals or rights associated with
3434 other energy sources; or
3535 (vi) using or pooling mineral interests or
3636 rights associated with other energy sources; and
3737 (B) does not include determining, examining, or
3838 reviewing the status of title in connection with transactions that
3939 are primarily for:
4040 (i) the sale, purchase, or encumbrance of
4141 the surface of the land unassociated with mineral rights or other
4242 energy sources; or
4343 (ii) the mortgage of real property used or
4444 intended to be used primarily for residential purposes.
4545 (2) "Mineral" has the meaning assigned by Section
4646 75.001, Property Code. The term includes oil, gas, related
4747 hydrocarbons, coal, lignite, uranium, and substances classified as
4848 base, industrial, precious, or strategic minerals.
4949 (3) "Other energy source" means a natural resource
5050 other than a mineral that is necessary to produce energy, including
5151 geothermal, hydroelectric, nuclear, solar, and wind energy.
5252 Sec. 954.002. EXCEPTION TO PRACTICE OF LAW. For the
5353 purposes of the definition in Section 81.101, Government Code, the
5454 "practice of law" does not include engaging in land services [acts
5555 relating to the lease, purchase, sale, or transfer of a mineral or
5656 mining interest in real property or an easement or other interest
5757 associated with a mineral or mining interest in real property] if:
5858 (1) the acts are performed by a person who does not
5959 hold the person out as an attorney licensed to practice law in this
6060 state or in another jurisdiction; and
6161 (2) the person is not a licensed attorney.
6262 SECTION 2. Section 1702.324(a), Occupations Code, is
6363 amended to read as follows:
6464 (a) For the purposes of this section, "landman" means an
6565 individual who, in the course and scope of the individual's
6666 business:
6767 (1) acquires, divests, or manages petroleum or mineral
6868 interests; [or]
6969 (2) performs title or contract functions related to
7070 the exploration, exploitation, or disposition of petroleum or
7171 mineral interests; or
7272 (3) otherwise engages in land services as defined by
7373 Section 954.001.
7474 SECTION 3. Section 171.1011(g-11), Tax Code, is amended to
7575 read as follows:
7676 (g-11) A taxable entity that is primarily engaged in the
7777 business of performing landman services shall exclude from its
7878 total revenue, to the extent included under Subsection (c)(1)(A),
7979 (c)(2)(A), or (c)(3), subcontracting payments made by the taxable
8080 entity to nonemployees for the performance of landman services on
8181 behalf of the taxable entity. In this subsection, "landman
8282 services" means:
8383 (1) performing title searches for the purpose of
8484 determining ownership of or curing title defects related to oil,
8585 gas, other energy sources, or other related mineral or petroleum
8686 interests;
8787 (2) negotiating the acquisition or divestiture of
8888 mineral rights for the purpose of the exploration, development, or
8989 production of oil, gas, other energy sources, or other related
9090 mineral or petroleum interests; or
9191 (3) negotiating or managing the negotiation of
9292 contracts or other agreements related to the ownership of mineral
9393 interests for the exploration, exploitation, disposition,
9494 development, or production of oil, gas, other energy sources, or
9595 other related mineral or petroleum interests.
9696 SECTION 4. The change in law made by this Act to Section
9797 171.1011(g-11), Tax Code, applies only to a report originally due
9898 on or after January 1, 2024.
9999 SECTION 5. (a) Except as provided by Subsection (b) of this
100100 section, this Act takes effect:
101101 (1) immediately if this Act receives a vote of
102102 two-thirds of all the members elected to each house, as provided by
103103 Section 39, Article III, Texas Constitution; or
104104 (2) September 1, 2023, if this Act does not receive the
105105 vote necessary for immediate effect.
106106 (b) Section 171.1011(g-11), Tax Code, as amended by this
107107 Act, takes effect January 1, 2024.
